Is Owning Stock An Abnormally Dangerous Activity? Shareholder Limited Liability In Tort, Daniel P. Schley Cfa

This article reconsiders whether corporate shareholders would benefit from the application of tort law principles to a limited shareholder liability analysis. In this Article, the author argues that tort law would address limited shareholder liability under a negligence and not a strict liability regime, and that a negligence regime would produce results similar to those produced under the current corporate law framework. Mr. Schley finds that tort law, like corporate law, would uphold limited shareholder liability.

This paper proposes a human parsing based texture transfer model via cross-view consistency learning to generate the texture of 3D human body from a single image. We use the semantic parsing of human body as input for providing both the shape and pose information to reduce the appearance variation of human image and preserve the spatial distribution of semantic parts. Meanwhile, in order to improve the prediction for textures of invisible parts, we explicitly enforce the consistency across different views of the same subject by exchanging the textures predicted by two views to render images during training. © 2020, The Author(s). Use of cannabis and cannabinoid-containing substances is increasing among geriatric patients, despite relatively sparse preclinical evidence in aged models. To better understand the effects of exogenous cannabinoids on aging male and female rodents, we compared the age- and dose-dependent physiological and behavioral effects of the synthetic cannabinoid CP55940 in young–adult and aged C57BL/6 mice. Locomotion, body temperature, thermal nociception, and fecal output were measured following CP55940 administration. Our findings indicate that CP55940 is more potent and efficacious in older mice, evidenced by exaggerated antinociception and locomotor inhibition when compared to younger adult mice. Deep learning is a powerful approach for distinguishing classes of images, and there is a growing interest in applying these methods to delimit species, particularly in the identification of mosquito vectors. Visual identification of mosquito species is the foundation of mosquito-borne disease surveillance and management, but can be hindered by cryptic morphological variation in mosquito vector species complexes such as the malaria-transmitting Anopheles gambiae complex. We sought to apply Convolutional Neural Networks (CNNs) to images of mosquitoes as a proof-of-concept to determine the feasibility of automatic classification of mosquito sex, genus, species, and strains using whole-body, 2D images of mosquitoes. …

Complex, high-risk percutaneous coronary intervention (HR-PCI) is increasingly being performed, often with mechanical circulatory support (MCS), though to date, there are limited randomised data on the efficacy of MCS for HR-PCI. The majority of MCS is provided by intra-aortic balloon pumps, but increasingly Impella® (Abiomed, Danvers, MA, USA) heart pumps are being used. While the Impella pumps provide greater increases in cardiac output, these devices require large bore access, which has been associated with an increased risk of bleeding and vascular complications. Decisions regarding the use of Impella are often based on risk–benefit considerations, with Impella-related bleeding risk being a …

Two research streams examine how social movements operate both “in and around” organizations. We probe the empirical spaces between these streams, asking how activism situated in multi-organizational contexts contributes to transformative social change. By exploring activities in the mid-1990s related to advocacy for domestic partner benefits at 24 organizations in Minneapolis–St. Paul, Minnesota, we develop the concept of inhabited ecosystems to explore the relational processes by which employee activists advance change. These activists faced a variety of structural opportunities and restraints, and we identify five mechanisms that sustained their efforts during protracted contestation: learning even from thwarted activism, borrowing from …

Contract interpretation is one of the most important topics in commercial law. Unfortunately, the law of interpretation is extraordinarily convoluted. In essentially every American state, the jurisprudence is riddled with inconsistency and ambiguity. This causes multiple problems. Contracting parties are forced to expend additional resources when negotiating and drafting agreements. Disputes over contractual meaning are more likely to end up in litigation. And courts make a greater number of errors in the interpretive process. Together, these impacts result in significant unfairness and undermine economic efficiency. This dissertation reports the synthesis and photophysical properties of a family of rhodamine dyes (compounds 3.9-3.13 and 4.6). The rhodamine dyes are prepared in two steps, and fully characterized by ESI-MS (Low and High resolution), X-Ray crystallography, NMR spectroscopy, and FT-IR spectroscopy. The coordination environment of the low molecular weight fluorescent probes (LMFPs) was systematically changed to investigate the thermodynamic behavior between the LMFPs and an array of metal ions (Cu2+, Fe2+, and Hg2+ ions) in protic and aprotic solvent systems. Typified by their branching pattern, headwaters are numerically abundant as the density of these habitats increases with increasing distance from the base of a dendritic river system. Connectivity among headwaters is complex, resulting in the spatial isolation of populations. Headwater specialists have evolved a suite of traits that permit these species to permanently reside within these habitats. The spatial configuration and connectivity of headwaters has repercussions for metapopulations and meta-assemblages. I investigated how multi-scale processes and connectivity influenced the patch occupancy, coexistence, movement ecology, population structure, and gene flow of headwater specialists. Seagrasses are rapidly declining around the globe as well as in Morro Bay, CA. Between 2007 and 2017, the Morro Bay Estuary experienced a 97% loss of seagrass meadows. The cause of the decline is unknown. A potential cause for the loss of seagrass meadows is the degradation of seagrass habitat in the bay because of contamination due to the use of herbicides. Some examples of herbicides used within the watershed include: Oxy uorfen, Diuron, Simazine, Napropamide, Oryzalin, Chlorthal-Dimethyl, Glyphosate and Tri uralin. This article is divided into three substantive sections. Section I delineates Aristotle’s theory of the soul as laid out in De Anima. Section II defines habeas corpus as a legal concept and demonstrates under what circumstances it should be granted. Section III applies Aristotle’s theory of the soul as a structure whereby animals could be granted habeas corpus rights.

Animal Sound Classification Using Dissimilarity Spaces, Loris Nanni, Sheryl Brahnam, Alessandra Lumini, Gianluca Maguolo

The classifier system proposed in this work combines the dissimilarity spaces produced by a set of Siamese neural networks (SNNs) designed using four different backbones with different clustering techniques for training SVMs for automated animal audio classification. The system is evaluated on two animal audio datasets: one for cat and another for bird vocalizations. The proposed approach uses clustering methods to determine a set of centroids (in both a supervised and unsupervised fashion) from the spectrograms in the dataset. Such centroids are exploited to generate the dissimilarity space through the Siamese networks. In addition to feeding the SNNs with spectrograms, …

After a civil war that left more than 200 000 dead in Algeria in the 1990s, the return to peace in 2003 and the rise in the price of oil allowed Algerian cinema to return to the international scene. The state has invested several billion Algerian dinars since 2005 to revive film production and start renovating the country's four hundred movie theaters that had been abandoned since the late 1980s. Today, fifty-three movie theaters are functional throughout Algeria, yet they do not open their doors to the public. These movie theaters are still perceived as shady places, and they struggle …

Travelling by cart, but more often by train and later by automobile, films reached small towns and large villages alike. Travelling pictures were the first - and often the only - means of access to cinema for much of the African continent. They made it possible to reach the countryside, albeit randomly and sporadically.
To analyse the development of travelling pictures during the late colonial period, this article emphasises commercial, for-profit ventures rather than official, government-sponsored tours playing educational and propaganda films - though the line between the two was often blurred. Compared to other African countries and despite the potential size of its audience, until the beginning of the new millennium, Congo DRC seemed to be lagging behind in its local film production. Climate change is an existential threat to humans and everyday life, yet in recent years Congress has been unable to pass comprehensive environmental policy that addresses climate change. Collaboration between both parties in Congress is often necessary for passing legislation. There was a time when bipartisanship was common, and Congress passed significant environmental legislation. In particular, this happened during the 1970s with the Clean Water Act in 1972, the Endangered Species Act in 1973, the Safe Drinking Water Act in 1974, and the Toxic Substances Control Act and Resource Conservation and Recovery Act in 1976. Chamberlin and Salisbury's assessment of the Permian a century ago captured the essence of the period: it is an interval of extremes yet one sufficiently recent to have affected a biosphere with near-modern complexity. The events of the Permian – the orogenic episodes, massive biospheric turnovers, both icehouse and greenhouse antitheses, and Mars-analog lithofacies – boggle the imagination and present us with great opportunities to explore Earth system behavior. Arrhythmogenic right ventricular cardiomyopathy (ARVC) is an inherited heart muscle disease that may result in arrhythmia, heart failure and sudden death. The hallmark pathological findings are progressive myocyte loss and fibro fatty replacement, with a predilection for the right ventricle. This study focuses on the adipose tissue formation in cardiomyocyte by considering the signal transduction pathways including Wnt/[inline-formula removed]-catenin and Wnt/Ca2+ regulation system. These pathways are modelled and analysed using stochastic petri nets (SPN) in order to increase our comprehension of ARVC and in turn its treatment regimen.
