Fixing 404, Joseph A. Grundfest, Steven E. Bochner Jan 2007

Fixing 404, Joseph A. Grundfest, Steven E. Bochner

Michigan Law Review

Although debate persists as to whether the costs of Sarbanes-Oxley's Section 404 regulations exceed their benefits, there is broad consensus that the rules have been inefficiently implemented. Substantive and procedural factors contribute to the rules' inefficiency. From a substantive perspective, the terms "material weakness" and "significant deficiency" are central to the implementing regulations and are easily interpreted to legitimize audits of controls that have only a remote probability of causing an inconsequential effect on the issuer's financial statements. As a quantitative matter the literature suggests that a control with a remote probability of causing an inconsequential effect has an expected …

A Business Ethics Perspective On Sarbanes-Oxley And The Organizational Sentencing Guidelines, David Hess Jan 2007

A Business Ethics Perspective On Sarbanes-Oxley And The Organizational Sentencing Guidelines, David Hess

Michigan Law Review

This Article assesses the ability of Sarbanes-Oxley and other recent changes in the law and stock exchange listing requirements to reduce the incidence of fraud and to increase the reporting of financial misconduct. It begins by examining the individual decision-makers within a corporation and analyzing their intentions and behaviors under the Theory of Planned Behavior. It then examines the ability of the organization to influence the employees' intentions and behaviors through codes of ethics and compliance programs, and finds growing support for the usefulness of integrity based compliance programs. Finally, the Article considers how the Sarbanes-Oxley legislation and Organizational Sentencing …

Divorcees Turn About In Their Graves As Ex-Spouses Cash In: Codified Constructive Trusts Ensure An Equitable Result Regarding Erisa-Governed Employee Benefit Plans, Sarabeth A. Rayho Jan 2007

Divorcees Turn About In Their Graves As Ex-Spouses Cash In: Codified Constructive Trusts Ensure An Equitable Result Regarding Erisa-Governed Employee Benefit Plans, Sarabeth A. Rayho

Michigan Law Review

A revocation-by-divorce statute essentially nullifies a devise in a divorced decedent's will when the devise bequeaths property to the decedent's ex-spouse and the will was executed during their marriage. Until recently, state revocation-by-divorce statutes unquestionably applied not only to wills but also to will substitutes, including ERISA-governed employee benefit plans. In 2001, the Supreme Court held in Egelhoff v. Egelhoff ex rel. Breiner that ERISA preempts traditional state revocation-by-divorce statutes as applied to ERISA-governed employee benefit plans. In the wake of the Egelhoff decision, plan administrators may automatically pay proceeds to the listed beneficiary, even an ex-spouse, regardless of the …

Resembling Nothing: Image And Being In Plato, Yancy Hughes Dominick Jan 2007

Resembling Nothing: Image And Being In Plato, Yancy Hughes Dominick

The Society for Ancient Greek Philosophy Newsletter

A crucial application of Plato’s views on the use of images in philosophy occurs through the use of the image relationship as an image for the relation of forms and particulars. The relation of a picture to the object it depicts, or that between a reflection and what it reflects, can be seen as analogous to the relation of a particular to the form in which it participates. Although the attack on the image model as analogous to the relation of forms and particulars in the Parmenides threatens to undermine any reliance on that model, this essay will present a …

Transition State Theory For Laser-Driven Reactions, Shinnosuke Kawai, André D. Bandrauk, Charles Jaffé, Thomas Bartsch, Jesús Palacián, T. Uzer Jan 2007

Transition State Theory For Laser-Driven Reactions, Shinnosuke Kawai, André D. Bandrauk, Charles Jaffé, Thomas Bartsch, Jesús Palacián, T. Uzer

Faculty & Staff Scholarship

Recent developments in transition state theory brought about by dynamical systems theory are extended to time-dependent systems such as laser-driven reactions. Using time-dependent normal form theory, the authors construct a reaction coordinate with regular dynamics inside the transition region. The conservation of the associated action enables one to extract time-dependent invariant manifolds that act as separatrices between reactive and nonreactive trajectories and thus make it possible to predict the ultimate fate of a trajectory. They illustrate the power of our approach on a driven Henon-Heiles system, which serves as a simple example of a reactive system with several open channels. …

Microscopic-Macroscopic Simulations Of Rigid-Rod Polymer Hydrodynamics: Heterogeneity And Rheochaos, M. Gregory Forest, Ruhai Zhou, Qi Wang Jan 2007

Microscopic-Macroscopic Simulations Of Rigid-Rod Polymer Hydrodynamics: Heterogeneity And Rheochaos, M. Gregory Forest, Ruhai Zhou, Qi Wang

Mathematics & Statistics Faculty Publications

Rheochaos is a remarkable phenomenon of nematic (rigid-rod) polymers in steady shear, with sustained chaotic fluctuations of the orientational distribution of the rod ensemble. For monodomain dynamics, imposing spatial homogeneity and linear shear, rheochaos is a hallmark prediction of the Doi-Hess theory [M. Doi, J. Polym. Sci. Polym. Phys. Ed., 19 (1981), pp. 229-243; M. Doi and S. F. Edwards, The Theory of Polymer Dynamics, Oxford University Press, London, New York, 1986; S. Hess, Z. Naturforsch., 31 (1976), pp. 1034-1037. The Folklore Of Legal Biography, Mark Fenster Jan 2007

The Folklore Of Legal Biography, Mark Fenster

Michigan Law Review

Spencer Weber Waller's Thurman Arnold: A Biography faces the problem of making this life stand out, and this Review seeks both to evaluate his rendering-which it does in Part II, after providing more details of the raw materials of Arnold's life in Part I-and to use Arnold's ideas to reflect on the endeavor of the legal biography. Although other works bearing on Arnold's life have been available,' Waller's competent, readable chronicle will provide an authoritative source of information and satisfy the desires of general readers interested in accomplished legal lives and seeking a straightforward account of Arnold's career. But Waller's …

The D'Oh! Of Popular Constitutionalism, Neal Devins Jan 2007

The D'Oh! Of Popular Constitutionalism, Neal Devins

Michigan Law Review

This Review will be divided into three parts. Part I will both summarize The Most Democratic Branch and highlight some of the difficulties that the Supreme Court would face in implementing Rosen's decision-making model. In particular, by allowing the Court to invalidate laws for a host of "antidemocratic" reasons, Rosen's matrix does not constrain the Court in a predictable way. Part II will examine some of the empirical evidence about public attitudes toward the Supreme Court, including public awareness of Supreme Court decisions. I will contend that the Court cannot look to the people to sort out the Constitution's meaning …

Private Ordering And Intimate Spaces: Why The Ability To Negotiate Is Non-Negotiable, Michele Goodwin Jan 2007

Private Ordering And Intimate Spaces: Why The Ability To Negotiate Is Non-Negotiable, Michele Goodwin

Michigan Law Review

This review moves beyond a critique of Cherry's study to incorporate a radical new way of thinking about organ commodification as a social justice issue. Part I provides a brief empirical overview of organ demand in the United States, offering an alternative perspective and introducing data illexamined in commodification debates. Part II challenges the notion that private ordering abandons liberal and egalitarian values in favor of individualism over communitarianism. It also acknowledges the limitations of private ordering and addresses how its more problematic features, including the abuse of power, might be avoided. Part III argues for a hybrid system that …

Interview With James Boyd White, James Boyd White Jan 2007

Interview With James Boyd White, James Boyd White

Michigan Law Review

The occasion of the following interview was the Montesquieu Lecture at the University of Tilburg, which Professor James Boyd White delivered in February 2006. In the lecture, entitled "When Language Meets the Mind," Professor White discussed the manner of interpreting and criticizing texts, both in the law and in other fields, that he has worked out over his career. The heart of this method, as described in the lecture, is to direct attention to three sets of questions: - What is the language in which this text is written, and the culture of which it is a part? How are …

Evaluating Social Skills In Long Term Cochlear Implant Recipients, Amy Lee Bell

Independent Studies and Capstones

A longitudinal study observing cochlear implant recipients' social skills using ratings from their parents and the students themselves over time. The study looked at how adolescents using cochlear implants rate their own social skills compared to an age matched normative group of hearing students, and compared these ratings with social skills ratings obtained from their parents. The study also compared social ratings in adolescence to previous ratings of the same children obtained in elementary school.
