Of Fine Lines, Blunt Instruments And Half-Truths: Business Acquisition Agreements And The Right To Lie, Jeffrey M. Lipshaw Dec 2006

Of Fine Lines, Blunt Instruments And Half-Truths: Business Acquisition Agreements And The Right To Lie, Jeffrey M. Lipshaw

ExpressO

In this article, I expand upon a happy coincidence (for scholars) in reconciling the overlap between contract and fraud. Both the recent book by Ian Ayres and Gregory Klass and the Delaware Court of Chancery in Abry Partners Acquisition V, L.P. v. F& W Acquisition, LLC addressed the issue of promissory fraud – the making of a contract as to which the promisor had no intention of performing. Each treatment, however, in focusing on fraudulent affirmative representations, falls short of (a) recognizing the fundamental aspect of deceptive promising in a complex deal, namely the half-truth, (b) articulating an appropriate doctrinal …

Signed, Sealed, Delivered, And ?: The Correlation Between Policy Areas, Signing, And Legal Ratification Of Organization Of American States’ Treaties By Member States., Alexandra R. Harrington

ExpressO

Abstract: Signed, Sealed, Delivered, and ?: The Correlation Between Policy areas, Signing, and Legal Ratification of Organization of American States’ Treaties by Member States.

Like any organization, the Organization of American States’ ability to affect lasting policy changes through treaties is only as strong as the will of the federal legislative bodies of its member states. No matter how lofty or well-meaning the OAS’s goals in any area or matter addressed by a treaty, or the number of OAS member states which sign onto a treaty reflecting these goals, under the OAS Charter, and the federal constitutions of most member …

Be Headsmart® Seniors! -- The Effectiveness Of A Psychoeducational Fall And Consequential Injury Prevention Program

Florida Public Health Review

This study tested the utility of the Be HeadSmart® Seniors! fall prevention intervention, HeadSmartz, a Cranium Challenge, in the promotion of safety improvement behavior change. It employed a quasi-experimental two-group design. Of the 106 individuals included in this study, 64 received the intervention and 42 only received the safety brochure. The Cranium Challenge is an interactive, visual, and auditory program based upon the popular board game CraniumTM. This game stimulated various parts of the participant’s brain verbally, through trivia questions and word games, visually, or by humming, whistling, or playing charades. The presentation included trivia questions created in a PowerPoint …

Linking Self-Regulation And Risk Proneness To Risky Sexual Behavior: Pathways Through Peer Pressure And Early Substance Use, Lisa J. Crockett, Marcela Raffaelli, Yuh-Ling Shen Dec 2006

Linking Self-Regulation And Risk Proneness To Risky Sexual Behavior: Pathways Through Peer Pressure And Early Substance Use, Lisa J. Crockett, Marcela Raffaelli, Yuh-Ling Shen

Department of Psychology: Faculty Publications

The linkages between self-regulation in childhood, risk proneness in early adolescence, and risky sexual behavior in mid-adolescence were examined in a cohort of children (N = 518) from the National Longitudinal Survey of Youth. The possible mediating role of two early adolescent variables (substance use and negative peer pressure) was also examined. Self-regulation was assessed by maternal report at ages 8–9, and risk proneness, comprising aspects of sensation seeking and decision making, was assessed by adolescent self-report at ages 12–13. Structural equation models predicting risky sexual behavior at ages 16–17 indicated that self-regulation operated partly through early adolescent substance use, …

Relationship Of Training Intensity To Heart Rate And Blood Lactic Acid Concentration, Israa Fouad Saleh Dec 2006

Relationship Of Training Intensity To Heart Rate And Blood Lactic Acid Concentration, Israa Fouad Saleh

Modern Sport

The science of sports training is an educational discipline aimed at helping athletes reach their best performance level in their respective sports. Achieving this level requires training based on scientific principles, especially in managing the components of training load, which represent the external stresses placed on the functional systems of the athlete’s body, leading to adaptations and, consequently, performance improvement. Physiology is one of the most important sciences used in training, as it studies the functions of the players’ organic and functional systems and how to control and influence them. There are clear interactions between training components and changes occurring …

Biological Rhythm In Its Physical, Mental, And Emotional Cycles And Its Relationship To The Match Outcome Of Female Tennis Players, Hasna Star Jabbar Dec 2006

Biological Rhythm In Its Physical, Mental, And Emotional Cycles And Its Relationship To The Match Outcome Of Female Tennis Players, Hasna Star Jabbar

Modern Sport

The aim of the research is to identify the cycles of biological rhythm variables (physical, mental, and emotional) in female tennis players and to explore the relationship between the positive peak of these three cycles and the match outcome. The research methodology, sample, and data collection tools were presented, followed by analysis and discussion of the results. The researcher concluded that the match result is affected by the physical cycle, where higher physical peak levels correspond to better performance. Additionally, the mental cycle influences the match outcome, as higher mental cycle values lead to improved performance, indicating that the player’s …

Mental Health And Substance Abuse Services Preferences Among American Indian People Of The Northern Midwest, Melissa Lynn Walls, Kurt D. Johnson, Les B. Whitbeck, Dan R. Hoyt Dec 2006

Mental Health And Substance Abuse Services Preferences Among American Indian People Of The Northern Midwest, Melissa Lynn Walls, Kurt D. Johnson, Les B. Whitbeck, Dan R. Hoyt

Department of Sociology: Faculty Publications

This study examines factors that influence preferences between traditional cultural and western mental health and substance use associated care among American Indians from the northern Midwest. Personal interviews were conducted with 865 parents/caretakers of tribally enrolled youth concerning their preferences for traditional/cultural and formal healthcare for mental health or substance abuse problems. Adults strongly preferred traditional informal services to formal medical services. In addition, formal services on reservation were preferred to off reservation services. To better serve the mental health and substance abuse treatment needs of American Indians, traditional informal services should be incorporated into the current medical model.

Switchgrass For Biomass Feedstock In The Usa, Matt Sanderson, Paul Adler, Akwasi Boateng, Michael Casler, Gautam Sarath Dec 2006

Switchgrass For Biomass Feedstock In The Usa, Matt Sanderson, Paul Adler, Akwasi Boateng, Michael Casler, Gautam Sarath

United States Department of Agriculture-Agricultural Research Service / University of Nebraska-Lincoln: Faculty Publications

Switchgrass has received much study for biomass feedstock production and conversion through research funded by the US-DOE and USDA during the past two decades. We have an improved understanding of the adaptation of existing cultivars and new cultivars with yield and adaptation improvements are now appearing. We also have a good understanding of the agronomics of switchgrass production, mainly from its use as a forage crop. There remain several constraints to switchgrass use in bioenergy cropping systems, including reliable establishment methods to obtain productive stands in the first year, targeted fertilization and nutrient management techniques to efficiently use nitrogen fertilizer, …

Towards Effective Online Learning Implementation In Tanzanian Higher Learning Institutions: Obstacles, Challenges And Opportunities, M Victor Dec 2006

Towards Effective Online Learning Implementation In Tanzanian Higher Learning Institutions: Obstacles, Challenges And Opportunities, M Victor

Tanzania Journal of Engineering and Technology (TJET)

This paper identifies and discusses several influential factors as well as opportunities, associated with effective- online learning implementation in Tanzanian Higher Learning Institutions (THUs). Fourteen (14) THUs were surveyed, using face-to-face interviews in focus groups. The groups included Lecturers, Heads of ICT Departments, ICT Technical Personnel as well as Admi/:listrative Staff. Results indicate that mostly, problems with effective online implementation in THUs are centred on a severe scarcity of online resources and tools and that the main challenges lie in going beyond the process of integrating technology with their teaching curricular, so that training of both teaching and supporting staffs …

Putative Fathers Take Note: Revisiting In Re Loveheart And Revising The Rule Of Notice In Dependency Proceedings In Light Of Missouri's Revised Statutes And Putative Father Registry, Lauren A. Standlee Dec 2006

Putative Fathers Take Note: Revisiting In Re Loveheart And Revising The Rule Of Notice In Dependency Proceedings In Light Of Missouri's Revised Statutes And Putative Father Registry, Lauren A. Standlee

ExpressO

An increasingly large number of babies are born to unwed parents in the United States every year. This phenomenon is problematical for putative fathers in adoption proceedings because it is difficult to protect such a father’s rights while advancing the child’s best interests. Many states, such as Missouri, have responded by enacting putative father registries. An unwed father may file his intent to claim paternity with the Missouri Putative Father Registry in a postcard to insure notice of any proceeding that may affect his parental rights. However, a Missouri putative father who has not filed with the registry and taken …

Scaling Tests Of The Cross Section For Deeply Virtual Compton Scattering, C. Muñoz Camacho, Timothy Holmstrom, Jefferson Lab Hall A Collaboration Dec 2006

Scaling Tests Of The Cross Section For Deeply Virtual Compton Scattering, C. Muñoz Camacho, Timothy Holmstrom, Jefferson Lab Hall A Collaboration

Chemistry & Physics Faculty Publications

We present the first measurements of the e⃗p→epγ cross section in the deeply virtual Compton scattering (DVCS) regime and the valence quark region. The Q2 dependence (from 1.5 to 2.3  GeV2) of the helicity-dependent cross section indicates the twist-2 dominance of DVCS, proving that generalized parton distributions (GPDs) are accessible to experiment at moderate Q2. The helicity-independent cross section is also measured at Q2=2.3  GeV2. We present the first model-independent measurement of linear combinations of GPDs and GPD integrals up to the twist-3 approximation.
