This Article examines the legalities of mini-tender offers and the regulatory responses thereto. Part II traces the legislative history and operation of the Williams Act and its application to mini-tender offers. This Part concludes that mini-tender offers likely do not constitute tender offers under the Williams Act as currently constituted.

Federal Preemption Of Tort Claims Under Fifra: The Erosion Of A Defense, Valerie Watnick

With the growth of federal regulation in the last century, federal preemption of state law has been an evolving issue in the area of toxic torts litigation. The preemption doctrine occupies a particularly prominent place in the area of pesticide-related litigation as the judiciary has struggled to decide what, if any, tort claims are preempted by the Federal Insecticide Fungicide and Rodenticide Act of 1972 ("FIFRA "), the federal statute governing the sale and labeling of pesticides in the United States. In this article, I explore emotional segregation and how it functions in the context of Huckleberry Finn for both personal and academic reasons. Recently, I read Huckleberry Finn because it had been assigned to my daughter's middle school class. I was concerned for her welfare because she is Black and worried how the book would affect her. To understand her reactions, I had to understand the controversy surrounding the book, particularly as a White mother I have reflected quite deeply on the question whether the book is racist. Deregulating Voluntary Dismissals, Michael E. Solimine, Amy E. Lippert

Federal Rule of Civil Procedure 41(a) and its state law counterparts permit, under certain circumstances, a plaintiff to voluntarily dismiss her lawsuit without prejudice. Within certain windows of opportunity, plaintiffs can take this unilateral action without the permission of the defendant or of the court, and without any conditions attached. When those windows are closed, plaintiffs can still seek dismissal with the approval of the defendant or of the court. This regime is problematic: giving plaintiffs this unilateral power is an anachronism in an age of managerial judging, and can be considerably inconvenient for defendants. Keeping The Citizenry Informed: Early Congressional Printing And 21st Century Information Policy, Aimée C. Quinn

Although the electronic revolution in publishing fostered a new Information Age, the need for government documents in tangible format continues. This paper examines the historical roots of congressional printing compared to 21st century challenges to information policy. The author argues that the founding fathers intentionally did not include language mandating the printing of government information, aside from the Journal as described in the Constitution, for the simple reason that they viewed it as an inherent obligation on the part of all elected officials. As such, restrictive information policies, such as the U.S.A. Patriot Act, impinge upon the original intent of …

Altered Reward Value Of Carbohydrate Snacks For Female Smokers Withdrawn From Nicotine, Bonnie Spring, Sherry Pagoto, Dennis E. Mcchargue, Donald Hedeker, Jessica Werth

Discontinuing nicotine intake usually results in weight gain partially due to heightened energy intake from between-meal snacks. This experiment tested the hypothesis that the reinforcing value of palatable carbohydrate-rich snacks increases for female smokers during nicotine deprivation. Eighteen smokers and 18 nonsmokers completed a concurrent-schedules operant computer task on two separate days. Smokers were bio-verified abstinent at the second testing. The operant task allowed participants to earn points redeemable for either carbohydrate snacks or money on concurrent variable-ratio schedules of reinforcement. There were five different probabilities of earning points redeemable for snacks (8%, 16%, 25%, 50%, 75%), while the probability …

Fecal Coliforms And Antibiotic Resistance Of Tuckahoe Creek, Catherine C. Parker

The Tuckahoe Creek has been classified impaired by the Virginia Department of Environmental Quality (DEQ) indicating that one of the following parameters exceed the accepted limits: pH, temperature, dissolved oxygen (DO), phosphates, nitrates, and concentration of fecal coliforms. Throughout the course of this study, two selected sites have been monitored monthly in order to measure these parameters. Route 288 is located near a construction site, and Route 621 is near Sycamore Creek Golf Course in a more rural area. The results from this study have shown that the fecal coliforms have been uniformly within the set legal limit of 1,000 …

Religious issues are anchored deep inside individuals and the slightest challenge or questioning of an individuals beliefs brings about defensiveness. The widespread need to fill the many teacher vacancies in Virginia and the nation as a whole has stirred many debates on how to solve the problem. Often a "quick fix" attitude prevails when considering options for training and retaining teacher candidates to fill the current and future needs of our schools. The professional development model of collaboration between Marymount University and two local school jurisdictions is an ongoing effort that has met with success and has produced long-term positive results.

Overlooked Issues In The "Diligent Prosecution" Citizen Suit Preclusion, Jeffrey G. Miller

Congress sought to attain full compliance with environmental statutes. It reasoned that multiple enforcers would provide more comprehensive and effective enforcement than one enforcer. Congress therefore empowered the Environmental Protection Agency (EPA), the states and private citizens as enforcers of the statutes. However, Congress worried that successive actions by multiple enforcers could bring disruption and conflict to enforcement litigation and remedies. It therefore included in the citizen suit provision of each statute a limited, three-element notice, delay, and bar preclusion device to manage successive citizens' enforcement against the violations already subject to government enforcement. The death penalty is expensive. For many reasons-including the reality that if the prosecution insists on the death penalty there is essentially no chance of a guilty plea, and the fact that the bifurcation between guilt and penalty that uniquely characterizes capital cases imposes double costs throughout the process of investigation, trial, and appeals -a state's decision to have a criminal justice system in which death is available as a sanction necessarily entails substantially higher costs than the contrary decision does.
