Deal Protection Provisions In The Last Period Of Play , Sean J. Griffith Jan 2002

Deal Protection Provisions In The Last Period Of Play , Sean J. Griffith

Faculty Scholarship

The ability to protect mergers is important to both targets and acquirors. A series of recent Chancery Court decisions, however, challenges the validity of deal protection provisions in merger agreements and threatens the stability of Delaware's established change of control paradigm. This article argues that last period concerns animate the Chancery Court's decisions and finds, in the last period problem, a theoretical principle capable of harmonizing these decisions with existing jurisprudence and providing a coherent approach to the practical problems raised by deal protection provisions.

Influence On Body Fat Of Linoleic Acid Isomers, Kim Hargrave, Kristin Nollette, Merlyn K. Nielsen, Jess L. Miner Jan 2002

Influence On Body Fat Of Linoleic Acid Isomers, Kim Hargrave, Kristin Nollette, Merlyn K. Nielsen, Jess L. Miner

Nebraska Beef Cattle Reports

In two studies mice were fed diets containing either a mixture of, or individual conjugated linoleic acid (CLA) isomers in the presence or absence of essential fatty acids. Mice fed the C18:2 Δ10,12 CLA isomer lost as much body fat as those fed a mixture of isomers. This effect was not caused by the C18:2 Δ9,11 isomer (predominant in beef) or by restricted feed intake. The loss was much greater in mice consuming an essential fatty acid deficient diet versus a control diet. This supports our hypothesis that for CLA to deplete body fat, it must first be metabolized in …

What do they mean?

1. "Numbers, Mountains, and the Supersonic Fly" by Len Zane ... 1 Zane in his Presidential Address (San Francisco, 1996) told us about Mount Whitney, height 14496.811 feet-as Zane says, that's 14496 and 811 thousands of a foot. How do they know, he asks. How? He reminds us to be skeptical of the beguiling effect of numbers. Originally appeared in Winter 1997 issue.

Unjust Order: Malaysia's Internal Security Act, Nicole Fritz, Martin Flaherty Jan 2002

Unjust Order: Malaysia's Internal Security Act, Nicole Fritz, Martin Flaherty

Fordham International Law Journal

This Report represents the culmination of a year-long project undertaken by the Crowley Program to update the study of the use and impact of the Internal Security Act (ISA) in Malaysia in light of international law obligations. We reference first those international commitments that Malaysia has expressly adopted. However, these are very few--reflecting the antipathy felt by the Malaysian government for international obligations of this sort. Additionally, we have made reference to the generally-accepted international law provisions applicable in this context--intended both to demonstrate the extent to which the ISA deviates from widely-upheld international norms, even if those norms are …

Electronic Signatures: A Comparison Of American And European Legislation, Lance C. Ching Jan 2002

Electronic Signatures: A Comparison Of American And European Legislation, Lance C. Ching

UC Law SF International Law Review

The federal Electronic Signatures in Global and National Commerce Act, effective on October 1, 2000, established that a signature, contract, or record related to an interstate or foreign transaction cannot be denied legal effect simply because it is in electronic form, subject to certain exceptions. For much the same purpose, the European Parliament and Council adopted the Directive on a Community Framework for Electronic Signatures in December 1999.

This Note discusses the approaches taken by the United States and the European Union toward establishing the validity of electronic signatures. It provides a brief overview of the history of electronic commerce …

Sovereignty, Influence, Realpolitik And The World Trade Organization, Matthew Schaefer Jan 2002

Sovereignty, Influence, Realpolitik And The World Trade Organization, Matthew Schaefer

UC Law SF International Law Review

During the U.S. governmental consideration of the Uruguay Round agreements creating the World Trade Organization ("WTO"), claims of "lost sovereignty" were used as a rhetorical device by numerous groups opposed to the WTO. The primary users of the rhetoric were supporters of a more protectionist trade policy, most prominently Pat Buchanan and environmental activists associated with Lori Wallach. However, the ease with which the legalistic response debunked the claim of lost sovereignty and the selective application of sovereignty rhetoric by these groups suggested that their actual concerns did not match the rhetoric. Instead, the underlying concern appears to be over …

Relative Sovereignty Of The Twenty First Century, Ivan Simonovic Jan 2002

Relative Sovereignty Of The Twenty First Century, Ivan Simonovic

UC Law SF International Law Review

The quality of state sovereignty in the contemporary world, both in internal and external relations, has fundamentally changed. Sovereignty of the state in international relations is changing from a system of international relations based on concentration of power in states alone into a system of power-sharing and balance between state and non-state actors. The principle of noninterference in the "internal affairs of a state" is being challenged by the international community's belief in its "responsibility to protect" the world's citizens from persecution, large-scale human rights abuses, and other sufferings. However rational, the process of increasing power-sharing between states, international organizations, …

Failed Child Welfare Policy: An Essay Review, Anthony N. Maluccio

Journal of Family Strengths

Hutchinson, J.R. (with C.E. Sudia) (2002). Failed Child Welfare Policy—Family Preservation and the Orphaning of Child Welfare. Lanham, MD: University Press of America.

This essay reviews Failed Child Welfare Policy (Hutchinson, 2002), in which the author argues that the public child welfare system has failed to meet the needs of children and families coming to its attention. She recommends using the available—and limited—resources to reorganize and reconstruct the service delivery system with emphasis on familycentered services.

Supporting Families Through Short-Term Foster Care: An Essay Review, Anthony Maluccio

Journal of Family Strengths

Aldgate, J. and Bradley, M. (1999). Supporting families through short-term fostering. London: The Stationery Office.

This essay reviews a British qualitative study of short-term foster care from the perspectives of birth parents, children, foster parents, and social workers. Respondents highlighted the value of short-term foster care as a family support service and also offered many recommendations for improving service delivery. The study provides useful implications for restructuring child welfare services in the United States and for promoting cross-national collaboration in future research activities in the area of child and family services.
