Cheeseheads And Longhorns: Why Texas Should Follow Wisconsin’S Lead In The Treatment Of Limited Liability Company Member Interests As Securities, Kimberley C. Latham Oct 2002

Cheeseheads And Longhorns: Why Texas Should Follow Wisconsin’S Lead In The Treatment Of Limited Liability Company Member Interests As Securities, Kimberley C. Latham

Texas Wesleyan Law Review

The limited liability company has become one of the more attractive business associations, both for legitimate enterprises seeking flexibility in structure, shields from personal liability for company debts and obligations, and tax advantages, and for the not-so-legitimate enterprises seeking shelter from personal liability for taking advantage of the unwary. In order to assist and protect the investing public and to provide certainty and structure for business owners, Texas should amend its current statutory scheme to mandate the treatment of certain LLC interests as securities, modeling this legislation after the Wisconsin approach-a three-tiered method of defining an LLC as a security. …

Swosu Fact Book Fall 2002, Denisa Engelman

Fact Books

I am proud to introduce the eleventh annual Southwestern Oklahoma State University Fact Book. It provides a ready source of information to answer frequently asked questions about the University and its operations. Unless otherwise noted, the information in this Fact Book came from computer-generated reports that are printed following the tenth class day of each fall semester. Because of student fluctuations during the semester, numbers will not match other published enrollment numbers that may be based on enrollment at the end of a semester.

Toward Reparations Policy In Ghana A Study Of The Reparations Movement In Ghana, West Africa., Elizabeth Whittaker

African Diaspora ISPs

Ghana has a history of being an impetus for Pan-African change. However, the reparations movement that recently gained international attention at the United Nations World Conference Against Racism does not yet have an organized mass-base of consensus of awareness in Ghana. While many people agree that the slave trade and colonialism have contributed to Ghana's problems of poverty, unemployment, and limited educational resources, few have associated these needs with the term "reparations".

Senate Bill 140: How Much Did It Change Texas Family Code Section 153.004?, Shelly Holcomb

Texas Wesleyan Law Review

This Note examines Texas Senate Bill 1408 (SB 140), passed by the Seventy-Seventh Texas Legislature, which amended Texas Family Code (TFC) section 153.004 relating to the history of domestic violence. The bill had two main purposes: (1) to give direction to judges "regarding the appointment of sole custody in family violence cases," and (2) to change the way Texas courts handle visitation when a parent has a history of domestic violence.' After a long Texas summer of well-publicized domestic violence cases, this amendment appeared to be the next logical, and much-needed, step in furtherance of the public policy of this …
