The Professional Liability Crisis And The Need For Professional Limited Liability Companies: Washington's Model Approach, Bryan Smith

Seattle University Law Review

This Comment argues that every state should allow professionals to take advantage of LLC statutes, as Washington has done. Such action will provide protection for accountants and lawyers from the wave of litigation that has surfaced in recent times and to restore an element of confidence to these professions. This Comment further asserts that allowing professionals to use LLC statutes is not only consistent with the duties peculiar to the accounting and legal professions, but also a necessary step when viewed in light of the policies of fairness, efficiency, and public protection. One wonders if John Rhoades was thinking about lawyers when this was written.Unfortunately (for innovative law teachers at leas~) lawyers often' have a reputation forbeing staid and conservative. Only the passage of time and re-education of lawyers, lawstudents and the public can hope to alter this perception. As role models, law teachers caninfluence students' sense of worth, attitudes, ethics, and professional expectationsenormously. Often this potential sphere of influence is exercised unconsciously, if not,neglected. As a role model, teachers have the perfect opportunity to communicate to theirstudents why their discipline is exciting and why it is worthy of commitment.

Largely as a result of prompting by the American Bar Association ("ABA"), most American law schools now require students to take a class called Professional Responsibility or Legal Ethics before graduation.

The ABA's campaign for a renewed emphasis on ethics stems from a desire that lawyers return to the "principles of professionalism."' How law schools should go about teaching their students these principles has never been as clear, for example, as how to teach students federal taxation. In May of 1995, a democracy building project between The Judge Advocate General of Ukraine and United States Army lawyers was completed in Kiev. Over the course of this eight-month project, from September 1994 to May 1995, United States Army judge advocates from the International and Operational Law Division, Office of The Judge Advocate General, worked directly with Colonel Alexander Bokov, Chief, Legal Service of the Ministry of Defense of Ukraine, in developing a legal training handbook for Ukrainian soldiers.

The handbook, entitled “Code of Conduct for Participants in Military Operations,” now serves as the primary training guide for instructing …

When the state must designate a child's legal parentage, should the goal be to protect the biological parents' "opportunity interests" to raise "their" child or to protect the child's established relationships with the individuals who have actually functioned as her parents? What characteristics render an adult an appropriate parent? The fall of Communism marked a new era for Eastern European countries. The events that followed the 1989 revolutions brought about new economic reforms within this region. However, only a few countries have managed to successfully overcome the shroud their communist predecessors had on their approach to business and industry. Poland is one country that is rapidly overcoming its history.

In 1992, the ABA Task Force on Legal Education and the Profession, under the leadership of its Chairman Robert MacCrate, came out with what has become popularly known as the MacCrate Report. This epochal document has redefined the scope of the current debate on how law school should be taught and what values should make up the core of legal education. I have often thought myself ill-suited to my chosen profession. I love to argue, but I am often too quick to say both, "yes, I see your point" and concede something to the "other side," and to say of my own arguments, "yes, but, it's not that simple." In short, I have trouble with polarized argument, debate, and the adversarialism that characterizes much of our work. Where others see black and white, I often see not just the "grey" but the purple and red-in short, the complexity of human issues that appear before the law for resolution.
