Changing conditions often force us to rethink the role of a law. Professor Ryan's scholarly article, Rule 14a-8, Institutional Shareholder Proposals, and Corporate Democracy,underscores this need. His article is useful for both its successes and its failures. Its principal failure is its inability to identify a general justification for the rule. This is helpful; the failure of an intelligent and deter- mined advocate to find a persuasive defense of the rule confirms that no defense is possible. The article succeeds principally in showing how institutional investors have recently used the rule in ways that put the rule in a new …

In 1932, Adolf Berle and Gardiner Means published the seminal book, The Modern Corporation and Private Property. This work set forth the thesis that corporate law's central dilemma has been the separation of ownership and control in publicly held corporations. Over the years, the Berle-Means thesis has been tossed aside by critics who argue that economic forces compel managers to act as if the shareholders were in control and by those who welcome the idea that managers are able to exercise their more enlightened business acumen. Stepping Out Of The Morass Of Duress Cases: A Suggested Policy Guide, Juliet P. Kostritsky

Traditional coercion theories and elements are simply inadequate as an exclusive focus of analysis in duress cases. This Article does not propose a new theory of duress. Instead, it suggests a refinement of doctrine in which the courts candidly articulate certain key policy goals and develop elements based on them. These policy goals include efficiency, disclosure of unexpected risks, judicial capability, reliance, and economic incentives. If decisionmakers adopted the policy analyses suggested here, the predictability of judicial decisionmaking would be enhanced and a supplemental analysis would be available when the doctrinal elements become difficult to apply. Two experiments were conducted with Cobb feather sex broiler breeders comparing skip-a-day (SAD) feeding programs which began at either 2, 4, 6 or 8 wk of age. A fifth program, daily restriction started at 2 wk of age, was also compared. Chicks hatched in December and July, respectively, in Experiments 1 and 2 were exposed to natural daylight until 20 wk of age. All birds were fed ad libitum until the respective restriction programs began. All grower programs terminated at 20 wk of age. A breeder diet was given daily after 20 wk. This experiment was designed to evaluate the ability of three different somatic cell cultures to promote development of early cleavage stage pig embryos. A total of 245 2-cell, 4-cell, 8-cell, and 16-cell pig embryos were cocultured for 5 days with porcine oviductal epithelial cells (POEC), porcine fetal fibroblast monolayer (PEF), a combined POEC and PEF coculture system (PEF-POEC), or Dulbecco's Modified Eagle Medium alone (DMEM). Embryos were collected at slaughter from the reproductive tracts of superovulated prepubertal gilts. Embryos were recovered, evaluated, and randomly placed in one of the four treatment groups. Two identical trials were conducted with 5 to 14-day-old broiler chicks. Sodium zeolite A (NZA, 0 and .75%) and Ca (1.0 and 1.5%) were fed to both uninfected and Eimeria acervulina-infected chicks resulting in a 2 x 2 x 2 factorial arrangement of treatments. Coccidial infection reduced weight gain and gain:feed (P less than .01), and tibia ash, Ca, and Ca:P ratio (P less than .05). Excess dietary Ca reduced (P less than .05) weight gain and tibia ash in uninfected chicks but had no effect (P greater than .10) in coccidiosis-infected chicks (Ca x coccidiosis interaction, P less than …

Tissue factor (TF)-producing cells were identified in normal human vessels and atherosclerotic plaques by in situ hybridization and immunohistochemistry using a specific riboprobe for TF mRNA and a polyclonal antibody directed against human TF protein. TF mRNA and protein were absent from endothelial cells lining normal internal mammary artery and saphenous vein samples. In normal vessels TF was found to be synthesized in scattered cells present in the tunica media as well as fibroblast-like adventitial cells surrounding vessels. Atherosclerotic plaques contained many cells synthesizing TF mRNA and protein. Macrophages present as foam cells and monocytes adjacent to the cholesterol clefts …

Detached cucumber (Cucumis sativus L. var. Beit Alpha) cotyledons incubated in darkness with 5-aminolaevulinic acid and either 16O2 air (control) or 18O2 in N2 accumulated protochlorophyllide. This was converted into methyl phaeoporphyrin alpha 5 and analysed by mass spectrometry. The molecular ion of the methyl phaeoporphyrin alpha 5 derived from the 18O2 incubation was 2 mass units greater than that of the control, establishing that the oxo oxygen atom of the isocyclic ring is derived from atmospheric oxygen.

The later stages in the pathway of biosynthesis of phycocyanobilin, the chromophore of phycocyanin, were studied by using radiolabelled intermediates. Three possible pathways from biliverdin IX-alpha to phycocyanobilin were considered. 14C-labelled samples of key intermediates in two of the pathways, 3-vinyl-18-ethyl biliverdin IX-alpha and 3-ethyl-18-vinyl biliverdin IX-alpha, were synthesized chemically and were administered to cultures of Cyanidium caldarium that were actively synthesizing photosynthetic pigments in the light. Neither of these two compounds was apparently incorporated into the phycobiliprotein chromophore, suggesting that two of the three pathways were not operative. Improvements in the analysis of lipid-bound phosphates resulted in a simplified and sensitive method for determining microbial biomass in sediments. Sensitivity was enhanced over previous methods by use of a dye, malachite green, which when complexed with phosphomolybdate at low pH has a high extinction coefficient (at 610 nm). The use of a persulfate oxidation technique to liberate phosphate from lipids increased the simplicity and safety of the method relative to the traditional perchloric acid digestions. The modified method was both accurate (yielding quantitative recoveries of cells added to sediments) and precise (coefficient of variation of less than 5% for …

Coronary risk factors are more prevalent among blacks than whites in the United States. It is therefore paradoxical that age-adjusted death rates for coronary artery disease (CAD) are similar in the two racial groups. The major risk factor for CAD that is more common among blacks than whites is hypertension, which increases the risk of CAD by two- to fourfold, depending on the presence of smoking, hypercholesterolemia, or other factors. Two general hypotheses have been advanced to explain the lower than expected CAD rates among blacks: (1) the presence of some protective factors, such as increased levels of high density …

To assess racial differences in health care utilization for coronary artery disease (CAD) the data of the National Hospital Discharge Survey (NHDS) from 1979-84 were examined. Discharge rates for acute myocardial infarction (AMI) were utilized as a measure of hospital-based incidence and relative need for the designated cardiac procedures. Although 35-74 year old Black men had discharge rates of AMI that were 77 per cent of those observed for White men, they underwent coronary arteriography half as often and were only a third as likely to have coronary artery bypass graft (CABG) surgery. Negami has introduced two polynomials for graphs and proved a number of properties of them. In this note, it is shown that these polynomials are intimately related to the well-known Tutte polynomial. This fact is used, together with a result of Brylawski, to answer a question of Negami. © 1989.

For r in {3, 4}, the class of binary matroids with no minor isomorphic to M(Wr), the rank-r wheel, has an easily described structure. This paper determines all graphs with no W5-minor and uses this to show that the class of regular matroids with no M(W5)-minor also has a relatively simple structure. © 1989.

A result of Walton and the author establishes that every 3-connected matroid of rank and corank at least three has one of five six-element rank-3 self-dual matroids as a minor. This paper characterizes two classes of matroids that arise when one excludes as minors three of these five matroids. One of these results extends the author's characterization of the ternary matroids with no M(K4)-minor, while the other extends Tutte's excluded-minor characterization of binary matroids. © 1989, Academic Press Limited. First, we discuss and correlate the various types of regularizations available in the literature for the singular function H(x) xk, where k is an integer and H(x) is the Heaviside function. Then we present the corresponding regularization for the function r-k, where r is the radial distance in Rn. Thereafter, we express the recently discovered distributional derivatives of this function in terms of pseudofunctional language commonly used in the Coulomb, gravitational, and interparticle potentials where the function 1 r plays a fundamental role. © 1989.

Nuclear DNA mass in cells from a reference species can be used to obtain high‐resolution estimates of DNA mass from a target species. In our study of DNA mass in cells from 45 selected species, representing each of the major vertebrate classes, we have obtained values of from 1.5 to 110.0 pg of DNA. Because values in or near this range would be expected in the study of nuclear DNA mass in vertebrates and other organisms, the species in this report can provide a useful catalogue of references for comparative studies of DNA. Yearling Holstein bulls were fed a corn silage ration supplemented with either cottonseed meal with gossypol or soybean meal in two trials to evaluate the effect of feeding gossypol on reproductive characteristics. In Trial 1, roughage to concentrate ratio was 88:12 and was fed for 60 d. In Trial 2, roughage to concentrate ratio was 50:50 and was fed for 42 d. Cottonseed meal concentrate had 3.03 g total gossypol/kg DM. Cottonseed meal concentrate was fed to provide 6 and 30 mg total gossypol/kg BW per d in Trials 1 and 2. Whole sagittae from 683 and sectioned sagittae from 773 "adult" (age> 0 ; 437-1.310 mm FL), and lapilli from 29 larval (2-7 mm SL) and 69 young-of-the-year (79-320 mm FL) king mackerel, were examined. All fish were from waters off the Atlantic coast of the southeastern United States (Cape Canaveral, Florida to Cape Fear. North Carolina). Back-calculated lengths at ages and von Bertalanffy growth equations were calculated from both whole and sectioned sagittae. Ages determined from sectioned sagittae were significantly greater than ages determined from whole sagittae, and the magnitude of the difference increased with age (from sections). Rings on …
