The Political Ecology Of Takeovers: Thoughts On Harmonizing The European Corporate Governance Environment, Ronald J. Gilson

Economic policy debate in the United States during the 1980s focused on the dynamics of bidder and target tactics in hostile takeovers. Confronted with the largest transactions in business history, financial economists took advantage of developments in econometric techniques to conduct virtually real time studies of the impact on firm value of each new bidder tactic and target defense. For courts and lawyers, hostile takeovers subjected standard features of corporate law to the equivalent of a stress x-ray, revealing previously undetected doctrinal cracks. Congress held seemingly endless hearings on the subject, although managing to enact only relatively innocuous tax penalties …

Professor Alexander Capron's seminal 1974 article, "Informed Consent in Catastrophic Disease Research and Treatment,"1 opens with a discussion of Karp v. Cooleys a lawsuit arising from Dr. Denton Cooley's first use of the artificial heart, in which Haskell Karp's widow unsuccessfully claimed that her husband's consent to use of the experimental device was inadequately informed. Today, more than twenty years after that surgery took place, American medical technology has markedly advanced and public awareness of informed consent has greatly increased, but doctors and patients may not have changed much at all. One significant gap in the burgeoning academic literature of international human rights law is the lack of research related to the impact of international and national procedures on the actual protection of human rights. 1 It is remarkable that almost no academics or activists have even attempted to assess the effectiveness of human rights measures. Of course, demonstrating effectiveness in any area of human endeavor, particularly international human rights work, is very difficult. Many human rights advocates investigate abuses and write letters to governments because they believe that speaking out is better than remaining silent in the face of repression. …
