An Employer's Unilateral Action -- An Unfair Labor Practice?, J. Gilmer Bowman, Jr.
Vanderbilt Law Review
During the Industrial Revolution, the growth of enormous industrial establishments with a correspondingly large number of workers hired to perform increasingly simple tasks manifested the inability of an individual effectively to bargain with an employer concerning wages, hours, and other terms and conditions of the employment relationship. The resulting discontent among workers produced long and bitter, often bloody, outbreaks of economic warfare between employers and employees. In the abstract, freedom of contract was possible still, but as a practical matter employment benefits and obligations were largely established by managerial fiat. It was felt that if employees could effectively unite for …

Michigan Law Review
Following a proxy contest in which the insurgent faction of stockholders was successful, the new board of directors paid out $28,000 to members of the old board to cover expenses incurred by them, and also used $127,000 to reimburse the prevailing group. The latter expenditure was approved by a sixteen-to-one majority vote of the stockholders. Plaintiff brought a derivative action seeking restoration of both amounts. The trial court dismissed the complaint, and the appellate division affirmed this judgment. On appeal to the New York Court of Appeals, held, affirmed, three judges dissenting. Corporate directors may make reasonable expenditures in …

Workshops On Legal Problems Of Atomic Energy, University Of Michigan Law School
Summer Institute on International and Comparative Law
In 1952 the University of Michigan Law School, as a part of its summer session program, offered an Institute entitled "Industrial and Legal Problems of Atomic Energy. " The 1946 Atomic Energy Act, creating a virtually complete government monopoly, was then in effect, and private development of peaceful uses of atomic energy was for the most part merely a gleam in the eyes of a few forward-looking individuals. The 1952 Institute was devoted to the task of obtaining a preview of atomic affairs to come. The speakers on the program could do no more than look forward and speculate on …

Student Scholarship
This research paper examines the historical and regulatory framework governing the allocation of television channels in the United States, with a specific focus on the comparative hearing process used by the Federal Communications Commission. The study begins by outlining the evolution of television technology from the late nineteenth century through the post-World War II era, highlighting the administrative hurdles and the expansion freeze that led to the current regulatory environment. Central to the discussion is the role of the Federal Communications Commission as the custodian of the nation's airwaves, tasked with ensuring that licenses are distributed in a manner that …
