The Legal Status Of Joint Venture Corporations, Thomas F. Broden, Alfred L. Scanlan
Journal Articles
American industry employs many forms of business organizations. The sole proprietorship, the partnership, general and limited, the joint venture, the joint stock company, the corporation, public issue and close, and many others are all familiar and well established in their use. This article deals with the use by American industry of the close corporation to carry on a joint venture. With due deference to purists in legal terminology we have elected to refer to this particular type of corporate entity as the joint venture corporation. In this article we not only look at the use made of the joint venture …

Full Faith And Credit To Judgments And Public Acts, Kurt H. Nadelmann
Full Faith And Credit To Judgments And Public Acts, Kurt H. Nadelmann
Michigan Law Review
Interest here is concentrated on full faith and credit for public acts. But what led to insertion of the command respecting public acts cannot be divorced historically from the study of the command of full faith for judgments. The whole field, therefore, has been included in the reexamination. Clarifications obtainable on the "judgments" side, it will be seen, help also on the "public acts" side. On both sides there are historical facts which deserve greater attention than has been hitherto given, and if, as a result, some of the myths surrounding the' Lawyers Clause are exploded, the rethinking may have …

A Lawyer's View Of Labor Arbitration, George E. Strong
A Lawyer's View Of Labor Arbitration, George E. Strong
Vanderbilt Law Review
The future of labor arbitration and the viewpoint of the lawyer with reference thereto depend very largely upon the arbitrators and their procedures, conduct and decisions. Of course, the parties and their counsel are under a duty, in the words of the Code of Ethics and Procedural Standards for Labor-Management Arbitration prepared by the American Arbitration Association and the National Academy of Arbitrators and approved by the Federal Mediation and Conciliation Service, "to approach arbitration in a spirit of cooperation with the arbitrator and should seek to aid him in the performance of his duties." Nevertheless, the arbitrator, like the …

An Analysis Of Marriage Trends And Divorce Policies, Robert S. Redmount
An Analysis Of Marriage Trends And Divorce Policies, Robert S. Redmount
Vanderbilt Law Review
Divorce law, theoretically, is the embodiment of policies governing the dissolution of marriage. It is the legal expression of the values attached to marriage and implicitly states the law's understanding of the marital relationship, at least that part of it that reflects conflict and disturbance.
The analytic discourse which follows briefly assesses the roles and meanings of marriage, the sources and consequences of marital disharmony and the complications of marriage dissolution. The history and composition of divorce policies and laws is carefully savored and sharply scrutinized for fidelity to the reason and experience of marriage. The outcome of this analysis …

Nonprofit Corporation Statutes: A Critique And Proposal, Ralph E. Boyer
Nonprofit Corporation Statutes: A Critique And Proposal, Ralph E. Boyer
Michigan Legal Studies Series
The nonprofit corporation has become an important factor in the social and economic life of the American people. The American predisposition to organization and affiliation has led to an enormous number of such organizations, which in itself is a significant factor. Further, many nonprofit corporations have become national and international entities yielding tremendous economic and political influence. In spite of these factors, however, these organizations have largely escaped the serious study and academic analysis so generously bestowed upon the regular business corporation. This study is directed at an analysis of the legal framework within which such organizations operate. Its aim …
