What Is A Business Crime?, Richard A. Booth

Criminal prosecution has been used with increasing frequency recently in connection with a variety of business failures and other financial offenses. Indeed, it appears that there are few such offenses that cannot be prosecuted criminally even though they also give rise to civil remedies. While some such offenses seem to be quite serious frauds, others seem to be as minor as getting the accounting rules wrong. Thus, the question addressed in this essay is how to define a business crime and what should be the proper role of criminal prosecution in connection with business offenses. Summary Judgment In Florida: The Road Less Traveled, Leonard Pertnoy

This article will first explore the origins of summary judgment in the Florida courts. Next, the Holl v. Talcot standard (the "Holl standard") shall be discussed. The discussion then turns to arguments in favor of maintaining the Holl standard, including the great costs which arise by the application of the standard, and ultimately, a discussion debunking those arguments. Finally, partial summary judgment shall be discussed, introducing its potential to assist the practitioner in achieving, in part, progress towards a more predictable and useful summary judgment process.

This article seeks to justify an examination of subsidiarity's development within Catholicism. Due to the fact that the European Union ["EU"] codified subsidiarity via the Treaty of Maastricht, subsidiarity is now a part of EU law. Although seemingly intended to resolve questions concerning the proper allocation of powers, its codification has generated substantial debate concerning the proper meaning(s) (if any) and/or application(s) of subsidiarity within the EU. Imperfect rights are not held against any single person, and when violated, they do not ground a claim for any particular quantum of redress. The right to an adequate income may be an imperfect right. Because imperfect rights have been asserted only as claims against the state, and because they do not lend themselves to constitutional adjudication, they have had little traction. In my paper, I will emphasize that any claim on the state is derivative from the right held as against other citizens. La importación de modelos jurídicos estadounidenses al ordenamiento peruano, afín por tradición a la familia del derecho civil, se viene consolidando, indolentemente y casi siempre de la mano con la dependencia económica, no sólo en particulares áreas del derecho (civil, comercial, bursátil, minero, ambiental, etc.), sino en la propia enseñanza universitaria y, no menos mecánicamente, en los proyectos de códigos de ética profesional para abogados. Urge, más que nunca, una comparación jurídica crítica que subraye y prevenga de los riesgos de la globalización del derecho para los países subdesarrollados.

Rewarding Outside Directors, Assaf Hamdani, Reinier Kraakman

While they often rely on the threat of penalties to produce deterrence, legal systems rarely use the promise of rewards. In this Article, we consider the use of rewards to motivate director vigilance. Measures to enhance director liability are commonly perceived to be too costly. We, however demonstrate that properly designed reward regimes could match the behavioral incentives offered by negligence-based liability regimes but with significantly lower costs. We further argue that the market itself cannot implement such a regime in the form of equity compensation for directors. De un tiempo a esta parte, los tribunales civiles de Lima vienen concediendo resarcimientos a ciegas, sobre la base del artículo 345-A del Código Civil peruano, en el cual se obliga al magistrado, a "velar por la estabilidad del cónyuge perjudicado" en los casos de separación de hecho, ya señalando una "indemnización", ya ordenando la "adjudicación preferente de bienes de la sociedad conyugal".

En este comentario de jurisprudencia se explica por qué es equivocado asociar la "indemnización" referida en dicha norma con la responsabilidad civil, y se brindan elementos para su correcto enfoque como importante manifestación de la solidaridad familiar.

This paper examines immigration legislation throughout the history of the United States. The author has divided the focus of legislative activity into four main eras: the Laissez- Fair Era (1789-1875), the Anti-Asian Era (1876-1920), the National Origin Quotas Era (1921-1953), and the Illegal Immigration Era (1954-present). While these eras are not all inclusive, they are indicative of the main focus of legislation passed during their time. The author then compares the impact of major legislation passed during these eras to three current proposals aimed at addressing the increasing issue of illegal immigration: two versions of a guest-worker program and amnesty/legalization …

With cases in the news like the McDonalds case, it has left the public with a very distorted view of the civil justice system. Information about the civil litigation system is critical because citizens report that the news media is their primary source of information about the court system, an even more important source than contact with the courts themselves. With the general public relying primarily on the news media as their source of information, it is necessary to examine what is being reported and the frequency of covering both sides to the story, the true story.
