Since the mid-nineteenth century, products liability law has undergone significant modifications. The applicable doctrine has oscillated between contract and tort theories; fault and no-fault liability schemes have competed for predominance. Despite attempts to create an internationally accepted liability norm, different legal systems continue to espouse differing perceptions of the liability formula in the products area. In addition, even in jurisdictions in which courts adhere to identical liability theories, there is disagreement as to the application and implications of the same standard. In 1985, when Kim Cotton became Britain’s first commercial surrogate mother, Europe was exposed to the issue of surrogacy for the first time on a large scale. Three years later, in 1988, the famous case of Baby M drew the attention of the American public to surrogacy as well. These two cases implicated fundamental ethical and legal issues regarding domestic surrogacy and triggered a fierce debate about motherhood, child-bearing, and the relationship between procreation, science and commerce. With the changes in the paradigm of voluntarism developed under the protection of liberalism, the bases for legal acts have reached an objective dimension, resulting in the birth of a number of mechanisms of control of private autonomy. Among these mechanisms, we can point out the relevance of those reinforced by the Roman Law, whose high ethical value underlines one of its biggest virtues in the control of the exercise of subjective rights. The purpose of this paper is to analyze the legal framework governing banking foundations as they have been regulated by Spanish Act 26/2013, of December 27th, on savings banks and banking foundations. Title 2 of this regulation addresses a construct that is groundbreaking for the Spanish legal system, still of paramount importance for the entire financial system insofar as these foundations become the leading players behind certain banking institutions given the high interest that foundations hold in the share capital of such institutions.

In common-law systems, the standard of proof for ordinary civil cases requires the party who bears the burden of proof to establish by a preponderance of the evidence that the facts alleged are true. In contrast, the prevailing standard of proof for civil cases in civil-law systems is indistinguishable from the standard for criminal cases: the judge must be firmly convinced that the facts alleged are true. This striking difference in common-law and civil-law procedures has received very little attention from either civilian or comparative scholars. Conventional wisdom holds that the United States is a common law country of precedents where, until the 20th century (the “Age of Statutes”), statutes had little role. Digitization by Google and others of previously hard to find legal works of the 19th century challenges this common law myth. El autor señala que la impugnación de acuerdos de asociación se refi ere a la categoría de la anulabilidad. Así, el artículo 92 del Código Civil convierte causas de nulidad en causas de anulabilidad, pero la conversión opera dentro de la categoría de los actos colegiales asociativos inválidos, mas no respecto de aquellos actos colegiales asociativos que deben ser considerados como inexistentes. Por ello, considera que los asociados tienen a su disposición los remedios de anulabilidad e inexistencia, dependiendo de la patología que afecte al acto colegial asociativo que se busca cuestionar.

This article is a first step in an effort to critically examine - and to debunk - some of the myths that persist about the degree to which the common and civil law systems differ. Specifically, the article questions the validity of recent scholarly commentary suggesting that the primary differences between the systems can be found in their substantive legal rules or in their respective "spirits." El autor refiere que en la doctrina y en la jurisprudencia existen posiciones disímiles respecto a la interpretación del remedio contenido en el artículo 92 del Código Civil. Así, una postura considera que tal artículo contiene un remedio especial denominado “impugnación” para cuestionar tanto la nulidad y la anulabilidad, en tanto que la otra sostiene que existe un tercer remedio de invalidez negocial distinto a los mencionados. En ese contexto, plantea una tercera posición: el referido artículo recoge el remedio de la anulabilidad, pero –teniendo en cuenta el plazo para poder incoarlo– sería una anulabilidad especial.
