The Economics Of Healthcare Rationing, Michael D. Frakes, Matthew B. Frank, Kyle Rozema

This article examines the economics of healthcare rationing. We begin with an overview of the various dimensions across which healthcare rationing operates, or at least has the potential to operate, in the first place. We then describe the types of economic analyses used in healthcare rationing decision-making, with particular reference to cost-benefit analysis and cost-effectiveness analysis. We also discuss healthcare rationing in practice, such as how economic analyses inform decisions regarding which services to cover, and conclude by discussing various practical and conceptual challenges that may arise with economic analyses and that span both economics and ethics.

Standard contract doctrine presumes that sophisticated parties choose their terminology carefully because they want courts or counterparts to understand what they intended. The implication of this “Rational Design” model of rational behavior is that courts should pay careful attention to the precise phrasing of contracts. Using a study of the sovereign bond market, we examine the Rational Design model as applied to standard-form contracting. In NML v. Argentina, federal courts in New York attached importance to the precise phrasing of the boilerplate contracts at issue. The supply of human organs for transplantation might seem an unlikely place to begin thinking about entrepreneurship. After all, there is no production market for human organs and, with the surprising exception of Iran, legal rules around the world make the sale of human organs for transplantation a criminal offense. Yet entrepreneurs have been present throughout the history of organ transplantation — a history of the active exploration, innovation, and management of a potentially very controversial exchange at the seemingly clear boundaries that separate giving from selling, life from death, and right from wrong.

เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาหามาตรการการจัดเก็บภาษีที่เกี่ยวกับสกุลเงินดิจิทัล ในประเทศไทย ด้วยวิธีการศึกษาและวิจัยเชิงคุณภาพโดยการศึกษารวบรวมเอกสารทั้งแบบปฐมภูมิ และทุติยภูมิ เกี่ยวกับต้นกำเนิดและความเป็นมาของเงินดิจิทัล ลักษณะธุรกรรมการใช้สกุลเงินดิจิทัล ต่าง ๆ มาตรการในการจัดเก็บภาษีที่เกี่ยวข้องกับเงินดิจิทัลทั้งในประเทศไทยและต่างประเทศ รวมทั้ง ปัญหา ข้อจำกัดต่าง ๆ แล้วจึงนำข้อมูลที่ได้ศึกษารวบรวมมาวิเคราะห์และสังเคราะห์โดย การเปรียบเทียบระหว่างมาตรการการจัดเก็บภาษีในประเทศไทยและต่างประเทศ เพื่อหาแนวทางใน การกำหนดมาตรการทางภาษีที่ชัดเจนและสามารถบังคับใช้ได้อย่างมีประสิทธิภาพ จากการศึกษาพบว่า นวัตกรรมทางการเงินได้มีการพัฒนาอย่างต่อเนื่องทำให้หลายประเทศ เกิดการตื่นตัวในวงกว้างต่อการกำหนดมาตรการทางภาษีที่เกี่ยวข้องกับเงินดิจิทัล ด้วยรูปแบบและ ลักษณะเฉพาะตัวของเงินดิจิทัลทำให้กระบวนการทำธุรกรรมที่ใช้เงินดิจิทัลมีความแตกต่างไป จากการทำธุรกรรมในอดีต การทำธุรกรรมที่เกิดขึ้นจะเป็นการทำธุรกรรมระหว่างผู้ใช้งานด้วยกันหรือ ที่เรียกว่า peer to peer จึงเป็นแบบอิสระโดยที่ไม่ต้องอาศัยตัวกลางทางการเงิน และยังทำให้ ผู้ใช้งานได้รับรางวัลจากการตรวจสอบและยืนยันรายการเป็นเงินดิจิทัลอีกด้วย โดยเมื่อวันที่ 10 พฤษภาคม 2561 ประเทศไทยได้มีการประกาศใช้พระราชกำหนด การประกอบธุรกิจสินทรัพย์ดิจิทัล พ.ศ. 2561 และพระราชกำหนดแก้ไขเพิ่มเติมประมวลรัษฎากร (ฉบับที่ 19) พ.ศ. 2561 ซึ่งจะมีผลตั้งแต่วันที่ 14 พฤษภาคม 2561 ซึ่งเป็นกฎหมายในการกำกับดูแล และควบคุมการประกอบกิจการที่เกี่ยวข้องกับสินทรัพย์ดิจิทัล ซึ่งมีสาระสำคัญ คือการกำหนดนิยาม ของคำว่าสินทรัพย์ดิจิทัล คริปโทเคอร์เรนซี และโทเคนดิจิทัล รวมถึงมีการกำหนดส่วนเพิ่มประเภท ย่อยของเงินได้พึงประเมินมาตรา 40 (4) แห่งประมวลรัษฎากรและกำหนดให้มีการจัดเก็บภาษี ในอัตราร้อยละ 15 โดยวิธีการหัก ณ ที่จ่าย ตามมาตรา 50 (2) แห่งประมวลรัษฎากร และต้อง นำไปรวมคำนวณเงินได้สุทธิเพื่อเสียภาษีเงินได้บุคคลธรรมดา จากผลการศึกษาจากการศึกษาเปรียบเทียบมาตรการการจัดเก็บภาษีที่เกี่ยวข้องกับเงิน ดิจิทัลของประเทศญี่ปุ่นและประเทศสหรัฐอเมริกา พบว่าทั้งสองประเทศมีมุมมองต่อเงินดิจิทัล ที่คล้ายกัน กล่าวคือ การตีความว่าเงินดิจิทัลเป็นประเภทหนึ่งของสินทรัพย์ มิใช่เงินตราและมี การจัดเก็บภาษีจากมูลค่าส่วนเกิน (Capital gain) โดยมีความแตกต่างในสาระสำคัญ 3 ประการ คือ (1) ฐานภาษีในส่วนของหลักการการคิดต้นทุนของเงินดิจิทัล (2) การใช้ประโยชน์จากการหักกลบ ระหว่างกำไรและขาดทุน (3) ภาษีมูลค่าเพิ่ม ทั้งนี้ผู้เขียนได้เสนอแนะให้มีการมีการออกระเบียบหรือ มาตรการรวมถึงแนวทางปฏิบัติที่ชัดเจน ใน การจัดเก็บ ภาษีที่เกี่ยวข้องกับ เงิน ดิจิทัล โดยควรจะพิจารณาถึงข้อดีและข้อเสียของการทำแนวทางต่าง …

Recent years have seen a growing scholarly interest in the conditions of emergence of regional trade agreements in Africa. These analyses have advanced our knowledge on a range of technical issues, from specific institutional transformation of regional economic communities such as the Economic Community of West African States (ECOWAS) to broad legal issues relating to the provisions of the regional trade agreements. Most literature on ECOWAS is, however, informed by legal formalism that interprets the text of the treaties strictly and without context, leading to a dominant interpretation of failure.

Contracting Out Of The Fiduciary Duty Of Loyalty: An Empirical Analysis Of Corporate Opportunity Waivers, Gabriel Rauterberg, Eric L. Talley

For centuries, the duty of loyalty has been the hallowed centerpiece of fiduciary obligation, widely considered one of the few “mandatory” rules of corporate law. That view, however, is no longer true. Beginning in 2000, Delaware dramatically departed from tradition by granting incorporated entities a statutory right to waive a crucial part of the duty of loyalty: the corporate opportunities doctrine. Other states have since followed Delaware’s lead, similarly permitting firms to execute “corporate opportunity waivers.” Surprisingly, more than fifteen years into this reform experiment, no study has attempted to either systematically measure the corporate response to these reforms or …

If the buyer breaches a sales contract, and if the seller can be characterized as a lost volume seller, courts and commentators have argued that the seller should be made whole by compensation for its lost profits. This paper argues that framing the problem in this way leads to an absurd result. The buyer has a termination option and the remedy should be the implicit option price. The lost profit remedy sets a price on that option, a price that bears no relation to reality. Examination of the case law suggests three conclusions: (a) the remedy often sets an excessive …

In Victoria Laundry v Newman, Asquith LJ claimed that the headnote in Hadley v. Baxendale was “definitely misleading” noting that had it been accurate, the decision would have been decided the other way. In this note, I argue that the headnote was not misleading and, even if it were, his conclusion did not follow. His interpretation lowered the standard for finding liability for consequential damage. Given the facts, Victoria Laundry would have lost, even with his new standard. His solution was simple: alter the facts.
