This article discusses the SEC’s insider trading enforcement actions from 2009 to 2013. With an introduction of the current procedures and regulatory tools available, this article provides a thorough survey on the insider trading cases found from SEC’s official website, related databases and litigation releases in the corresponding period and compiles the results in appendices. In doing so, we present a first-hand, detailed picture of insider trading law in the United States and its enforcement. U.S. Insider Trading Law Enforcement: Survey Of Sec Actions From 2009 To 2012 And Related Issues, Chien-Chung Lin

This Article proceeds as follows. Part I is introduction. Part II briefly discusses the current securities law enforcement system in the United States and how SEC is designed to prevent violations of securities law, including procedures and tools. Part III provides empirical data from SEC enforcement news release from 2009 to 2012 to give a more complete picture about SEC’s enforcement in insider trading law. By observing these data, we also discuss the merit and limits in current approach. Part IV concludes.

This article discusses the experiment of the independent director mechanism in Chinese corporate law since 2001. Accompanied by the introduction of the independent director mechanism, the macro political-economic environments have faced a dramatic change. In this article, I first discuss the introduction and its design.Then I analyze the background and structural changes in the landscape of corporate governance in China and how these changes respond to the independent director mechanism. Last, an account of the possible future development of the independent director mechanism in China is provided to discuss the limit of corporate governance design.

Japanese Independent Director Mechanism Revisited: The Corporate Law Setting, Current Status And Its Explanations, Chien-Chung Lin

This article discusses the experiment of the independent director mechanism in Japanese corporate law. Accompanied by the introduction of the committee type company, the independent director mechanism in Japan has faced a strange stagnation after nine years’ implementation. This article describes the phenomenon first and then analyze the background and structural reasons for this stagnation. Last it provides an account for the possible future development of the independent director mechanism in Japan.
