Dr. McCoy looks at a land use control measure, Deed Restrictions, which is primarily germane to Houston Texas. The author shows by legal example how deed restrictions have been effective at times, and at other times runs into problems with enforcement, due process, and equal protection issues. Also, points out McCoy, deed restrictions may serve communities with better financial resources in opposition to lower income places with the same type of restrictions. In enacting the Medical Device Amendments of 1976, Congress instituted a flexible system of regulatory controls over a vast array of health care products. Analyzing the complex statute and its legislative history, Professor Leflar finds at the law's core a structure designed to ensure the Food and Drug Administration's accountability to the public for its regulatory actions. Reviewing the history of FDA's implementation of the medical device law, however, the author demonstrates that FDA has strayed widely and, he contends, illegally from the congressionally mandated structure of public accountability. The opinion delivered by company counsel at the closing of a corporate transaction typically contains a clause that addresses compliance by the company with its charter, by-laws and contractual obligations. The superwill concept has sparked interest as commentators and legislators have sought to provide increased flexibility to testators in the disposition of their nonprobate assets. The basic premise underlying the superwill is that a testator may, by executing one testamentary document, dispose of both testamentary as well as nonprobate assets. The superwill thus is a substantial departure from existing law, under which a testator generally may not dispose of nonprobate assets through a will.

State Competence To Regulate Corporate Takeovers: Lessons From State Takeover Statutes, Alan E. Garfield

This Article reveals two very different lessons about state competence to regulate corporate takeovers. The first lesson is that some states are enacting anti-takeover legislation for the protectionist purpose of sheltering large local employers. The Article contends that the appropriate response to this legislation is for courts to invalidate it under the Commerce Clause. The second lesson is that some states, most notably Delaware, are enacting anti-takeover legislation to protect a state’s corporate chartering industry. In this instance, federal preemptive intervention is necessary to ensure that state law does not unduly favor management interests at shareholder expense.

One of the most significant aspects of the Tax Reform Act of 1986 for estate planners was the retroactive repeal of the original 1976 generation-skipping transfer (GST) tax and the enactment of an entirely new generation-skipping transfer tax. The new generation-skipping transfer tax, unlike the 1976 version, generally applies to transfers that constitute "direct skips," such as outright gifts to grandchildren. Like the earlier tax, the new tax also applies to "taxable terminations," such as a termination of the life estate of the transferor's child resulting in the grandchild receiving possession of the transferred property in fee simple under the …
