The Debate Over The Adequacy Of The United States Approach To Acid Deposition: The Electric Utility Industry Perspective, Michael L. Teague, Maida O. Lerner, Mel S. Schulze, Norman W. Fichthorn

Following some introductory remarks, this paper analyzes the issues of the acid deposition debate in two parts. First, it provides the electric utility industry perspective on the adequacy of the United States' current approach to air quality regulation. Second, it analyzes the recent litigation brought by the environmentalists in an effort to explain why their litigation strategy has been unsuccessful. Concern about the effect of the air pollution attendant with the industrial development of the United States has spawned massive efforts by the public and private sectors to establish and comply with requirements for environmental protection. The labyrinthine provisions of the Internal Revenue Code make a decision on whether or not to incorporate a closely-held business astoundingly complex. To decide properly, one must understand the terms "C corporations," "S corporations," a partner's "distributive share," and a host of other cryptic concepts.' A New Look At The Section 119 Meals And Lodging Exclusion, Steven Luby

One of the most problematic areas of income tax law has been the excludability of various employee fringe benefits from taxable income. This article examines the appropriate tax treatment of one type of fringe benefit-meals furnished by an employer to his employee. Prior to 1954 the excludability of the value of meals furnished by an employer was dependent upon whether the factual circumstances of the case satisfied a "convenience of the employer" rule developed by administrative rulings and case law. In 1954 Congress attempted to end the confusion surrounding the excludability of meals furnished by an employer by enacting section …

One of the usual factors to be considered in the acquisition of one corporation by another is whether the transferee is to assume the transferor's liabilities. Often the intent of the parties can be effectuated by choosing one form of acquisition over another. For example, if the parties intend that the transferee assume all of the liabilities of the transferor, the transaction could be structured as a merger because, by operation of law, the transferee assumes all of the transferor's liabilities in a merger.
