Uncertainty in markets increases the likelihood of market failure due to volatility and suboptimal functioning. While initial coin offerings (ICOs) and crowdfunded equity (CFE) offerings may improve functioning in growing markets, there is a lack of knowledge and understanding pertaining to the relative efficiency and behavior of ICO markets compared to CFE markets, potentially perpetuating and thwarting the various communities they are intended to serve. The authors explore how topic modeling can be used to automate the categorization of initial coin offerings (ICOs) into different topics (e.g., finance, media, information, professional services, health and social, natural resources) based solely on the content within the whitepapers. This tool has been developed by fitting a latent Dirichlet allocation (LDA) model to the text extracted from the ICO whitepapers. After evaluating the automated categorization of whitepapers using statistical and human judgment methods, it is determined that there is enough evidence to conclude that the LDA model appropriately categorizes the ICO whitepapers. We develop a theory of financing entrepreneurial ventures by Initial Coin Offerings (ICOs). We show how distributed ledger technology (Blockchain) allows ventures to significantly decrease the price of issuance of new types of securities relative to a traditional venture capital (VC) approach. In addition, we discuss several types of new securities, called tokens. We explore the source of their value and benefits (and negative qualities) for entrepreneurial ventures and investors. We find that, in general, different types of tokens can provide unique benefits and additional information about a tokens’ issuer market sentiment. The rise of Initial Coin Offerings (ICO) in recent times and their potential for investment opportunities have investors spending a lot of time researching ICOs or having to follow the crowd. This paper aims to explore four broad factors of ICOs: identity, credibility, investor sentiment, and price movement to develop a framework that is useful in determining ICO quality. This paper explores the intricacies of an Initial Coin Offering and how it differs from an Initial Public Offering, specifically in terms of its process, regulations, utility, performance, and risks. The paper begins with an introduction to cryptocurrencies that includes the development of Bitcoin to more recent developments, in order to give readers the proper background knowledge to understand Initial Coin Offerings. The paper then describes the differences between a coin and a token. Finally the paper lays out the characteristics of an Initial Coin Offerings and then compares those characteristics with that of an Initial Public Offering.
