This is the Keynote Address for "IPOs and the Internet Age: The Case for Updated Regulations," a symposium held at The Ohio State University Michael E. Moritz College of Law. Initial public offerings ("IPOs") are an exercise in asymmetrical valuation. One mechanism for bridging these asymmetries is a private financial intermediary to conduct price discovery by meeting with preferred investors. An alternate mechanism is an auction, such as a descending-bid or Dutch procedure, to conduct price discovery by soliciting bids from all prospective investors. The Disadvantages Of Immigration Restriction As A Policy To Improve Income Distribution, Howard F. Chang

In this Article, I argue that tax and transfer policies are more efficient than immigration restrictions as instruments for raising the after tax incomes of the least skilled native workers. Policies to protect these native workers frol1'l immigrant competition in the labor market do no better at promoting distributive justice and are likely to impose a greater economic burden on natives in the country of immigration than the tax alternative. These immigration restrictions are especially costly given the disproportionate burden that they place on households with working women, which discourages fel1'wle participation in the labor force. Making The Corporation Safe For Shareholder Democracy, Lisa Fairfax

This article considers the effect that increased shareholder activism may have on non-shareholder corporate stakeholders such as employees and consumers. One of the most outspoken proponents of increased shareholder power has argued that such increased power could have negative repercussions for other corporate stakeholders because it would force directors to focus on profits without regard to other interests. This article critically examines that argument. The article acknowledges that increased shareholder power may benefit some stakeholders more than others, and may have some negative consequences. Mandatory audit partner relation has been adopted in some countries while audit firm rotation is still being debated in many places. Most of the extant research on the relation between auditor tenure and earnings quality provides evidence at the audit firm level. However, since audit firm tenure is correlated with partner tenure and audit firm rotation is more costly than partner rotation, it is important to know whether earnings quality is related to audit firm tenure, partner tenure, or both. Global Governance Organizations: Legitimacy And Authority In Conflict, Jonathan Koppell

Global governance organizations (GGOs) are frequently maligned as both illegitimate and ineffective. With the growing prominence of entities that promulgate global rules governing trade, communications, finance, and transport, these shortcomings take on greater importance. This essay presents a theoretical framework to understand the challenge of legitimacy for GGOs. It argues that GGOs tend to face trade-offs between legitimacy and authority, but that widespread usages of these important terms conflate or confuse them and thus obscure critical issues in GGO politics. Once these terms are more clearly defined, we see more easily that GGOs must sometimes violate democratic norms, sacrificing equality …

The religion of Islam has existed for 1400 years but Islamic economic theory and its financial institutions emerged as an industry only in the 1970s. Islamic financial institutions (IFIs) are designed to help Muslims conduct business internationally while simultaneously upholding traditional Islamic values related to trade finance and currency movement. The basis for their existence is the Islamic moral prohibition on charging interest—interest is a central component of capitalist banking—yet IFIs conduct billions of dollars of business annually in the world economy and the de facto Islamic banking transaction is—in most cases—virtually identical to a capitalist banking transaction. The chapter considers the reduction of poverty through for-profit initiatives, with a critique of global corporations that take goods and services out of the "bottom of the pyramid" rather than developing new markets that provide new jobs as well as export products and services. Thus, the common good is served through economic empowerment without having to appeal to global philanthropy. An inversion of intuitive thinking is proposed whereby models for for-profit initiatives are considered that will contribute to the common good rather than using a notion of the common good to inspire global companies.

In 2006, following St. Vincent of DePaul’s commitment to serving the poor, the IBPE aligned its mission with that of DePaul University’s: “serving first-generation and underserved student populations and …addressing social issues.” This initiative was further promoted by DePaul’s new strategic plan, Vision Twenty12. As a result, IBPE enhanced its mission to include becoming a catalyst aimed to inspire companies to address the reduction of poverty both globally and locally through for-profit initiatives. There are many dimensions to the achievement of this mission, including teaching, research, and community outreach; and the Institute is just beginning this lifetime set of projects. …
