Creating A Stakeholder Democracy Under Existing Corporate Law, Justin Blount Dec 2015

Creating A Stakeholder Democracy Under Existing Corporate Law, Justin Blount

Faculty Publications

Much of the current debate in corporate governance is framed in terms of stakeholder versus shareholder forms of corporate governance. While one would find little debate that stakeholders’ interests are important to any business, there is substantial debate regarding whether any stakeholder besides shareholders should have a formal role in corporate governance. What has been largely ignored in this debate is the issue of private ordering: since corporate law is largely enabling rather than mandatory, can stakeholder governance structures be voluntarily created within the current shareholder-centric default corporate law structure? This article argues that this is clearly the case, sets …

Concussion The Film, Richard C. Crepeau Dec 2015

Concussion The Film, Richard C. Crepeau

On Sport and Society

Several months ago there was a minor flap over the fact that the National Football League was given the right to delete parts of the film “Concussion” before its general release to the public. At the time many, including myself, feared that the NFL would defang the bite of the film. It did not. In fact it’s hard to imagine what the NFL censored in “Concussion” given the devastating nature of the final product which is now in release.

Concussions, Richard C. Crepeau

On Sport and Society

ESPN reported this week that the NFL had pulled funding for concussion research because one of the principal researchers was Dr. Robert Stern of Boston University who has been critical of the NFL. The grant was awarded by the National Institute of Health(NIH) and the NFL denied pulling out of the grant saying that the NIH made all funding decisions and that the NFL has no veto power over the use of the $30M it had donated to the NIH in 2012 with no strings attached. It turns out however that it did retain a veto over the use of …

Location, Proximity, And M&A Transactions, Ye Cai, Xuan Tian, Han Xia Dec 2015

Location, Proximity, And M&A Transactions, Ye Cai, Xuan Tian, Han Xia

Finance

In this paper, we examine how the geographic location of firms affects acquisition decisions and value creation for acquirers in takeover transactions. We find that firms located in an urban area are more likely to receive a takeover bid and complete a takeover transaction as a target than firms located in rural areas, and takeover deals involving an urban target are associated with higher acquirer announcement returns, after controlling for the proximity between the target and the acquirer. In addition, a target's urban location significantly attenuates the negative effect of a long distance between the target and the acquirer on …

How The Massachusetts Supreme Judicial Court Should Interpret Wynne, Michael S. Knoll, Ruth Mason Dec 2015

How The Massachusetts Supreme Judicial Court Should Interpret Wynne, Michael S. Knoll, Ruth Mason

All Faculty Scholarship

In this special report, Knoll and Mason discuss how the Massachusetts Supreme Judicial Court should apply Wynne when it hears on remand First Marblehead v. Commissioner of Revenue. The authors conclude that when it originally heard the case, the Massachusetts court mistakenly considered, as part of its internal consistency analysis, whether Gate Holdings Inc. experienced double state taxation. As developed by the U.S. Supreme Court and most recently applied in Wynne, the internal consistency test is not concerned with actual double taxation that may arise from the interaction of different states’ laws. Rather, the test is designed to determine …

Whose Talk Is Walked? It Decentralizability, Vendor Versus Adopter Discourse, And The Diffusion Of Social Media Versus Big Data, Shaila Miranda, Inchan Kim, Dawei David Wang

Business and Information Technology Faculty Research & Creative Works

Discourse plays a central role in organizing vision and computerization movement perspectives on IT innovation diffusion. While we know that different actors within a community contribute to the discourse, we know relatively little about the roles different actors play in diffusing different types of IT innovations. Our study investigates vendor versus adopter roles in social media and big data diffusion. We conceptualize the difference between the two IT innovations in terms of their decentralizability, i.e., extent to which decision rights pertinent to adoption of an organizational innovation can be decentralized. Based on this concept, we hypothesized: (1) adopters would contribute …

Foreign Account Tax Compliance Act: The Most Revolutionary Piece Of Tax Legislation Since The Introduction Of The Income Tax, Alexander Szwakob Dec 2015

Foreign Account Tax Compliance Act: The Most Revolutionary Piece Of Tax Legislation Since The Introduction Of The Income Tax, Alexander Szwakob

Honors Scholar Theses

With taxation of income being the most significant source of revenue, most national governments consider tax evasion prevention to be one of the priorities of their tax agencies. In the United States, tax evasion has been a significant concern of the Internal Revenue Service ever since the modern income tax was instituted with the passing of the Sixteenth Amendment in 1913. Over the following century, Congress enacted numerous measures aimed at curbing the illegal practice, but, as often is the case, both individuals and institutions desiring to not abide by the law found new ways to outsmart the tax authorities. …

A Practical Taxonomy Of Methods And Literature For Managing Uncertain Spatial Data In Geographic Information Systems, Madjid Tavana, Weiru Liu, Paul Elmore, Frederick E. Petry, Brian S. Bourgeois Dec 2015

A Practical Taxonomy Of Methods And Literature For Managing Uncertain Spatial Data In Geographic Information Systems, Madjid Tavana, Weiru Liu, Paul Elmore, Frederick E. Petry, Brian S. Bourgeois

Business Systems and Analytics Faculty Work

Perfect information is seldom available to man or machines due to uncertainties inherent in real world problems. Uncertainties in geographic information systems (GIS) stem from either vague/ambiguous or imprecise/inaccurate/incomplete information and it is necessary for GIS to develop tools and techniques to manage these uncertainties. There is a widespread agreement in the GIS community that although GIS has the potential to support a wide range of spatial data analysis problems, this potential is often hindered by the lack of consistency and uniformity. Uncertainties come in many shapes and forms, and processing uncertain spatial data requires a practical taxonomy to aid …

Health Problems And Risk Factors Associated With Long Haul Transport Of Horses In Australia, Barbara Padalino, Evelyn Hall, Sharanne Raidal, Pietro Celi, Andrew Knight, Peter Knight, Leo Jeffcott, Gary Muscatello

Transport of Farm Animals Collection

Equine transportation is associated with a variety of serious health disorders causing economic losses. However; statistics on horse transport are limited and epidemiological data on transport related diseases are available only for horses transported to abattoirs for slaughter. This study analysed reports of transport related health problems identified by drivers and horse owners for 180 journeys of an Australian horse transport company transporting horses between Perth and Sydney (~4000 km) in 2013–2015. Records showed that 97.2% (1604/1650) of the horses arrived at their destination with no clinical signs of disease or injury. Based on the veterinary reports of the affected …

The Challenges Of Leading Change In Health-Care Delivery From The Frontline, Vivienne Byers Dec 2015

The Challenges Of Leading Change In Health-Care Delivery From The Frontline, Vivienne Byers

Articles

Aim: The public sector is facing turbulent times and this challenges nurses, who are expected to serve both patient interests and the efficiency drives of their organisations. In the context of implementing person-centred health policy, this paper explores the evolving role of front-line nurses as leaders and champions of change.

Background: Nurses can be seen to have some autonomy in health-care delivery. However, they are subject to systems of social control. In implementing person- centred policy, nurses can be seen to be doing the best they can within a constrained environment.

Method: A survey of nursing practice in person-centred health-policy …

Are Etfs Good Or Bad?, Steven D. Dolvin Dec 2015

Are Etfs Good Or Bad?, Steven D. Dolvin

All Chapters

Like many questions, the right answer is probably, "it depends." Whether ETFs are the best investment vehicle for a particular person likely depends on their goals and needs. However, with trillions of dollars being held by ETFs, their size has necessitated a broader discussion of their merits. This is particularly true in light of recent pricing issues where ETFs traded well below their NAV (such as in August of this year, as well as during the "flash crash" in May 2010). See a good summary article here: WSJ.

Are Junk Bonds Signaling Trouble Ahead?, Steven D. Dolvin

All Chapters

High-yield (or so-called junk) bonds are set to experience their first annual loss since the recent credit crisis. Because of the higher risk involved with these borrowers, they tend to be the first to experience trouble. Thus, many investors believe that they represent a leading indicator for overall market performance. If this is true, it could indicate trouble to come. See article here: WSJ.
