"Just say no" is the current rallying cry of those seeking to give target management the unrestricted power to block hostile tender offers. Not surprisingly, the turn of phrase chosen by management leaves ambiguous the precise issue on which the debate should turn: To whom does management want the power to say no? As target management poses the issue, it wants to say no to a raider. The image is of stalwart management protecting shareholders against a marauding outsider. However, that image is seriously misleading. In fact, target management seeks the power to say no to its own shareholders.

While the technology required to produce viable Battery Energy Storage System exists, the economic feasibility (cost vs. benefits) of building these systems requires justification. First, a generalized decision diagram was developed to ensure that all of the economic factors were considered and properly related for the customer-side-of-the meter. Next, two economic models that had consistently given differing results were compared. One was the McKinney model developed at UM-Rolla in 1987; the second was the SYSPLAN model developed by Battelle. The purpose of this study was to show the increasing rate of early retirement offered by corporations as a means of reducing the work force today. The study was also conducted to point out that more and more employees are opting for early retirement and taking the buyout.

A survey of 11 questions was administered to 22 participants from various age groups and employers for the study. The data analysis consisted of the measures of central tendencies: mean, median and mode, along with cross tabulations to test early retirement hypothesis.

Prior to the 1986 Tax Act , the real estate industry enjoyed privileged status granted by the Economic Recovery and Tax Act of 1981 . Because of flagrant abuse of the provisions of the 1981 Act, Congress passed the 1986 Tax Reform Act in order to curtail certain activities in the real estate market that had become unhealthy for the economy of the United States . This thesis will investigate the resistance factors associated with the use of computers in automation.

Primary and secondary research has shown that high level employees and low level employees resist the use of computers in their work milieu. By studying the use of Electronic Mail, it has been shown that those employees who rank themselves as upper management resist using the computer resources available to them and those employees who rank themselves as lower management also demonstrate resistance. Those employees who rank themselves as middle management do not demonstrate such resistances.

The problem of this study was to develop and validate a training model for training maintenance supervisors. This training model focused on those areas, defined by industrial managers, where additional supervisory training was most likely to improve the performance of the maintenance departments.

Research of industrial and maintenance publications identified the maintenance function as having one of the lowest productivity levels in manufacturing organizations. Supervisor training was identified as a means to improve productivity in maintenance departments. This study assesses the goal commitment generated by different approaches to goal setting. The participants were the directors, board presidents, staff, board members and volunteers of two non-profit organizations. One group explored their history as an organization, significant events and the impact of those events before carrying out the same goal setting process as the other group. Self-efficacy was measured before the exercise began. Goal commitment was measured after participants prioritized goals and selected subgoals on which to take action. Delaware's new approach to takeover law is announced in three cases that address different aspects of management's role in the standard drama of defending against a hostile takeover. Unocal Corp. v. Mesa Petroleum Co. scripts a main act for the drama by prescribing a duty to compare the outsider's offer with the universe of other options and, if necessary, to resist the outsider within the guidelines fixed by the proportionality test. An Examination Of Country And Culture-Based Differences In Compensation Practices, A M. Townsend, Dow Scott, S E. Markham

This study explores the relationship between country-based and culture-based differences in pay practices. Pay data from forty-one manufacturing industries in twenty-eight countries across five different culture clusters were examined. Although significant differences were found between countries in terms of pay level, the largest portion of the variance in the relationship between wages and benefits is due to cultural affiliation. The implications for cultural clustering theory and internationally pay decisionmaking are discussed.

Investigated employee characteristics and attitudes of 243 female and 105 male secondary school teachers to determine if men and women had different reasons for being absent. Although women perceived some work related factors differently than men and took substantially more days off than men, their absence occurrences were not significantly different. In addition, an employee's age and attitude toward pay were the only factors that exhibited a gender-related impact on absenteeism. Perceived role conflict and job involvement were significantly related to absenteeism for men and women.
