The purpose of this paper is not to provide an exhaustive discussion of the details of any one state's legal landscape as it relates to the sometimes heated and always changing relationship between surface estate owners and mineral owners. Rather, the purpose of this paper is to set the stage for a meaningful exchange of information, ideas, and strategy regarding what the current landscape around Louisiana's borders looks like and why those that live, work, and, probably most importantly for our purposes, operate in the state should care about what their neighbors are doing on these issues. The lessons that come to us from the application of legal ethics rules can be instrucive, but they often involve a considerable measure of pain and suffering. If presentations like this have any value, perhaps that value could be found in change. The hope would be that, after some exposure to the stories and other matters included in the presentation, a lawyer might thereafter do something that is more consistent with the standards of the profession than he or she might otherwise have done.

This paper discusses current issues regarding joint operating agreements, focusing on recent decisions from courts in Louisiana. For the purposes of this paper, the "current" timeframe is roughly ten years, although there will be some reference to older cases that touch on issues that we think are pertinent today. Because it is the most frequently used form for onshore operations, AAPL Form 610, last revised in 1989, will be used as the contract of reference.

The purpose of this paper is to address a number of recommended practices for preparation of agreements typically utilized in the energy industry. Specifically, this paper is meant to assist attorneys in preparing and drafting a "forms library" of agreements for a client in the oil and gas business. For example, imagine that a new client seeking to enter into the oil and gas business asks the attorney to prepare all of the "standard" documents that will be necessary in these transactions. How and where does one begin?
