Gender Inequality In Contracts Casebooks: Representations Of Women In The Contracts Curriculum, Deborah Zalesne
Gender Inequality In Contracts Casebooks: Representations Of Women In The Contracts Curriculum, Deborah Zalesne
FIU Law Review
Gender has always explicitly or implicitly played a critical role in contracting and in contracts opinions—from the early nineteenth century, when married women lacked the legal capacity altogether to contract, through the next century, when women gained the right to contract but continued to lack bargaining power and to be disadvantaged in the bargaining process in many cases, to today, when women are present in greater numbers in business and commerce, but face continued, yet less overt, obstacles. Typical casebooks provide ample offerings for discussions of the ways in which parties can be and have been disadvantaged because of their …
Standard Licensing Template For University Of Akron Startups, Drew Horton
Standard Licensing Template For University Of Akron Startups, Drew Horton
Williams Honors College, Honors Research Projects
In order to facilitate fast, equitable, and effective sublicensing to University of Akron technology startups, spinoffs, and spinouts, an express license was developed. This expresses license was developed by benchmarking existing terms in order to determine market rates. Universities, venture capital firms, and nonprofits were interviewed in order to establish a set of best practice guidelines for the creation of the express license. These results were then tabulated and statistically analyzed in order to determine a series of startup friendly terms that support the University of Akron’s interests. A series of express licenses were then developed from this data. These …
How To Interpret A Vending Machine: Smart Contracts And Contract Law, Gregory Klass
How To Interpret A Vending Machine: Smart Contracts And Contract Law, Gregory Klass
Georgetown Law Faculty Publications and Other Works
A smart contract is software designed to do the job of a legal contract: ensuring the performance of parties who might not otherwise trust one another to do so. By running a smart contract on blockchain, users can lock themselves into future performances without relying on a third-party enforcer or platform host, thereby realizing a “fully trustless” exchange. This new technology has wide range of potential applications, and contracts are likely to become an increasingly common part of the economy.
Some have argued that smart contracts represent a new type of legal contract, analogizing the software’s code to a contractual …
Side Letter Governance, Elisabeth De Fontenay, Yaron Nili
Side Letter Governance, Elisabeth De Fontenay, Yaron Nili
Faculty Scholarship
A standard feature of the private equity industry, “side letters” are confidential agreements between the sponsor and individual investors that give the latter special rights, beyond those that apply to other investors in the private equity fund. Yet side letters have become a flashpoint for prominent critics of the industry, who argue that they allow private equity sponsors to benefit their favored investors at the expense of smaller, less sophisticated ones. Others have argued that, to the contrary, side letters are merely an efficient means of price discrimination—charging different prices to different investors, according to their willingness to pay—a practice …
Time’S Up: Against Shortening Statutes Of Limitation By Employment Contract, Meredith R. Miller
Time’S Up: Against Shortening Statutes Of Limitation By Employment Contract, Meredith R. Miller
Scholarly Works
Employers are increasingly adding clauses to contracts with employees that purport to shorten the statutes of limitation for employees to pursue claims against their employers (“SOL Clauses”). SOL Clauses are being imposed on employees in various stages of the contracting process. They have turned up in job applications, offer letters, arbitration clauses, employment agreements and employee handbooks. Where they have been enforced by the courts, the justification has been a prioritization of “freedom of contract” over any other policy concerns. This Article argues that, in the employment context, “freedom of contract” should not be prioritized over other competing concerns, which …
Prospecting, Sharecropping, And The Recording Industry, Olufunmilayo B. Arewa, Matt Stahl
Prospecting, Sharecropping, And The Recording Industry, Olufunmilayo B. Arewa, Matt Stahl
Vanderbilt Journal of Entertainment & Technology Law
Digital-era disruption has had a significant impact on the recording industry and the business of music more generally. Digital-era music disruption draws attention to patterns of continuity within the recording industry. Notably, despite widespread use of digital technologies for the creation, dissemination, and consumption of music, core recording industry business models largely still draw from the predigital era. Recording industry business models have long been compared to other exploitative business models based on debt, including the sharecropping business. Business models in the recording industry have been a source of dispute by a broad range of recording artists, including highly successful …

Regional Venture Deals, Paige L. Wilson

What might allow a region to suddenly excel at attracting venture capital funding, and what role do lawyers play in such a shift? The Midwest offers a useful case study because it has succeeded at increasing the size of its venture capital market by more than five hundred percent over the past decade. This Article is the first-ever empirical study to explore in depth the changing practices of the region. This Article begins by comparing startup lawyering practices in the Midwest to startup lawyering practices in the major innovation hubs on the coasts. Drawing upon lawyer interviews, industry reports, and …
Oppression In American, Islamic, And Jewish Private Law, Rabea Benhalim
Oppression In American, Islamic, And Jewish Private Law, Rabea Benhalim
University of Colorado Law Review
American, Islamic, and Jewish law all limit the enforcement of private law agreements incases of oppression and exploitation. But each system uses a different justification. The common thread among the three legal systems is the opposition from jurists to enforce contracts with a fundamental aspect of oppression. The reasoning for preventing oppression within the law is distinct to each legal system. The American legal system roots the justification in preserving free will and ensuring actual consent to contract. Islamic l provides justifications based on the divine vision for an equitable and just society articulated in the Quran. Jewish law argues …
