The Need For Certainty And Written Form In Land Sale Contracts In China: A Legal Reform Recommendation, Wei Wen Apr 2020

The Need For Certainty And Written Form In Land Sale Contracts In China: A Legal Reform Recommendation, Wei Wen

Cardozo International & Comparative Law Review

Despite the significance of land sale contracts, China's Contract Law (the supreme authority in contractual matters) fails to articulate whether written form is mandatory for land sale contracts as a prerequisite for contractual remedies. The result of this ambiguity is that urban and rural courts across China have delivered contradictory judgments on this matter, and Chinese claimants do not have clear rules or authorities to follow. This imposes unfairness on those claimants. This article examines and analyzes the uncertainty and its causes, reaching a conclusion that the solution to addressing the nationwide uncertainty is a legal reform-Contract Law should articulate …

Nyc V. Airbnb: New York City's Attempt To Regulate Home-Sharing Platforms And Airbnb's Attempt To Fight Back, Moshe Goldblatt Apr 2020

Nyc V. Airbnb: New York City's Attempt To Regulate Home-Sharing Platforms And Airbnb's Attempt To Fight Back, Moshe Goldblatt

Cardozo International & Comparative Law Review

The note examines the legal battle between New York City (NYC) and Airbnb over the Homesharing Surveillance Ordinance, arguing that the ordinance violates constitutional rights and federal laws. It suggests that while NYC aims to regulate short-term rentals to address housing issues, the ordinance oversteps by compelling platforms to disclose private information without warrants, infringing on Fourth and First Amendment rights, and violating the Stored Communications Act. The note proposes a balanced approach allowing individuals to rent their homes while curbing commercial exploitation.

Antitrust Law, Freedom, And Human Development, Zephyr Teachout Feb 2020

Antitrust Law, Freedom, And Human Development, Zephyr Teachout

Cardozo Law Review

For four decades, there was a near-universal consensus that consumer welfare was the sole and appropriate purpose of antitrust law. That consensus is breaking apart. For the first time in two generations, a growing group of scholars and policymakers is challenging that orthodoxy. They reject the consumer welfare consensus, and argue that antimonopoly policy should and can have much broader social goals, and serve democratic ends, not merely efficiency ones.

This group is unified by its shared protest, but lacks a shared positive platform. It does not itself have a consensus on what goals should replace the monotheistic approach of …

Robo-Bureaucrat And The Administrative Separation Of Powers, Matthew Seipel Jan 2020

Robo-Bureaucrat And The Administrative Separation Of Powers, Matthew Seipel

Cardozo Law Review de•novo

This Essay argues that the administrative state's use of artificial intelligence (AI) creates concentrated, unchecked power at the agency leadership level. The Essay draws from Professor Jon Michaels' theory of the administrative separation of powers, and it describes how AI in government disrupts this separation. To alleviate this concern, the Essay puts forward one modest proposal: Congress should amend federal public sector labor law to require collective bargaining over an agency’s decision to use AI.

How A Good Idea Became A Bad Idea: Universities And The Use Of Non-Disclosure Agreements In Terminations For Sexual Misconduct, Julie Macfarlane Jan 2020

How A Good Idea Became A Bad Idea: Universities And The Use Of Non-Disclosure Agreements In Terminations For Sexual Misconduct, Julie Macfarlane

Cardozo Journal of Conflict Resolution

One of the challenges that face every third-party intervenor in a conflict is what the parties shall agree about the public nature of an agreed outcome. In private dispute resolution, in contrast to adjudication by courts, there is neither a requirement nor (with a few exceptions) a legal compulsion to reveal those outcomes, if one or more parties prefer to keep the matter private.

Arbitration Of Worker Contracts: New Prime's Proper Statutory Interpretation Of The 1925 Federal Arbitration Act, Margaret L. Moses Jan 2020

Arbitration Of Worker Contracts: New Prime's Proper Statutory Interpretation Of The 1925 Federal Arbitration Act, Margaret L. Moses

Cardozo Journal of Conflict Resolution

This article will discuss how, in a future case, if the Court applied the reasoning of its unanimous opinion in New Prime-that the language of the statute should be interpreted consistent with the meaning it had to the Congress that adopted it-no worker would be covered by the FAA. Part I will consider the scope of the Commerce Clause, and the expansion in the Court's understanding of Congress' power under the Clause that occurred post-1925. In Part II, the article will deal with the purpose of the FAA as understood at the time of its adoption, as well as …

“Breaking Up Is Hard To Do”: Conceptualizing The Artist-Manager Relationship As A Marriage For Purposes Of Alternative Dispute Resolution, Gillian Sloane Jan 2020

“Breaking Up Is Hard To Do”: Conceptualizing The Artist-Manager Relationship As A Marriage For Purposes Of Alternative Dispute Resolution, Gillian Sloane

Cardozo Journal of Conflict Resolution

The problem is not that the artist-manager relationship is a highly personal one. The problem is, that due to the present state of the music industry and current legislation, the nature of the relationship is given no weight when disputes between the parties occur. The constraining designation of the artist-manager relationship and ineffective legal remedies provided when disputes arise, negatively affect the viability of the relationship and essentially guarantee dissolution of the relationship.

This Note addresses that problem. Instituting different forms of alternative dispute resolution ("ADR") processes, commonly applied in divorce and family law, at different stages of the artistmanager …

Going Bare In The Law Of Assignments: When Is An Assignment Champertous?, Anthony J. Sebok Jan 2020

Going Bare In The Law Of Assignments: When Is An Assignment Champertous?, Anthony J. Sebok

Articles

The article critiques the legal distinction between champerty and assignment, arguing that the focus should be on the assignor's motives rather than the assignee's identity. It challenges Dr. David Capper's approach to defining "bare assignments" and proposes that assignments should not be prohibited based solely on the assignee's identity unless they facilitate abus

The Ongoing Speculation About Smart Contracts: Smart Enough To Replace Third Party Arbitrators, Or Is "Smart" Just A Misnomer?, Rakhil Kalantarova Jan 2020

The Ongoing Speculation About Smart Contracts: Smart Enough To Replace Third Party Arbitrators, Or Is "Smart" Just A Misnomer?, Rakhil Kalantarova

Cardozo Journal of Conflict Resolution

Although there is unmatched publicity about blockchain all over the world, the purpose of this Note is to provide a narrower insight into the fundamental importance of blockchain to the evolution of smart contracts. It will also introduce a proposition that oracles should be granted the authority to serve as arbitrators in mandatory Online Dispute Resolution ("ODR") and advise a step-by-step process to achieve that end. Section II of this Note will explore the background information and intricacies of blockchain technology, along with the realm of the purposes of smart contracts. It will also attempt to explain the benefits of …

Tuition As A Fraudulent Transfer, David G. Carlson Jan 2020

Tuition As A Fraudulent Transfer, David G. Carlson

Articles

Bankruptcy trustees are suing universities because the insolvent parent of an adult student has written a tuition check while insolvent. The theory is that the university is the initial transferee of a fraudulent transfer that has provided benefit to the student but not to the parent debtor. This article claims that the university is never the initial transferee of tuition dollars. Rather, the student is. Where the university has no knowledge of parent insolvency, the university can count educating the student as a good faith transfer for value, thus immunizing the university from liability. The unpleasant side effect is that …

Mere Conduit, David G. Carlson Oct 2019

Mere Conduit, David G. Carlson

Articles

"Mere conduit" is a legal fiction in fraudulent transfer and other avoidance cases. This article argues that the legal fiction is misleading, unnecessary and rendered obsolete by the Supreme Court's recent opinion in Merit Management Group v. FTI Consulting, Inc. (2018). The article further contends that a huge majority of leading cases confound fraudulent transfer law with the law of corporate theft. This error leads to depriving financial intermediaries of their opportunity to avoid liability on the ground of being bona fide transferees for value. Finally, courts often mistake banks as initial transferees of fraudulent transfers (absolutely liable in spite …

Strangers In The Law: Lawyers' Law And The Other Legal Dimensions, Mauro Bussani Aug 2019

Strangers In The Law: Lawyers' Law And The Other Legal Dimensions, Mauro Bussani

Cardozo Law Review

Political and legal theories have long been takingfor granted the idea that law is the province of government and government recognized authorities, including the judiciary. They have concentrated on the processes and principles, by which the form and substance of State law are determined, implemented, and enforced. This law is what I will call official or State law. By contrast, many non-official sites of legal production have always existed and still exist (outside and) inside the West. These sites produce rules that may flourish indifferent to or in opposition to official law and take the settlement of disputes arising out …

At Least Some Rights The White Man Was Bound To Respect: Bland V. Beverly And A Contract For Freedom In The Age Of Slavery, H. Robert Baker Apr 2019

At Least Some Rights The White Man Was Bound To Respect: Bland V. Beverly And A Contract For Freedom In The Age Of Slavery, H. Robert Baker

Cardozo Journal of Equal Rights & Social Justice

By law in Maryland, slaves could not enter into legally binding contracts. Nonetheless, in 1833 Beverly Dowling struck an agreement with his owner, Sophia Bland, for his freedom in exchange for $200. Dowling paid $173 towards his end of the agreement before being arrested as a runaway and sold to a slave trader. Beverly Dowling petitioned the Baltimore city court for his freedom, and a jury found that he was free because he had, in the process of raising the money to pay his owner, traveled to the state of New York to work. I survey the law of manumission …

The Singapore Convention And The Metamorphosis Of Contractual Litigation, Jean-Christophe Boulet Jan 2019

The Singapore Convention And The Metamorphosis Of Contractual Litigation, Jean-Christophe Boulet

Cardozo Journal of Conflict Resolution

This article addresses the grounds provided for in Article 5 of the Singapore Convention for the refusal of enforcement of a settlement agreement or for the refusal of a settlement agreement as evidence that the dispute has been resolved. It is divided into three sections. The first section briefly places these grounds in the context of the Singapore Convention as a whole as well as the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. The second section is devoted to a more detailed examination of the various grounds listed in Article 5 of the Convention, …

The Life Of Arbitration Law Has Been Experience, Not Logic: Gorsuch, Kavanaugh, And The Federal Arbitration Act, William F. Fox, Ylli Dautaj Jan 2019

The Life Of Arbitration Law Has Been Experience, Not Logic: Gorsuch, Kavanaugh, And The Federal Arbitration Act, William F. Fox, Ylli Dautaj

Cardozo Journal of Conflict Resolution

Over the past 50 years, the international business community has settled on the device of international commercial arbitration to resolve the overwhelming number of disputes that arise in their commercial agreements. One reason is that many business people are suspicious of the domestic courts of many host countries and have always sought the comfort of a neutral forum. Arbitration is neutral (i.e., not tied directly to any particular domestic legal system), efficient and confidential. Much of this evolution has been triggered by events in the United States-in particular a long series of United States Supreme Court decisions that ended the …

Alternative Infrastructure Finance: Should The United States Adopt Federal Guidelines To P3 Concessions, Dih-Lin Wong Jan 2019

Alternative Infrastructure Finance: Should The United States Adopt Federal Guidelines To P3 Concessions, Dih-Lin Wong

Cardozo International & Comparative Law Review

The article argues that the U.S. struggles with modernizing its infrastructure due to insufficient investment and a lack of standardized legal frameworks for public-private partnerships (P3s). While P3s offer a promising alternative to traditional financing by allocating risks and generating efficiencies, the U.S. faces challenges due to a patchwork of state-level laws and procurement practices. The article suggests that adopting federal guidelines for P3s, drawing lessons from successful models in the UK and Australia, could streamline infrastructure financing, attract private investment, and enhance project efficiency.

The Blood Antiquities Convention As A Paradigm For Cultural Property Crime Reduction, Derek Fincham Jan 2019

The Blood Antiquities Convention As A Paradigm For Cultural Property Crime Reduction, Derek Fincham

Cardozo Arts & Entertainment Law Journal

In 2017, the Council of Europe opened for signature the first ever international treaty aimed at policing cultural property. As more attention has been paid to the damage done by the theft, looting, and illicit trafficking of cultural objects, the Council of Europe has met this challenge with an ambitious convention, which aims to fill gaps in the current criminal laws. These gaps have too often been exploited by individuals in the illicit antiquities trade. The author had an opportunity to present his analysis of a draft version of the Council of Europe's Convention at a meeting held in Lucca, …

The Limitations Of Information: Rethinking Soft Paternalistic Interventions In Copyright Law, Yifat Nahmias Jan 2019

The Limitations Of Information: Rethinking Soft Paternalistic Interventions In Copyright Law, Yifat Nahmias

Cardozo Arts & Entertainment Law Journal

Authors and intermediaries seldom enjoy equal bargaining power. This disparity-as well as information asymmetries-has been claimed to significantly undermine authors' ability to capture a fair share of the wealth generated from their creative efforts and contributions, thereby possibly reducing their incentive to create expressive works and compromising the myriad other benefits that copyright protection is meant to provide. To address this problem, legislatures have adopted soft paternalistic interventions designed to improve authors' choices without applying a hard-handed approach. Such interventions benevolently push the author away from risk or encourage her to make decisions that the legislator perceives to be in …

Exhaustion In The Service Of Progress, Ofer Tur-Sinai Jan 2019

Exhaustion In The Service Of Progress, Ofer Tur-Sinai

Cardozo Arts & Entertainment Law Journal

Under the doctrine of patent exhaustion, an authorized sale of a patented item exhausts the patentee's rights with respect to that item, leaving the purchaser and subsequent owners free to use or resell it without fear of an infringement lawsuit. In 2017, the U.S. Supreme Court issued its landmark decision in Impression Products v. Lexmark International, which strengthened the exhaustion doctrine in various significant ways. The Court held that an authorized sale of a patented item exhausts all patent rights with respect to that item, regardless of any restrictions on use or resale the patentee purports to impose. The Court …

Cardozo Law Review

Part II will address the existing post-life policies of Facebook, Instagram, LinkedIn, and Twitter and the implications of the recently drafted acts addressing the disposition of digital assets. Part III will propose adding some type of testamentary formalities for the distribution of access to a deceased user's social media accounts, such as adding an electronic signature line and requiring the user to re-enter their password before saving their selections. In addition, Part III proposes the application of certain …

The Politics Of Access: Examining Concerted State/Private Enforcement Solutions To Class Action Bans, Myriam E. Gilles Apr 2018

The Politics Of Access: Examining Concerted State/Private Enforcement Solutions To Class Action Bans, Myriam E. Gilles

Articles

Procedural and substantive constraints on the ability of ordinary people to access the civil justice system have become all too commonplace. The “justice gap” owes much to cuts in funding for legal aid and court administration, heightened pleading standards, ever-rising costs of discovery, increasingly restrictive views on standing to sue, and the co-opting of small claims court by businesses seeking to collect debts, among other obstacles in the path to the courthouse. But the most consequential impediment, surely, is the enforcement of mandatory arbitration clauses with class action bans, which bar consumers and employees from bringing or being represented in …
