Assessing The Influence Of Computer-Assisted Legal Research: A Study Of California Supreme Court Opinions, Paul Hellyer

Mr. Hellyer reviews the literature regarding CALR and identifies several hypotheses regarding quantitative differences in the results of print-based research and CALR. He then analyzes California Supreme Court opinions to determine CALR's effect on the quantity, recency, and types of legal authority cited by the court. The data fail to support the commentator's hypotheses.

The Unique Benefits Of Treating Personal Goodwill As Property In Corporate Acquisitions, Darian M. Ibrahim

Corporate acquisition talks may not get far if buyer and seller disagree over transaction structure, which can have significant after-tax effects. But the parties may have overlooked an item that, due to its potential tax treatment, could be the key to facilitating the acquisition. That item is the selling shareholder's "personal goodwill."

Personal goodwill exists when the shareholder's reputation, expertise, or contacts gives the corporation its intrinsic value. It is most likely to be found in closely held businesses, especially those that are technical, specialized, orprofessional in nature or have few customers and suppliers. A legal revolution occurs when chains of legal dependence rupture-causing one legal system to be replaced by a different and incommensurable legal system. For example, before the French Revolution chains of legal dependence ultimately led to Louis XVI, but after this legal revolution they led to the National Assembly (or the people of France it represented). The very possibility of legal revolutions depends upon laws being structured into legal systems in this fashion.
