For all of the debate, all of the court decisions discussing affirmative action, and all of the articles and books on the subject, there is no consensus on what the term "affirmative action" means. The purpose of this essay is to clarify the issue by identifying and distinguishing five models of affirmative action, and to suggest that the debate focuses too much attention on the use of quotas. I herein propose that in discussing affirmative action we often confuse its many manifestations, which can be grouped into five models: strict quotas favoring women or minorities (Model I); preference systems in …

Problematic Relations: Franchising And The Law Of Incomplete Contracts, Gillian K. Hadfield

This paper explores an alternative approach to the analysis of franchise contracts which takes seriously their unavoidable incompleteness. The point of departure is the fundamental insight of relational contracting theory, namely that when a contract is embedded within an identifiable relationship, such as the franchise relationship, contractual obligations are often modified, supplemented or completely supplanted by the norms of the ongoing relation. Thus far, the explication of this insight has been along largely theoretical lines. My objective in this article is to further develop the theoretical analysis of the importance of relational elements in order to fashion operational guidelines for …

The issue of unauthorized legal practice involves questions of professionalism and market protection. The legal profession, like other professions, is seen a being particularly successful at excluding others from its area of jurisdiction. Disputes over jurisdiction occur at the edge of this jurisdiction, specifically when certain condition arise. The e conditions are characterized by the "indetermination/ technicality (I/T) ratio", where "I" represents the ideological underpinning of the profession and "T" represents the technical knowledge. INTRODUCTION Anyone involved in litigation under Title VII of the Civil Rights Act of 19641 or similar state statutes may wonder what is entailed in proving or disproving discrimination after the United States Supreme Court's October 1988 Term. General agreement exists about at least two aspects of the formation and development of the trade blocs of North America and Europe. It is agreed, first, that the codified terms of the Canada-U.s. Free Trade Agreement (FTA) and the Single European Act (referred to here as Europe 1992) are formaI manifestations of certain inexorable processes and, second, that enactment of the agreements has consequences beyond the intentions of the framers.
