A Liberdade de Informação poderá ser simultaneamente defendida pelo dever de abstenção do Estado na esfera de exercício privado (não perigoso) de cada cidadão ou grupo “ordeiro” de cidadãos, e pelo dever de protecção dos cidadãos e das suas pessoas morais (incluindo obviamente associações e empresas) nos casos em que a ordem natural da rede social equitativa seja rompida, designadamente por fenómenos de massificação arregimentadora, trusts anti-concorrência, violação de direitos fundamentais, etc., e, no limite, crime. Mas o discernimento e ponderação terão que ser muito grandes.

The groundbreaking case of Miranda v. Arizona raise[d] questions which go to the roots of our concepts of American criminal jurisprudence: the restraints society must observe consistent with the Federal Constitution in prosecuting individuals for crime. This Introduction to the 2007 Chapman Law Review Symposium summarizes the contemporary examination of Miranda's influence, past and present, along with the continuing debate today. The article is born of my experience teaching American-style trial advocacy to over 15 groups of Latin American lawyers coming from countries in transition from the inquisitorial to the accusatorial model. The first part of the article reviews the principal differences in the two systems as it affects trial procedure. The article then reviews those aspects of accusatorial trial proceedings that caused the greatest degree of discomfort to the foreign lawyers. Research has demonstrated the significant negative impact of ongoing inter-parental conflict on children (PR Amato, ‘The Consequences of Divorce for Adults and Children’ (2000) 62(4) Journal of Marriage and the Family 1269; B Rodgers and J Pryor, Divorce and separation: The outcomes for children (Joseph Rowntree Foundation, 1998); J Wallerstein and S Blakeslee, The unexpected legacy of divorce (Hyperion, 2000)). This is the Keynote Address for “IPOs and the Internet Age: The Case for Updated Regulations,” a symposium held at The Ohio State University Michael E. Moritz College of Law. Initial public offerings (“IPOs”) are an exercise in asymmetrical valuation. One mechanism for bridging these asymmetries is a private financial intermediary to conduct price discovery by meeting with preferred investors. An alternate mechanism is an auction, such as a descending-bid or Dutch procedure, to conduct price discovery by soliciting bids from all prospective investors. Recent disenchantment with the relationship between issuers and intermediaries has prompted some to hail (online) auction-based …
