The idea that corporations should have ESG goals has been embraced by major investment companies, employees, and many corporations themselves. For the last decade, investors, scholars, and regulators have turned to independent directors in key leadership positions as a means to safeguard corporate boards’ ability to serve as a robust check on management’s power. As a result, a vast majority of public companies’ boards are now led by an Independent Chair, or, alternatively, include a Lead Independent Director.

These ostensible outsiders—which this Article calls “board gatekeepers”—are meant to be even more empowered and detached from management compared to the rest of the board. In 2020, just 6.3% of U.S. private-sector workers were union members, despite the fact that 68% of Americans approve of labor unions, the highest since 1965, and nearly half of non-union workers say they would join.

After World War II, wage growth kept pace with GDP growth, but then began to diverge in the 1970s, according to a study by the RAND Corporation. In 2009, the organization achieved a milestone of serving one million lunches to the school children. By 2021, it had been feeding more than 1.8 million children and aimed at feeding five million children by 2025. Language is an indicator of how stakeholders view an ethics code’s intent, and key to distinguishing code properties, such as promoting ethical-valued decision-making or code-based compliance. This article quantifies ethics codes’ language using Natural Language Processing (NLP), then uses machine learning to classify ethics codes. NLP overcomes some inherent difficulties of “measuring” verbal documents. Ethics codes selected from lists of “best” companies were compared with codes from a sample of Fortune 500 companies. Results show that some of these ethics codes are different enough from the norm to be distinguished by an algorithm; indicating as well that lists of “best” …

Bondholders are arm's-length lenders with limited insider information. In this paper, we explore whether corporate social responsibility (CSR) activities could work as an information channel for bondholders to better understand the riskiness of bond-issuing firms. We find a significant negative relation between CSR scores and corporate bond yield spread, especially for firms which invest heavily in diversity and community relations, suggesting that CSR firms are less risky. The result is robust to different model specifications and endogeneity issues. We investigate why firms voluntarily disclose support for the Black Lives Matter movement (BLM firms) even though these disclosures have little impact on shareholder value. We examine two competing explanations: that managers are acting in the interests of a broad set of stakeholders, or that they are engaging in “woke-washing.” Our evidence supports the stakeholder perspective since we find that BLM firms have more inclusive cultures on multiple dimensions – from their board members, to employees, to the rights of shareholders, and to the compensation structure of top executives. Purpose – This paper aims to highlight differences between business and non-business literature regarding base of the pyramid (BoP) and subsistence contexts and reveal discourse’s powerful role in influencing goals, solutions and outcomes.

Design/methodology/approach – This paper uses critical discourse analysis to review a convenience sample of business versus non-business literature on the BoP and subsistence contexts.

Findings – Discourse used in business literature on the BoP is oriented toward hegemonic Western capitalist approaches that result in the depletion of resources, resource inequalities, poverty and increased consumption, dependence and environmental degradation and, therefore, cannot alleviate poverty.

This study explores the underlying relationship between acquisition of global legitimacy and the search for technology upgrading by Chinese multinational enterprises (MNEs). Using Huawei’s investment in Russia, Kenya, the United Kingdom and Canada as an in-depth case study, we observe that through corporate social responsibility (CSR) activities in foreign markets and engaging with local community, Chinese MNEs can acquire global legitimacy and gradually catch up with industry leaders. However, the process of global legitimation and innovation continues to evolve. Local Political Corruption And M&As, Chun Liu, Yang Chen, Shanmin Li, Liang Sun, Mengjie Yang

We examine the relation between local political corruption and firms' cross-province M&As using provincial-level data on corruption in China. The results show that firms in more corrupt regions are less likely to engage in cross-province M&As. Further analyses reveal that the effects of local corruption on the probability of cross-province M&As are stronger when corrupt officers have greater impeding benefits or lower impeding costs. Meanwhile, Both ex-ante intervention and ex post punishment are important channels through which corrupt officers hinder firms' cross province M&As. Drawing on status characteristics theory, we explore how boards’ social structures influence board turnover. We theorize that (1) understanding directors’ relative standing and spheres of influence in the local status hierarchy creates deference structures that reduce conflict and enhance stability, thereby reducing board turnover; and (2) shared performance expectations and attraction based on homophily in the global status hierarchy can also reduce conflict and enhance stability, and thus serve as another means of reducing board turnover. The COVID-19 pandemic has called for and generated massive novel government regulations to increase social distancing for the purpose of reducing disease transmission. A number of studies have attempted to guide and measure the effectiveness of these policies, but there has been less focus on the overall efficiency of these policies. Efficient social distancing requires implementing stricter restrictions during periods of high viral prevalence and rationing social contact to disproportionately preserve gatherings that produce a good ratio of benefits to transmission risk. Nomadland, a captivating ode to resisting market logics of accumulation, delivers a gripping image of what life looks like in the absence of possessions. Navigating between the extremes of lack and social displacement, and community and newfound ability to live life with little, the nomads find ways to live in the face of despair and disenchantment. Nomadland is a critique of the death of the American dream while at the same time a story of solidarity amongst the dispossessed.

Embracing a constitutive view of communication, this study explores how organizations in Hong Kong make sense of and negotiate their corporate societal commitment. It does that by examining how the considered organizations construct their engagement in society and talk of their aspirations on identified society-oriented doings by cultural discourse analysis. Findings show that the studied Hong Kong companies constructed their engagement by communicationally relating to other societal actors, establishing we-ness in community engagement actions, incorporating elements of the local cultures (languages and places) and in their reasoning and disclosing emotion-rich considerations.
