Still Crazy After All These Years: The Absolute Assignment Of Rents In Mortgage Loan Transactions, Julia Patterson Forrester
Still Crazy After All These Years: The Absolute Assignment Of Rents In Mortgage Loan Transactions, Julia Patterson Forrester
Florida Law Review
This Article explores the problems caused by the absolute assignment of rents in mortgage loan transactions, which have continued for more than a century, and discusses possible solutions. Rents are significant part of the security for loans secured by income-producing properties such as office buildings, shopping centers, and apartments. Under present law in many states, the absolute assignment of rents is the only means by which lenders can create an effective security interest in the rents of mortgaged property. An absolute assignment of rents purports to transfer title to rents to the mortgage lender, although in substance it creates a …

The Law And Large Numbers: Preserving Adjudication In Complex Litigation, Alexandra D. Lahav
Florida Law Review
This Article describes the transfer of power to regulate tortfeasors from the legislative to private parties through the medium of the court system and proposes that instead of privatizing mass torts administration courts should humanize it. The federal courts are faced with large numbers of claims arising out of torts, civil rights violations, and consumer fraud. Federal judges, concerned about the transformation of their role from adjudicators to administrators, have applied various narrowing legal doctrines to avoid administering mass torts. Because courts have restricted procedures for resolving mass claims, litigants have resorted to private ordering through settlement.

Patent Hermeneutics: Form And Substance In Claim Construction, Kelly Casey Mullally
Patent Hermeneutics: Form And Substance In Claim Construction, Kelly Casey Mullally
Florida Law Review
The claims section of a patent performs an important public notice function in patent law. The claims inform us of the boundaries delineating the subject matter over which the inventor holds an exclusive right. Methodology for interpreting patent claims has a direct impact on the claims’ ability to fulfill that mandate. Theories of interpretation are far better developed in statutory and contract law. Many principles animating the debate between form and substance in those fields are relevant to patent law as well, but patent’s divergent genesis and purpose create some important differences. This Article identifies the methodology set forth in …
The Patented Loophole: How Should Congress Respond To This Judicial Invention?, William A. Drennan
The Patented Loophole: How Should Congress Respond To This Judicial Invention?, William A. Drennan
Florida Law Review
A patent is an artificial device that encourages inventions. The introduction of patent protection into an industry is appropriate when inventions in that industry otherwise would be produced at suboptimal levels. The Patent Office recently started issuing patents on tax loopholes, providing a new and incredibly powerful economic incentive that will encourage tax gurus to invent loopholes at unprecedented rates. This Article asserts that there is no need to provide patents to encourage tax gurus to invent more tax loopholes. Congress should prohibit patentholders from collecting damages based on the tax savings generated from the use of a patented process.

Secrecy And Unaccountability: Trade Secrets In Our Public Infrastructure, David S. Levine
Florida Law Review
Trade secrecy—the intellectual property doctrine that allows businesses to keep commercially valuable information secret for a potentially unlimited amount of time—is increasingly intruding in the operation of our public infrastructure, including voting machines, the Internet, and telecommunications. A growing amount of public infrastructure is being provided by private entities that are holding critical information about their goods and services secret from the public. This Article examines this phenomenon, which is largely unexplored in legal scholarship, and identifies a significant conflict between the values and policies of trade secrecy doctrine and the democratic values of accountability and transparency that have traditionally …
