The article discusses a reported increase in the number of merger agreement lock-ups that have occurred as of June 2013, focusing on the causes of lock-up creep and its potential impact on the takeover market. It states that lock-up creep is a phrase that is used to describe a rise in the number and type of merger agreement contractual devices that buyers and sellers negotiate in an acquisition agreement. Attorney negotiations, bidders, and various legal cases are examined.

The terrorist attacks of September 11, 2001, initiated a strategic shift in American national security policy. For the United States, terrorism was no longer a distant phenomenon visited upon faraway regions; it had come to America with stark brutality.1 Consequently, the administration of President George W. Bush sought to advance a security strategy to counter the proliferating threat of terrorism.
The ensuing 2002 National Security Strategy articulated the willingness of the United States to oppose terrorists, and rogue nation-states by merging the strategies of "preemptive" and "preventive" warfare into an unprecedented strategy of "anticipatory action," known as the Doctrine of …

My initial research topic was to determine whether individuals who needed longterm care dispersed their assets in order to qualify for Medicaid coverage. In doing this, I hoped to identify the existence of a relationship between asset dispersion and longterm Medicare claims and then quantify the affect of this relationship. However, as is often the case with research, my mentor and I ran into problems. The main problem was that we did not gain access to the newly released data set that linked the Centers for Medicare and Medicaid Services data with the Panel Study of Income Dynamics data. Because …

This paper examines the origins, development, and effects of test based accountability between 1976 and 2009. Using evidence from North Carolina and other southern states to illuminate broader national developments, the paper focuses on three overlapping waves of test based accountability that began in southern states in the 1970s and spread throughout the United States in the decades that followed: 1) the minimum competency movement of the late 1970s and early 1980s, 2) the raising of high school graduation requirements and the implementation of more rigorous high school exit exams in the 1980s and 1990s, and 3) the adoption of …

The practice of hydraulic fracturing has become increasingly common over the years since it has been looked at to replace energy derived from coal. Though hydraulic fracturing may be one of the better forms of obtaining energy, it comes with its own set of problems ranging from environmental problems to health problems if the appropriate safeguards are not implemented when completing the process. Scope of Analysis
North American bats are highly unique animals that have historically been overlooked by land managers and misunderstood by the public. Bats are unique as the only true flying mammals and due to their exceptionally long lives (5-15 years) and unusually low reproductive rates (typically one young per year) for their small size. Most North American bat species are insectivorous, serve as the primary predators of nocturnal insects, and can consume up to one-third of their weight in insects per night. Thus, bats play a role in regulating insect populations, insect-related ecological processes, and nutrient redistribution and cycling …

Unaffiliated Parents And The Religious Training Of Their Children, Christel Manning

This article examines how parents who are religiously unaffiliated make decisions about the religious upbringing of their children. Drawing on qualitative data, this study explores the diverse worldviews that are included within the term "None” and how those beliefs are reflected or not reflected in the way parents raise their children. The article identifies four distinct worldviews among unaffiliated parents and identifies five different strategies that parents use to incorporate religion in the lives of their children. The article then analyzes the relationship between parent worldviews and actions, with particular attention to secular unaffiliated parents who incorporate religion in the …

“Constitutional privileging” occurs when courts treat the constitutional status of a legal claim as a reason to afford it specialized procedural or remedial treatment — in effect providing to that claim a greater degree of judicial care and attention than its nonconstitutional counterparts receive. Though seldom scrutinized by courts and commentators, this practice occurs within a variety of doctrinal settings. For example, a stricter standard of harmless error review governs constitutional claims; district court findings of facts (and mixed findings) are subject to a stricter form of appellate review in constitutional cases; collateral relief from federal court judgments is more …

Since the emergence of the United States as a major global power, it has claimed to be the “leader of the free world” and the “champion of democracy.” During the Cold War, the pro-democracy rhetoric was a major staple on the United States‟ foreign policy menu. For example, the U.S. claimed that its support for democracy and the former Soviet Union‟s endorsement of authoritarianism was the main distinguishing feature between the ideological-political systems of the two superpowers. The name Paul Moritz Warburg is synonymous with the founding of the Federal Reserve System. Over the years preceding the formation of the Federal Reserve, Warburg wrote many essays and gave many public addresses on banking reform. His reform ideas were modeled on the central banking systems of many European counties he dealt with through the family business M.M. Warburg.
