Expanding Mfw: Delaware Law Should Offer A Business Judgment Rule Safe Harbor For All Conflicted Controller Transactions, Alex Lindsey
Fordham Journal of Corporate & Financial Law
While courts usually defer to a board’s business decisions under the business judgment rule, courts will apply a much less deferential standard of review due to loyalty concerns if a conflicted controller is involved in a business decision such as a merger. However, in Kahn v. M & F Worldwide (“MFW”) when a squeeze out merger was challenged by a minority stockholder, the Delaware Supreme Court reviewed the transaction under the deferential business judgment rule standard because the Court found that the structure of the transaction neutralized the controller loyalty concerns. The U.S. Fish and Wildlife Service in Alaska conducted a Species Status Assessment in response to a petition to list the Alexander Archipelago wolf under the Endangered Species Act. This federal undertaking could not be adequately prepared without including the voices of the Indigenous People who have a deep connection with the subspecies. The Indigenous knowledge presented in this report is the cultural and intellectual property of those who have shared it. The purpose of the report is to communicate the knowledge shared with us to the U.S. Fish and Wildlife Service to help inform the Species Status Assessment and …

All entrepreneurs seek favorable legal or regulatory treatment for their businesses. Sometimes this leads an entrepreneur to build a business within a gap in the law—a loophole. In so doing, these “loophole entrepreneurs” may avoid steep regulatory compliance costs that otherwise would beset (or perhaps prohibit) their businesses, thereby gaining advantages over competitors. Despite these benefits, loophole entrepreneurship is fraught with risks. Loopholes, by nature, are fragile, and their contours are often uncertain. Moreover, the stigma of “exploiting a loophole” (which connotes unfairness or deception) can provoke ill will among competitors, policymakers, and the public.

Background: Lifestyle Africa is an adapted version of the Diabetes Prevention Program designed for delivery by community health workers to socioeconomically disadvantaged populations in low- and middle-income countries (LMICs). Results from the Lifestyle Africa trial conducted in an under-resourced community in South Africa indicated that the programme had a significant effect on reducing haemoglobin A1c (HbA1c).
Objective: To estimate the cost of implementation and the cost-effectiveness (in cost per point reduction in HbA1c) of the Lifestyle Africa programme to inform decision-makers of the resources required and the value of this intervention.

In this paper, we examined the degree to which inherent spatial structure in soil properties influences the outcomes of machine learning (ML) approaches to predicting soil spatial variability. We compared the performances of four ML algorithms (support vector machine, artificial neural network, random forest, and random forest for spatial data) against two non-ML algorithms (ordinary least squares regression and spatial filtering regression). None of the ML algorithms produced residuals that had lower mean values or were less autocorrelated over space compared with the non-ML approaches. Analyzing Physics Students’ Misconceptions About Simple Electrical Circuits, Sapta Adiguna, Shinta Dewi Susanti, Sentot Kusairi, Iwan Setiawan

This study investigates the prevalence and types of misconceptions among first-year Physics Education students regarding simple electrical circuits using the Simple Electric Circuits Diagnostic Test (SECDT). Employing a quantitative descriptive approach, the research analyzes responses from a sample of 42 students, selected through convenience sampling. The SECDT, a three-tier diagnostic instrument with a reliability of 0.69, identifies student misconceptions by categorizing responses into scientific knowledge, misconceptions, no understanding, and lack of knowledge. The results indicate significant gender differences in the types and prevalence of misconceptions. Male students exhibited a higher percentage of misconceptions (77.5%) compared to female students (62.8%). Notably, …

To overcome this, teachers must apply learning strategies that are able to actively involve students in observation activities, namely the POE learning strategy. International labour mobility has increased Indonesian female migrant domestic workers' involvement in transnational labour organisations. Because of their precarious work, advocacy and unions are crucial to protecting them overseas. This paper examines the debates on the political activism of Indonesian female domestic workers and discusses the gap that migration scholars have not yet addressed. The study's conceptual core employs the concept of migrant political transnationalism, which generates the intersection of migrant citizenship and receiving country sovereignty. Introduction: Residents of Appalachia experience elevated rates of morbidity and mortality compared to national averages, and these disparities are associated with inequitable exposures to various determinants of population health. Social and environmental determinants of health are a useful lens through which to develop and evaluate programs to mitigate regional health disparities.
Methods: This 2023 scoping review was conducted of studies linking determinants of Appalachian health with leading causes of regional mortality and morbidity. Introduction: The newly emergent COVID-19 virus reached pandemic levels in March 2020. By the middle of August 2020, there were over 1 million deaths attributed to COVID-19 in the U.S., with those in rural areas outpacing urban counterparts. Prior to emergency approval of the Pfizer, Moderna and Johnson & Johnson vaccine formulations, mitigation efforts addressing individual behavior were challenging. This research study investigated the relationship between technostress creators (techno-complexity, techno-insecurity, techno-invasion, techno-overload, and techno-uncertainty) and faculty perceptions of student cheating in online classes. Data were collected from faculty members of the Management and Organizational Behavior Teaching Society (MOBTS), a member of the AACSB Business Education Alliance, the American Society of Business and Behavioral Sciences (ASBBS), an interdisciplinary professional organization comprised of faculty teaching in accounting, finance, management, marketing, organizational behavior, and computer information systems, and other research panels during 2021 (N = 94). This study examined the impact of fear and anxiety on the intent to take the first COVID-19 booster vaccine. The objective of this study is to provide guidance for messaging campaigns of public health practitioners. A survey approach provided insights about individuals’ emotions of fear and anxiety related to adopting the first booster vaccine for the Coronavirus disease 2019 (COVID-19). The Sayap Palace is a relic of the Pelalawan Kingdom, located in Pelalawan Regency. This palace was built during the reign of Sultan Assyaidi Syarif Hasim. The purpose of this article is to describe the process of the establishment of the Sayap Palace, its role in people’s lives, and its use in the field of education. This article uses the historical method with descriptive analysis techniques and literature studies. After the end of the reign of the Pelalawan Kingdom, the Sayap Palace was no longer occupied and then collapsed. The Sayap Palace’s restoration took place twice, in 2003 and 2015. …

This article discusses the kampilan sword in Jambi People’s Struggle Museum. Kampilan is a traditional weapon originating from the Philippines but has spread to several regions in Indonesia, including Jambi. The kampilan sword collection is often overlooked, and there is not much information regarding these objects, despite the museum’s primary function is research and communication. Therefore, we conducted a study of a collection of kampilan swords to explore information related to these objects, allowing the museum to utilize and develop them in the future.
