ปัญหาและผลกระทบที่เกิดจากการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลตามพระราชกำหนดการประกอบธุรกิจสินทรัพย์ดิจิทัล พ.ศ. 2561นั้น จัดว่าเป็นปัญหาที่สำคัญมากปัญหาหนึ่งของประเทศ เพราะนอกจากจะก่อให้เกิดความเสียหายแก่นักลงทุนในตลาดสินทรัพย์ดิจิทัลแล้ว ยังกระทบกระเทือนต่อเสถียรภาพและความมั่นคงของตลาดสินทรัพย์ดิจิทัลอีกด้วย และด้วยเหตุที่การกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลเป็นอาชญากรรมทางเศรษฐกิจที่ให้ผลตอบแทนสูง จึงทำให้ในปัจจุบันมีกลุ่มอาชญากรที่เข้ามาแสวงหาผลประโยชน์จากการกระทำดังกล่าวในตลาดสินทรัพย์ดิจิทัลเป็นจำนวนมาก และปัญหาที่ตามมาคือผู้กระทำความผิดจะนํารายได้ที่ได้จากการกระทำความผิดนั้นไปทำการฟอกเงินเพื่อนําเงินดังกล่าวกลับเข้าสู่ระบบการเงินปกติ อีกทั้งยังนํามาใช้เป็นทุนในการประกอบความผิดต่อไปอย่างไม่สิ้นสุด อย่างไรก็ตามในปัจจุบันยังไม่มีกฎหมายฉบับใดสามารถบังคับใช้เพื่อป้องกันและปราบปรามการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลอย่างมีประสิทธิภาพ ด้วยเหตุนี้เองจึงจําเป็นต้องหามาตรการในการป้องกันและปราบปรามการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลที่มีประสิทธิภาพเพื่อมาบังคับใช้ ได้แก่ พระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน พ.ศ. 2542 เนื่องจากเป็นกฎหมายที่มีบทลงโทษทางอาญาที่รุนแรงและข้อสำคัญคือมีมาตรการริบทรัพย์สินที่มีประสิทธิภาพ ซึ่งจะทำให้สามารถลดจำนวนผู้กระทำความผิด รวมถึงสกัดกั้นการฟอกเงินจากการกระทำความผิดที่กล่าวมาได้ จึงควรกําหนดให้การกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลเป็นความผิดมูลฐานตามพระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน พ.ศ. 2542 เพื่อที่จะนํามาตรการทางกฎหมายจากพระราชบัญญัติดังกล่าวมาใช้ในการแก้ไขปัญหาได้

เอกัตศึกษาฉบับนี้มีวัตถุประสงค์ที่จะมุ่งศึกษาเรื่องข้อจำกัดและการกำกับดูแลการลงทุนแห่งพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 โดยวิเคราะห์เกี่ยวกับข้อจำกัดของสมาคมการค้าที่ปัจจุบันอนุญาตให้ถือได้เฉพาะตราสารหนี้และหุ้นของบริษัทที่จดทะเบียนในตลาดหลักทรัพย์ที่มีผู้บริจาคหรือมอบให้ พร้อมทั้งวิเคราะห์ถึงการกำกับดูแลการลงทุนของสมาคมการค้า และ ข้อเสนอแนะเพื่อเป็นแนวทางในการแก้ปัญหาหากมีการปรับปรุงบทบัญญัติในข้อจำกัดการลงทุนของสมาคมการค้าตามมาตรา 22(1) วิธีการวิจัยในเอกัตศึกษาฉบับนี้ดำเนินการวิจัยจากเอกสาร ศึกษาค้นคว้า และวิเคราะห์เกี่ยวหลักกฎหมายที่เกี่ยวข้องกับสมาคมการค้า ตลอดจน รวบรวมข้อเท็จจริง ศึกษาเปรียบเทียบกฎหมายต่างประเทศเกี่ยวกับการลงทุนของสมาคมการค้ารวมทั้งการขอคำปรึกษาและนำจากอาจารย์ เพื่อการวิเคราะห์และศึกษาทำความเข้าใจในประเด็นต่างๆ อย่างเป็นระบบ พร้อมทั้งเสนอความคิดเห็นและหาข้อสรุปของการศึกษาต่อไป การศึกษานี้พบว่าบทบัญญัติในเรื่องการลงทุนของพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 แสดงให้เห็นถึงความไม่สอดคล้องกับสภาพการณ์ปัจจุบันในเรื่องการพัฒนาการค้า และไม่ทันต่อกันการเปลี่ยนแปลงที่เกิดขึ้น เอกัตศึกษาฉบับนี้จึงเสนอให้แก้ไขบทบัญญัติของพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 ตามมาตรา 22(1) เพื่อให้สมาคมการค้ามีทางเลือกในการบริหารจัดการสินทรัพย์ของตนเองมากขึ้น โดยพิจารณาเลือกลงทุนในความเสี่ยงที่ต่ำ และยังเป็นไปตามวัตถุประสงค์ของสมาคมการค้าที่จัดตั้งขึ้นเพื่อทำการส่งเสริมการประกอบวิสาหกิจอันมิใช่เป็นการหาผลกำไรหรือรายได้แบ่งปันกัน โดยดำเนินกิจการสนับสนุนสมาชิกในสมาคมการค้าให้เป็นไปตามวัตถุประสงค์เท่านั้น พร้อมกับวิเคราะห์แนวทางการกำกับดูแลการลงทุนของสมาคมการค้า

การจัดตั้งกองทุนเฉพาะเพื่อประกันสิทธิเจ้าหนี้แรงงานระหว่างที่ลูกหนี้ล้มละลายหรือฟื้นฟูกิจการ, ณิชมน ฤทธิ์ผดุงศิลป์

ปัจจุบันความคุ้มครองลูกจ้างในฐานะเจ้าหนี้แรงงานในกระบวนการล้มละลายหรือฟื้นฟูกิจการใช้ระบบผสมโดยใช้บุริมสิทธิควบคู่กับระบบรับประกันค่าจ้างเพื่อลูกจ้างได้รับประกันค่าจ้างและสิทธิประโยชน์ตามสัญญาจ้างในช่วงที่ลูกจ้างมีความเสี่ยงมากที่สุด และสามารถช่วงสิทธิจากลูกจ้างมาเรียกร้องจากกองทรัพย์สินของนายจ้าง เพื่อระบบบังคับหลักประกันในกระบวนการล้มละลายมีความแน่นอนและการให้กู้ยืมจากระบบสินเชื่อสะท้อนถึงต้นทุนที่แท้จริงเป็นผลให้ระบบเศรษฐกิจมีความมั่นคงยิ่งขึ้น ประเทศไทยคุ้มครองลูกจ้างโดยให้บุริมสิทธิและให้การสงเคราะห์ลูกจ้างผ่านกองทุนสงเคราะห์ลูกจ้าง สิทธิที่ลูกจ้างได้รับจึงไม่ใช่การประกันสิทธิตามสัญญาจ้างแรงงานของลูกจ้าง ดังนั้นกองทุนสงเคราะห์ลูกจ้างจึงไม่สามารถสวมบทบาทกองทุนประกันสิทธิเรียกร้องได้ จึงจำเป็นต้องศึกษาหลักการ แนวคิดและรูปแบบการจัดตั้งการประกันสิทธิเรียกร้องของลูกจ้างในกรณีนายจ้างล้มละลายหรือฟื้นฟูกิจการในรูปแบบกองทุน โดยนำแนวทางมาตรฐานระหว่างประเทศ รวมถึงศึกษาประเทศเกาหลีใต้และประเทศออสเตรเลียเพื่อเป็นมาตรฐานในการก่อตั้งกองทุนประกันสิทธิเรียกร้องโดยเสนอให้มีการประกับสิทธิเรียกร้องลูกจ้างโดยจัดตั้งในรูปแบบกองทุนเฉพาะเพื่อประกันสิทธิเจ้าหนี้แรงงานระหว่างที่ลูกหนี้ล้มละลายหรือฟื้นฟูกิจการเพื่อคุ้มครองลูกจ้างหรือเจ้าหนี้แรงงานต่อไป

เอกัตศึกษาศึกษาฉบับนี้มุ่งศึกษาการกำหนดให้มีการเปิดเผยข้อมูลในมิติการเปลี่ยนแปลงของสภาพภูมิอากาศของธนาคารพาณิชย์ในประเทศไทยทั้งในรูปแบบภาคบังคับ (mandatory disclosure) ตามพระราชบัญญัติหลักทรัพย์และตลาดหลักทรัพย์ พ.ศ. 2535 และภาคความสมัครใจ (voluntary disclosure) ตามคำแนะนำของตลาดหลักทรัพย์แห่งประเทศไทยเพื่อแก้ไขปัญหาการดำเนินธุรกิจไปสู่ความยั่งยืนของธนาคารพาณิชย์และภาคธุรกิจพร้อมทั้งเสนอแนะมาตรฐานและแนวทางในการกำกับดูแลให้มีการเปิดเผยข้อมูลเกี่ยวกับสภาพภูมิอากาศ วิธีวิจัยเอกัตศึกษาฉบันนี้ใช้วิธีวิจัยจากเอกสารโดยการศึกษา ค้นคว้า และวิเคราะห์เกี่ยวกับทฤษฎีและหลักกฎหมายที่เกี่ยวข้องกับหลักการเปิดเผยข้อมูลความยั่งยืนในมิติการเปลี่ยนแปลงของสภาพภูมิอากาศ ตลอดจนศึกษาบทความ หนังสือ วารสาร รายงาน กฎหมายต่างประเทศ สื่ออินเตอร์เน็ต และคำแนะนำจากอาจารย์ที่ปรึกษาในประเด็นที่เหมาะสมเพื่อเสนอความเห็นและหาข้อสรุปของการศึกษา จากการศึกษาทำให้พบว่าสถาบันการเงินโดยเฉพาะธนาคารพาณิชย์ยังไม่ได้นำผลกระทบด้านสิ่งแวดล้อมไปเป็นต้นทุนดำเนินธุรกิจ และความเข้าใจเกี่ยวกับกิจกรรมที่เป็นมิตรต่อสิ่งแวดล้อมของแต่ละภาคส่วนยังมีความเข้าใจแตกต่างกัน นอกจากนี้ยังปัญหาความไม่เท่าเทียมกันของข้อมูล ประกอบกับธนาคารพาณิชย์ยังไม่มีการประเมินความเสี่ยงและผลกระทบด้านสิ่งแวดล้อมอย่างเหมาะสม อีกทั้งยังมีปัญหาองค์ความรู้และทักษะของบุคลากรในภาคการเงินและภาคธุรกิจ ซึ่งปัญหาเหล่านี้อาจแก้ไขได้ด้วยการกำกับดูแลให้มีการเปิดเผยข้อมูลความเสี่ยงและโอกาสที่เกิดขึ้นจากการเปลี่ยนแปลงของสภาพภูมิอากาศ เอกัตศึกษาฉบับนี้จึงเสนอแนวทางในการกำกับดูแลธนาคารพาณิชย์ให้มีการเปิดเผยข้อมูลที่เกี่ยวกับการเปลี่ยนแปลงของสภาพภูมิอากาศที่มีมาตรฐานเป็นที่ยอมรับและเปรียบเทียบกันได้ในระดับสากล

Surface-Enhanced Raman Scattering Technique For Nanoplastics Detection, Boonphop Chaisrikhwun

The size-dependent effect of nanoplastics (NPLs) restricts the quantification of NPLs by surface-enhanced Raman scattering (SERS) technique. In this study, we successfully established an innovative preparation method to eliminate this effect. This developed SERS method allowed us to quantify 100-, 300-, 600-, and 800-nm polystyrene nanospheres (PSNSs) in diverse aqueous conditions at a low concentration. The SERS substrate was easily fabricated and used as NPLs signal enhancement with sputtering gold particles onto a glass cover slide. By preconcentrating and dissolving PSNSs in toluene, SERS technique can be successfully quantify NPLs at extremely low concentrations with a limit of detection (LOD) …

A novel growth-based strategy for the determination of hydrogen peroxide has been developed using a mixture of silver nanospheres (AgNSs) and citrate-capped silver nanoprisms (AgNPrs). The unique ability of hydrogen peroxide to oxidize silver nanoparticles and reduce silver metal consequently was exploited to produce a highly sensitive and selective sensor (AgNSs/NPrs). Citrate-capping of the AgNPrs only allows the lateral growth that resulted in a red shift and intensity enhancement of the in-plane dipole plasmon resonance (IPDPR) band. The absorption and adsorption of lithium in silicon nanostructures: silicon quantum dots (SiQDs), silicon nanowires (SiNWs) and silicon nanopores (SiNPs) were studied using density functional theory (DFT) with M06-2X hybrid functional and 6-31G+(d) basis set. The tetrahedral sites, both Tdinner and Tdsurface, are the most preferred sites for lithiation due to their favorable binding energy profiles. For single lithium absorption and adsorption, SiQDs exhibit a binding energy of 1 eV, SiNWs demonstrate a binding energy of 1.28 eV, and SiNPs display a binding energy of 0.73 eV. The Federal Reserve (“the Fed”) can remove bankers from office if they violate the law, engage in unsafe or unsound practices, or breach their fiduciary duties. The Fed, however, has used this power so rarely that few even realize it exists. Although major U.S. banks have admitted to repeated and flagrant lawbreaking in recent years, the Fed has never removed a senior executive from one of these institutions.

Intergenerational equity is commonly set aside in favor of other policy objectives, perhaps because of the extreme challenges inherent in adopting and applying an intergenerational equity normative framework. Even when there is a near consensus that the choices of today will have substantial costs in the future, these costs are often downplayed or disregarded. This Article asks whether there are measures that might offer redress to a generation for the costs imposed on it by its predecessors and finds that a one-time wealth tax is a promising option. This Article argues that the current era of U.S. civil procedure is defined by its neoliberalism. The Supreme Court has over the past few decades reinterpreted the Federal Rules of Civil Procedure in ways that have made it more difficult for citizens to bring and maintain civil claims. The major decisions of this new era—in areas as diverse as summary judgment, pleading, class actions, and arbitration—exhibit neoliberal hallmarks. No one seriously questions that an improved and decarbonized energy supply system is a key component of climate change mitigation, but the United States’ system of federalism complicates the siting of utility-scale renewable energy facilities. The new Biden Administration presents the United States with an opportunity to reimagine how this country regulates renewable energy siting, allowing for substantial national progress in reducing greenhouse gas emissions. An unheralded weapon in the War on Drugs can be found in state tax codes: many states impose targeted taxes on individuals for the possession and sale of controlled substances. These “crack taxes” provide state officials with a powerful means of sanctioning individuals without providing those individuals the protections of the criminal law. Further, these taxes largely escape public scrutiny, which can contribute to overregulation and uneven enforcement.

This paper examines contests among plaintiffs’ firms to become lead counsel in securities fraud class actions. We study lead plaintiff appointments in all federal securities class actions involving a disclosure claim from 2005 to 2016. We find that law firms’ decisions to combine correspond primarily with the existence of relationships—either with clients or between firms—rather than case characteristics. In the case of initial motions, the presence of a relationship between attorney firms and certain institutional investor movants for lead plaintiff corresponds with motions that propose multiple lead counsel. Evidence for cardiovascular outcomes with older-generation antihyperglycemic drugs in the management of type 2 diabetes is based on aggregated data from prior randomized controlled trials and observational studies that were not focused on prespecified cardiovascular end points. Newer antihyperglycemic medications have undergone a rigorous evaluation of cardiovascular outcomes through randomized controlled trials since the US Food and Drug Administration imposed a mandatory requirement for all glucose-lowering drugs in 2008. The three classes of drugs that have been most extensively studied are dipeptidyl peptidase 4 inhibitors, glucagon-like peptide 1 receptor agonists, and sodium-glucose cotransporter-2 (SGLT2) inhibitors, the latter two reporting significant …
