The Separation Of Voting And Control: The Role Of Contract In Corporate Governance, Gabriel Rauterberg Jan 2021

The Separation Of Voting And Control: The Role Of Contract In Corporate Governance, Gabriel Rauterberg

Faculty Scholarship

The default rules of corporate law make shareholders’ control rights a function of their voting power. Whether a director is elected or a merger is approved depends on how shareholders vote. Yet, in private corporations shareholders routinely alter their rights by contract. This phenomenon of shareholder agreements — contracts among the owners of a firm — has received far less attention than it deserves, mainly because detailed data about the actual contents of shareholder agreements has been lacking. Private companies disclose little, and shareholder agreements are thought to play a trivial or nonexistent role in public companies.

I show that …

Gauge-Invariant Tmd Factorization For Drell-Yan Hadronic Tensor At Small X, Ian Balitsky Jan 2021

Gauge-Invariant Tmd Factorization For Drell-Yan Hadronic Tensor At Small X, Ian Balitsky

Physics Faculty Publications

The Drell-Yan hadronic tensor for electromagnetic (EM) current is calculated in the Sudakov region s ≫ Q2 ≫q⊥2 with 1Q² accuracy, first at the tree level and then with the double-log accuracy. It is demonstrated that in the leading order in Nc the higher-twist quark-quark-gluon TMDs reduce to leading-twist TMDs due to QCD equation of motion. The resulting tensor for unpolarized hadrons is EM gauge-invariant and depends on two leading-twist TMDs: f1 responsible for total DY cross section, and Boer-Mulders function h1⊥. The order-of-magnitude estimates of angular distributions for DY …

In Memoriam: Emmanuel Gaillard, George A. Bermann Jan 2021

In Memoriam: Emmanuel Gaillard, George A. Bermann

Faculty Scholarship

It is difficult to add meaningfully to all that has been said and written about the extraordinary Emmanuel Gaillard who left us far too soon. But I shall try.

Emmanuel has been described lately as a “titan” and a “giant.” Though he was those things, they fail to capture the humility and humanity that marked Emmanuel for the length of his career. Notwithstanding the monumental achievements he made, and the recognition he so richly deserved, Emmanuel remained throughout a modest, loyal and supportive member of the international arbitration community.

We The People (Of Faith): The Supremacy Of Religious Rights In The Shadow Of A Pandemic, Elizabeth Reiner Platt, Katherine M. Franke, Lilia Hadjiivanova

Faculty Scholarship

Late on a Friday evening in April 2021, over a year into the COVID-19 crisis, the Supreme Court issued a brief opinion that dramatically transformed constitutional law. In the midst of a once-in-a-lifetime global pandemic, the Court ruled in Tandon v. Newsom that state and local governments seeking to curb the spread of the novel coronavirus may not restrict in-person religious gatherings more rigorously than any other type of activity, such as shopping for groceries or working at a warehouse. The opinion was only one in a barrage of cases filed in federal courts across the country — many …

The Southern Hospitals Report, Elizabeth Reiner Platt, Katherine M. Franke, Candace Bond-Theriault, Amy Littlefield

Faculty Scholarship

When research for this report was first initiated, it was intended to answer a narrow question: is abortion care restricted at historically Protestant hospitals in the U.S. South? Strict limits on access to abortion at Catholic hospitals — and the ways in which this can obstruct and delay even emergency medical care — are already well documented in legal and medical literature and news media. In contrast, restrictions at Protestant hospitals have not been extensively studied and are not well understood. Our research sought to fill this gap in knowledge. We focused on the U.S. South because Catholic hospitals are …

Leading Through Learning: Using Evolutionary Learning To Develop, Implement, And Improve Strategic Initiatives, Kimberly Austin, Amanda Cahn, Elizabeth Chu, Andrea Clay, James S. Liebman

Faculty Scholarship

Equitably educating students requires effective differentiation of services based on students’ strengths and needs. Doing so reliably at scale is difficult given the diversity of students and contexts in our public school systems and the diversity of needs created by historical and institutionalized discrimination against people of color, immigrants, and other populations.

Still, a number of systems and organizations have succeeded in advancing equity at scale. They have done so by finding new ways to design, lead, and manage their operations and engage internal and external stakeholders – in our language, new ways to govern2 their work. Cutting across these …

A Survey Of Opportunistic Fungi In The Portsmouth, Nh Region, Chloe E. Richard

Honors Theses and Capstones

Opportunistic mycoses are caused by ubiquitous fungi that we encounter daily. This study identified the most common opportunistic fungi in a local area during the current winter season. A survey of fungi was conducted in the Portsmouth, New Hampshire region by taking environmental samples from both indoor and outdoor locations. The samples were then cultured and identified using colony morphology, microscopic characteristics, and biochemical testing. Despite the cold weather, the results showed that fungal species are still prevalent outdoors, with the most variation in single samples coming from areas with exposed soil and decaying vegetation, while less fungal presence was …

Prepared To Respond? Investigating Preservice Teachers’ Perceptions Of Their Readiness For Culturally Responsive Teaching, Alicia L. Moore, Rebecca M. Giles, Paige Vitulli

International Journal for the Scholarship of Teaching & Learning

Increasing cultural diversity in American schools has made preparing graduates to work with diverse learners an essential goal of teacher education programs. The purpose of this study was to investigate the perceptions of elementary (K-6) undergraduate preservice teachers (n=36) in a dual certification program regarding their personal and professional readiness for culturally responsive teaching. Data collected using the Cultural Responsive Teaching Readiness Scale (Karatas & Oral, 2017) revealed relatively high mean overall with little variation (M = 4.25, SD = 0.18) with a statistically significant difference (t (33) = 18.65, p < .001) between Personal Readiness (M = 4.46) and Professional Readiness (M = 3.98). Participants seemed to perceive classroom practice as influential in terms of their cultural awareness, thus, indicating the importance of partnerships with area schools and districts to ensure effective field experiences for preparing teachers for sustained employment in culturally and linguistically diverse settings.

Smart Surfaces, Smart Cities: Reducing Heat And Promoting Equity In Urban Areas, Hillary Aidun

Sabin Center for Climate Change Law

The summer of 2021 underscored that we are all affected by climate change impacts, whether in the form of heatwaves, fires, or extreme flooding. But some Americans are far more affected than others. Urban centers are hotter than rural areas due to urban heat island effect, a phenomenon caused by pavement, buildings, and other surfaces in cities that absorb and retain heat. In the United States, urban heat island effect results in a temperature difference of up to 7. degrees between cities and their surrounding rural areas. Moreover, within cities, extreme heat disproportionately harms communities of color and low-income communities. …

The Law And Science Of Climate Change Attribution, Michael Burger, Jessica A. Wentz, Radley Horton

Sabin Center for Climate Change Law

There is overwhelming scientific agreement that human activities are changing the global climate system and that these changes are already affecting human and natural systems. Significant advances in climate change detection and attribution science – the branch of science that seeks to isolate the effect of human influence on the climate and related earth systems – have continued to clarify the extent to which anthropogenic climate change causes both slow onset changes and extreme events. The spike in deaths and costs associated with extreme events and the prospect for slow onset changes with irreversible impacts has inspired a marked increase …

Attribution Science In Takings Litigation, Daniel J. Metzger

Sabin Center for Climate Change Law

Climate science plays a central role in climate litigation, and cases under the Takings Clause of the United States’ and many state constitutions are no exception. In the climate context, takings cases to date have involved claims that challenge the constitutionality of both adaptation and mitigation measures. For instance, real estate developers have claimed that land use and zoning regulations that seek to reduce exposure to climate change impacts constitute regulatory takings. Property owners have claimed that restrictions on the development of fossil fuel infrastructure upset their investment-backed expectations. And property owners adversely impacted by climate-related flood control measures have …
