Companies with a dual-class structure have increasingly been involved in high-profile battles over the reallocation of control rights. Google, for instance, sought to entrench its founders’ control by recapital­izing from a dual-class into a triple-class structure. The CBS board, in contrast, attempted to dilute its controlling shareholder by distributing a voting stock dividend that would empower minority shareholders to block a merger it perceived to be harmful. These cases raise a fundamental question at the heart of corporate law: What is the proper judicial response to self-dealing claims regarding reallocations of corporate control rights?

This Review engages Tim Wu’s book, The Curse of Bigness, to explain the significance of the current rupture in antitrust and to situate it within a broader intellectual trajectory. Debates over the foundational purpose of antitrust are not new, and examining how this latest clash fits alongside previous contestations is essential for understanding what has yielded the current contestability and assessing the competing visions.

As school closures require educators to transition to remote teaching, relevant models for supporting students are necessary. This article discusses Academic Communities of Engagement (ACE), a framework identifying two communities to help support student engagement: (a) the course community associated with course or school (teacher, peers, administrators, counselors) and (b) students’ personal community with long-standing relationships (parents, siblings, friends). Within the framework these communities can provide affective, behavioral, and cognitive support in online (remote) settings. Examples from two schools that had to go remote demonstrate application of the framework promoting student engagement and success.

In this article we share the Academic Communities of Engagement (ACE) framework, which describes a student’s ability to engage affectively, behaviorally, and cognitively in an online or blended course independently and with support. Based on Vygotsky’s (Mind in society: the development of higher psychological processes, Harvard University Press, Cambridge, 1978) zone of proximal development, the framework examines how a student’s ability to engage in online or blended courses increases with support from two types of communities. Research in accounting education has evolved to include, among other areas, research relevance, faculty research productivity, and the use of journal lists. These topics offer new areas for research including investigating the benefits and risks of relevant/irrelevant research, how effectively faculty research is evaluated, the potential consequences of using journal lists, and much more. Although these areas have significant and wide‐ranging effects on faculty, much more empirical data is needed to inform decision making. This paper highlights these issues and makes suggestions for additional research to help the academy make better decisions by using data‐driven research findings.

Prior research indicates that most audit legal disputes settle. There is, however, little evidence of the factors that drive the settlement norm and its exceptions in audit legal disputes. To better understand these factors, we rely on theory related to how professionals manage risks and, as a result, how professions defend jurisdictional claims. We use this theoretical lens to help motivate four research questions that we probe by interviewing 27 prominent attorneys experienced in audit litigation. In this paper we answer the call of Sheppard (2012) and Brunner & Kim (2016) and present a model for teaching data analytics in an introductory information systems class using the Python programming language. The pedagogy follows an active-learning strategy in which students are assumed to have no statistical or Python programming training prior to class. The learning outcomes include: 1) Data: write code to import and manipulate data; 2) Visualization: write code to generate useful and theoretically sound data visualizations; 3) Feature Engineering: write code to generate, condense, or recombine variables (i.e., "features") of any type (numeric, categorical, ordinal, …

The Narrowness Of Shorting Profitability, Karl B. Diether

I examine the persistence in stock level short-selling profitability by using contract level shorting data. I do find that short-sellers are profitable on average using an approach that takes into account the exact timing of the opening and closing of short positions. But I also find that this profitability is driven by the set of stocks for which short-sellers previously had strongly profitable outcomes. I find that if short-selling contracts for a given stock are profitable in the last six months that on average short sellers continue to make profitable trades in that stock in the future. Given the overwhelming increase in technological advancements and global warming concerns, our study attempts to investigate the predictive powers of green human resource management (GHRM) bundles and green team creativity on green product innovation. Additionally, we examine the roles of technological turbulence and environmental dynamic capability.We have administered a cross-sectional (time lag) survey design with 229 respondents from 31 manufacturing organisations in Malaysia and employed the partial least square path modelling (SmartPLS3) for data analysis. An observational study examined the efficacy of using accelerometer and gyroscope (i.e., orientation) data from standard mobile devices to assess response credibility. Study participants played twenty rounds of a card game where they self-reported whether they won or lost each round. Participants received a base payment but could gain increased “bonus” payments by cheating. After the card game, participants were asked a “Yes-No” question whether they cheated while their orientation data was captured. We predicted that people concealing information about an adverse behavior (i.e., cheating), would result in differences in both absolute magnitude changes in acceleration and in rotation, as …

Over the last decade, long before the sweeping impact of COVID-19, the criminal legal system in New York City has been on a halting path toward decarceration. Set against the national backdrop of declining crime rates and a reckoning with the economic, social, and racial costs of mass criminalization and incarceration, elected officials in New York City and State have acknowledged that a shift toward reducing the number of people held in New York City jails is long overdue.
