Revitalizing Sec Rule 14a-8’S Ordinary Business Exclusion: Preventing Shareholder Micromanagement By Proposal, Stephen M. Bainbridge
Revitalizing Sec Rule 14a-8’S Ordinary Business Exclusion: Preventing Shareholder Micromanagement By Proposal, Stephen M. Bainbridge
Fordham Law Review
Who decides what products a company should sell, what prices it should charge, and so on? Is it the board of directors, the top management team, or the shareholders? In large corporations, of course, the answer is the top management team operating under the supervision of the board. As for the shareholders, they traditionally have had no role in these sort of operational decisions. In recent years, however, shareholders have increasingly used SEC Exchange Act Rule 14a-8 (the so-called “Shareholder Proposal Rule”) to not just manage but even micromanage corporate decisions. The Rule permits a qualifying shareholder of a public …
Analysis Of The Fm Radio Spectrum For Secondary Licensing Of Low-Power Short-Range Cognitive Internet-Of-Things Devices Via Cognitive Radio, Derek Thomas Otermat
Analysis Of The Fm Radio Spectrum For Secondary Licensing Of Low-Power Short-Range Cognitive Internet-Of-Things Devices Via Cognitive Radio, Derek Thomas Otermat
Theses and Dissertations
The number of Internet of Things (IoT) devices is predicated to reach 200 billion by the year 2020. This rapid growth is introducing a new class of low-power short-range wireless devices that require the use of radio spectrum for the exchange of information. To offset this extraneous demand for radio spectrum, the low-power short-range IoT devices need to utilize vacant spectrum through the use of Cognitive Radio (CR). The analysis presented in this dissertation indicates that the FM radio spectrum is underutilized in areas of the continental United States that have a population of 100,000 or less. These locations have …

What Do Chinese Really Think About Democracy And India?, Devin K. Joshi, Yizhe Xu
Research Collection School of Social Sciences
There has been much speculation about whether China will democratize and avoid conflict with India in the twenty-first century. Yet, few studies have investigated how contemporary Chinese view India and its democracy. Addressing this gap in the literature, the authors examined Chinese media coverage of India’s two-month long April–May 2014 parliamentary election, the largest election in world history, through systematic analysis of over 500 articles from ten major mass media outlets and over 27,000 messages transmitted on Sina Weibo social media. As might be expected, Chinese mass media generally portrayed India and its elections in a condescending fashion while avoiding …
Earthquake Loss Estimates And Policy Implications For Nonductile Concrete Buildings In Los Angeles, Thalia Anagnos, Mary C. Comerio, Jonathan P. Stewart
Earthquake Loss Estimates And Policy Implications For Nonductile Concrete Buildings In Los Angeles, Thalia Anagnos, Mary C. Comerio, Jonathan P. Stewart
Faculty Research, Scholarly, and Creative Activity
The collapse potential of nonductile concrete buildings represents a substantial life safety hazard globally that can be mitigated through carefully crafted policy. Mitigation policy should be approached incrementally by (1) understanding problem scale, (2) screening for low- and high-risk buildings, (3) performing engineering analysis for potentially vulnerable buildings, and (4) retrofit or replacement of high-risk structures. This research addresses initial stages of this sequence for Los Angeles, California. The intent was to investigate approaches for informing mitigation priorities by: characterizing the inventory of approximately 1,500 pre-1976 concrete buildings; estimating risk, including identification of building types that contribute most substantially to …

Role Of The Architects In Creating Building And Urban Resilience, Ferhat Bejtullahu
Role Of The Architects In Creating Building And Urban Resilience, Ferhat Bejtullahu
UBT International Conference
Extreme weather events are increasing in intensity and frequency. While the social component of resilience with all its dimensions depend on all citizens, spatial and environmental components with all their dimensions depend on more from architects than from other professionals. In this context, architects have a responsibility to evaluate, design (create) and maintain resilient build environment that can more successfully adapt to natural conditions and that can more readily absorb and recover city from different disasters.
The objective of this research and used methodology is to identify the role of architects in creating the building and urban resilience qualities that …

This speech was delivered to the Wicomico Co. Bar Association on October 28th, 2016. It is an updated version of the 2012 speech, available at http://scholarworks.law.ubalt.edu/all_fac/924/ .
Overview: Only an out-of-court statement ("OCS") offered for the truth of the matter that was being asserted by the out-of-court declarant ("declarant") at the time when s/he made the OCS ("TOMA") = hearsay ("HS").
