Section 76 of the Companies Act prohibits the giving by a company of financial assistance for the purpose of or in connection with the acquisition of its own shares. This penal provision is highly controversial in view of its breadth and uncertainty in its application. In the recent criminal prosecution of PP v Lew Syn Pau and in the recent civil litigation of Wu Yang Construction Group v Zhejiang Jinyi Group Co, Ltd, the Singapore High Court had to determine the scope of the prohibition under s 76 of the Companies Act. The distally based sural island flap was first described by Masquelet, et al, in 1992. It is a skin island flap supplied by the vascular axis of the sural nerve. lhe aim of this paper is to demonstrate that it can be applied in coverage of difficult wound in the lower third of the leg. We treated nine patients with nine distally based sural island flaps. All the flaps survived, most of the flaps had venous congestion. This paper formulates a timetabling problem, which is often encountered in a university, as a mathematical programming model. The proposed model combines both teacher assignment and course scheduling problems simultaneously, which causes the entire model to become more complex. We propose an improvement heuristic algorithm to solve such a model. The proposed algorithm has been tested with several randomly generated datasets of sizes that are comparable to those occurring in a university in Indonesia. This essay examines the interplay between nationalism and foreign policy in China—but with a twist. It seeks to loosen up analytical categories to expand from cultural nationalism to see how civilization constructs identity in national and transnational ways. It examines the limits of Chinese trans/nationalism according to the main Chinese expression of inside/outside—‘civilization/barbarism’—as it constructs Chinese nationalism and Greater China. The purpose is to both critically examine Chinese nationalism and to trace what our focus on the nation-state obscures: namely, transnational politics. People were given highly constrained low budgets of mate dollars to allocate across various characteristics pertaining to their ideal partners and to their ideal selves for long- and short-term mating. First, results replicated findings from LI et al. (2002) and LI and KENRICK (2006). For ideal long-term mates, men prioritized physical attractiveness and women prioritized social status. For ideal short-term mates, both sexes prioritized physical attractiveness. Second, people's design of their ideal selves mirrored what the opposite sex ideally desired in their mates. Vietnam’s rapid economic growth has provided young Vietnamese new opportunities unheard of in their parents’ generation. This is, however, not the case for ethnic minority youth. Many of them are among the poorest, least healthy, and least educated. Ethnic minorities, who tend to live in remote mountainous areas, account for 15 percent of Vietnam’s 84 million total population and, according to a recent estimate, 61 percent of them are poor. Evidence suggests that despite recent efforts of the Government of Vietnam in promoting poverty reduction in remote areas, a majority of ethnic minorities have not yet experienced positive change, contrary …

This article explores the politics of urban growth in a transitional society. Korea, which is experiencing rapid industrialization, urbanization and democratic transition exemplifies a set of conditions that may seem to favor the emergence of an urban growth politics and business-led growth coalition much like that found in urban areas at the time of industrialization, and still prevalent in much of the US and other western democracies today. As the legislative body of the European Union (EU), the European Parliament (EP) comprises 732 elected representatives from over 150 national political parties from 25 member states. At the EP level, these members are affiliated with seven major party groups representing distinct policy positions. Here we provide precise estimates of these policy positions based on expert surveys, in addition to characterizing the dimensionality of policy competition in the EP. Our results suggest not only that party groups have identifiable and differentiated positions on multiple issues of policy, but also that these positions group broadly into two orthogonal dimensions: one consisting …

Dworkin V. The Philosophers: A Review Essay On Justice In Robes, Michael S. Green

In this review essay, Professor Michael Steven Green argues that Dworkin's reputation among his fellow philosophers has needlessly suffered because of his refusal to back down from his "semantic sting" argument against H. L. A. Hart. Philosophers of law have uniformly rejected the semantic sting argument as a fallacy. Nevertheless Dworkin reaffirms the argument in Justice in Robes, his most recent collection of essays, and devotes much of the book to stubbornly, and unsuccessfully, defending it. This is a pity, because the failure of the semantic sting argument in no way undermines Dworkin's other arguments against Hart.

It seems to be a common assumption that physical places like parks, sidewalks, and public squares, and "cyber-places" like the Web, constitute separate locations of communication. In reality, however, the intersection and collision of these two spaces is imminent. In some respects it has already occurred. Entire cities and counties are erecting wireless "clouds" that will bring the Internet to vast public spaces. Technologies of surveillance continue to proliferate. What one does and says in public places is increasingly subject to surveillance by means of a combination of hand-held devices and official surveillance tools like closed circuit television cameras (CCTV). …

Despite the extensive scholarly literature assessing the proper role of federalism in environmental law, there has been relatively little analysis of why states adopt given environmental policies. There is even less consideration of how federal regulatory choices influence state environmental policy, and how a change in federal policy could influence states' willingness to adopt more environmental protections of their own. The restaurant industry now takes in over $500 billion a year, but recent courts have been skeptical of the notion that one of its most valuable assets, original recipes, are subject to copyright protection. With more litigation looming and the contours of the debate insufficiently mapped out, this article establishes the appropriate groundwork for analyzing the copyrightability of recipes. I show that, contrary to recent appellate court opinions, recipes meet the statutory requirements for copyrightability. I argue, by analogizing to musical compositions, that written recipes work to satisfy the fixation requirement of copyright law just as musical notation does for …

A sound intuition animates Professor Denning's defense of the doctrinal status quo under the dormant commerce clause: the courts should not lightly abandon well-established constitutional canons. I nevertheless remain unconvinced by Professor Denning's effort to justify the long-standing interpretation of the dormant commerce clause as forbidding taxes which discriminate against interstate commerce. Whatever the historical justification for this constitutional precept, its past utility, or its visceral appeal, dormant commerce clause nondiscrimination is today doctrinally incoherent in tax contexts. The problem is not one of borderlines and close cases. Rather, at its core, the notion of dormant commerce clause tax nondiscrimination …

Application of a multimodality approach is advantageous for detection, diagnosis and management of breast cancer. In this context, F-18-FDG positron emission tomography (PET), and high-resolution and dynamic contrast-enhanced magnetic resonance imaging (MRI) have steadily gained clinical acceptance. Obtaining the spatial relationships between these modalities and conveying them to the observer maximizes the benefit that can be achieved. Traditionally the registered images are displayed side by side. However, it is believed that a combined MRI/PET display may be more beneficial.
