Of Fine Lines, Blunt Instruments, And Half-Truths: Business Acquisition Agreements And The Right To Lie, Jeffrey M. Lipshaw Jan 2007

Of Fine Lines, Blunt Instruments, And Half-Truths: Business Acquisition Agreements And The Right To Lie, Jeffrey M. Lipshaw

Suffolk University Law School Faculty Works

In this article, I expand upon a happy coincidence (for scholars) in reconciling the overlap between contract and fraud. Both the recent book by Ian Ayres and Gregory Klass and the opinion by the Delaware Court of Chancery in Abry Partners Acquisition V, L.P. v. F & W Acquisition, LLC addressed the matter of lies within contractual promises, whether as to the promisor's intention to perform or as to the state of the business being sold. Each treatment, however, in focusing on fraudulent affirmative representations, falls short of (1) recognizing the fundamental aspect of deceptive promising in a complex deal, …

The Effect Of Gm Label Variation On Perceptions Of Genetically Modified Foods, Alexandra Jane Costello Jan 2007

The Effect Of Gm Label Variation On Perceptions Of Genetically Modified Foods, Alexandra Jane Costello

School of Psychology Theses

This thesis investigates the factors which are suggested to affect perceptions of genetically modified (GM) foods. It first tests the extent to which the components of the Theory of Planned Behaviour and perceived `outrage' are able to predict intentions towards buying GM foods using linear regression. It then focuses on how GM label design characteristics and linguistic variations influence perceptions of GM foods including measures of hazard perception and purchase intention using ANOVA repeated measures. Modelling is then used to identify whether label variations affect the components of the Theory of Planned Behaviour, namely attitudes, subjective norms and perceived behavioural …

Free Clinics Of Iowa: An Inside Look At An Alternate Route To Healthcare, Laura Deboer Jan 2007

Free Clinics Of Iowa: An Inside Look At An Alternate Route To Healthcare, Laura Deboer

Honors Program Theses

Forty-seven million uninsured Americans: an all too familiar statistic, peppering television advertisements, newspaper headlines, and most recently - a hot agenda item of political candidates is a sad truth of American health care. Unfortunately, for sixteen percent of Americans and approximately thirteen percent of adult Iowans, this is not just a passing television ad - but the facts of life that are faced every day. These individuals make up families who evaluate that, although it is taking a risk to be without health insurance, the security of insurance is not as important as providing meals on the dinner table. The …

Absolute Pitch Perception And The Pedagogy Of Relative Pitch, Elizabeth West Marvin Jan 2007

Absolute Pitch Perception And The Pedagogy Of Relative Pitch, Elizabeth West Marvin

Journal of Music Theory Pedagogy

While intuition suggests that aural skills pedagogy should be closely linked to findings in music-cognitive research, music theorists have only infrequently written about this relationship (Butler 1997, Butler and Lochstampfor 1993). Gary Karpinski's research is a notable exception (Karpinski 2007, 2000, 1990), as are occasional articles appearing in the Journal of Music Theory Pedagogy and elsewhere (Lake 1993, Larson 1993, Marvin 1995, Potter 1990). More recently, two experimental studies have empirically tested the effectiveness of various dictation and sight-singing strategies (Killam, Baczewski, and Hayslip 2003, Lorek and Pembrook 2002). Even so, researchers from other fields as disparate as developmental psychology, …

Inspired Accidents - Spontaneous Invention In Musical Performance (Master Teacher Column), Michael R. Rogers Jan 2007

Inspired Accidents - Spontaneous Invention In Musical Performance (Master Teacher Column), Michael R. Rogers

Journal of Music Theory Pedagogy

Even when conventionally appropriate phrasing and shaping are heard in a musical rendition, intangibles can seem missing. To distinguish not just between "the musical" and "the unmusical" but also between "the musical" and "the ultramusical" and to inquire why these magical elements - these uncanny "X-factors" - re present or absent in a performance seem among the most burning questions of music study and theoretical training. To assist my investigation, I have constructed a "Communication Chain for Musical Performance."

Interdisiplinarity: A Major Issue, Jessica B. Buckley, David Buckley Jan 2007

Interdisiplinarity: A Major Issue, Jessica B. Buckley, David Buckley

Faculty and Staff Scholarship

Interdisciplinary majors are a growing feature of the undergraduate university (Robles, 1998). Their widespread popularity should be of interest to both professional academics and student affairs professionals. These programs present unique opportunities to foster engagement across difference and to encourage a critically reflective learning approach, a style that the Association of American Colleges and Universities (2002), the National Association of Student Personnel Administrators and the American College Personnel Association (2004) all advocate. While highlighting the challenges and opportunities of interdisciplinary programs, these authors, who graduated with bachelor’s degrees in interdisciplinary majors, will argue that these programs provide important opportunities for …

Law And Economics After Behavioral Economics, Grant M. Hayden, Stephen E. Ellis Jan 2007

Law And Economics After Behavioral Economics, Grant M. Hayden, Stephen E. Ellis

Hofstra Law Faculty Scholarship

This paper assesses the current state of law and economics, standard and behavioral, and proposes an additional element to the basic belief-desire apparatus of economic theory in order to create a more unified theory of behavior.

The first part of the paper assesses the current status of standard economic theory. While standard models have had their successes, a large and growing body of empirical evidence reveals that people often fail to live up its rational-actor ideal. In response, economists usually stick with standard consumer theory and attempt to explain the anomalous results by referring to some overlooked input (e.g., some …

Buy, Sell, Or Hold? Analyst Fraud From Economic And Natural Law Perspectives, Ronald J. Colombo Jan 2007

Buy, Sell, Or Hold? Analyst Fraud From Economic And Natural Law Perspectives, Ronald J. Colombo

Hofstra Law Faculty Scholarship

Investor protection and healthy capital markets are commonly acknowledged as the objectives historically driving U.S. federal securities legislation and policy. Less commonly appreciated, or perhaps intentionally neglected, is the critical role that virtue was understood to play in realizing these objectives by the architects and original enforcers of the securities laws. This understanding has largely been lost, in no small part, due to the success that law and economics has had in dominating securities law thinking. This Article posits that this original understanding can be rediscovered, and the role of virtue restored to its rightful place in securities regulation, via …

Neutralizing Cognitive Bias: An Invitation To Prosecutors, Alafair S. Burke Jan 2007

Neutralizing Cognitive Bias: An Invitation To Prosecutors, Alafair S. Burke

Hofstra Law Faculty Scholarship

With the number of criminal defendants exonerated by DNA evidence nearing the two hundred mark, and with multiple states flirting with death penalty moratoriums in part to avoid killing the innocent, we appear to stand at a milestone in our treatment of claims by criminal defendants that they have been wrongly convicted. Some have declared the dawn of a new movement to support claims of innocence. Others have gone so far to call the movement a revolution. Regardless of what we call this burgeoning movement-slash-revolution, it is increasingly attempting to fold in the prosecutors who have traditionally been depicted as …

The Recovery Experience For Persons With A Myocardial Infarction And Their Spouses/Partners, Vicki Lynnette Bingham Jan 2007

The Recovery Experience For Persons With A Myocardial Infarction And Their Spouses/Partners, Vicki Lynnette Bingham

All ETDs from UAB

Coronary heart disease, the leading cause of death in Americans today, affects both genders in numerous ethnic populations. This life-threatening event causes both physical and emotional distress for persons with a myocardial infarction (MI), as well as for their spouses or partners and thus possibly forces them on a spiritual journey. The purpose of this study was to increase the understanding of the ways in which spirituality is defined and experienced by both persons with an MI and their spouses/partners during the recovery process. The method utilized in this study was a qualitative approach using interpretative phenomenology from a Heideggerian …

Factors Associated With Sexual Debut And Depression Among Adolescents In Rural Jamaica, Olaniyi J. Ekundayo Jan 2007

Factors Associated With Sexual Debut And Depression Among Adolescents In Rural Jamaica, Olaniyi J. Ekundayo

All ETDs from UAB

Individual and family factors have been hypothesized to influence adolescent sexual behavior and depression, but the extent to which this is true for adolescents in Jamaica as a whole and for those in rural areas in particular, has not been well studied. The objective of this dissertation was to identify individual and family factors associated with sexual debut and depression among rural Jamaican adolescents. To elucidate these factors and to provide information to guide future interventions, we analyzed data on 748 adolescents attending public high schools in the rural parish of Hanover, Jamaica. Multivariate logistic regression was used to predict …

We sought to estimate the prevalence of sexual violence and sexually transmitted diseases (STDs), identify risk factors for sexual violence and STDs among women in Human Immunodeficiency Virus (HIV) discordant unions, and investigate the lived experiences of sexual violence among women in HIV discordant unions attending post-test club services at AIDS Information Centers (AICs) in Uganda. We carried out a prospective cohort study of women in HIV discordant and HIV negative concordant unions after disclosure of their HIV serostatus. We estimated prevalence of STDs in the two study cohorts and compared them for occurrence of risk factors for sexual violence …

Multiple Roles: Benefits Or Strain? An Examination Of The Effects Of Work And Mothering On Health Lifestyle Behaviors For Women Living With Hiv/Aids, Mercy W. Mwaria Jan 2007

Multiple Roles: Benefits Or Strain? An Examination Of The Effects Of Work And Mothering On Health Lifestyle Behaviors For Women Living With Hiv/Aids, Mercy W. Mwaria

All ETDs from UAB

Does occupying multiple roles cause strain or does it lead to health lifestyle practices for women living with HIV/AIDS? Previous research has established a relationship between multiple role occupation and physical and mental wellbeing for women. Health lifestyle modifications for persons living with HIV/AIDS benefit health by slowing down disease progression and enhancing the body’s tolerance to drug therapies. This study extends these findings to a specific population of women living with HIV/AIDS and examines health lifestyle outcomes for this population. Using data from the HIV Cost and Services Utilization Study (HCSUS), the study draws on a subsample of women …

Qospl: A Quality Of Service-Driven Software Product Line Engineering Framework For Design And Analysis Of Component-Based Distributed Real-Time And Embedded Systems, Shih-Hsi Liu Jan 2007

Qospl: A Quality Of Service-Driven Software Product Line Engineering Framework For Design And Analysis Of Component-Based Distributed Real-Time And Embedded Systems, Shih-Hsi Liu

All ETDs from UAB

Software complexity may be reduced and productivity may be increased by the synergy of Component-Based Software Engineering and Software Product Line En- gineering. The synergistic techniques decrease complexity by uplifting software ar- tifacts to a higher abstraction level, namely the component level, and de¯ning the interfaces, interactions, and contexts of such artifacts for composing software systems. Such synergistic techniques also facilitate productivity increase by promoting feature reusability, leveraging component replacement and o®ering selectivity among prod- uct variants. When applied to Distributed Real-time and Embedded (DRE) systems, however, these technologies must ful¯ll such systems' time-critical missions and nu- merous functional and …

Temperament, Sensation-Seeking, Sleep Patterns, And Alcohol Use During A Competitive Athletic Season: Predicting Injuries In College Athletes, Zachary H. Osborn Jan 2007

Temperament, Sensation-Seeking, Sleep Patterns, And Alcohol Use During A Competitive Athletic Season: Predicting Injuries In College Athletes, Zachary H. Osborn

All ETDs from UAB

Temperament, sensation-seeking, general personality variables, sleep patterns, and alcohol use have all been shown to be related to injuries in both community-based and athlete samples. However, these variables have not been studied in concert with one another to examine how they might interact to predict injuries. One-hundred and seventy-eight athletes (both football and soccer) completed pre-season alcohol use and sleep pattern questionnaires, as well as personality measures. The results indicated that playing football predicted more total injuries. No other personality, sleep, or alcohol use variables were predictive of injuries or injury related variables. Analyses also indicated that football players suffered …

A Phenomenological Study Of The Impact Of National Board For Professional Teaching Standards On Early Childhood Teachers, Lesley E. Sheek Jan 2007

A Phenomenological Study Of The Impact Of National Board For Professional Teaching Standards On Early Childhood Teachers, Lesley E. Sheek

All ETDs from UAB

The purpose of this study was to explore the professional experience of Nationally Board certified teachers as they planned for and taught students after attaining National Board certification. A qualitative, phenomenological methodology (Bogdan & Biklin, 1998; Meloy, 1994; Moustakas, 1994) was used in this study. For this study 10 early childhood generalist and middle childhood generalist Alabama Nationally Board certified teachers were interviewed. Using a three-interview process (Seidman, 1998), narrative information was gathered. Transcripts from each interview were analyzed and coded according to the emerging themes. Six major themes emerged from the interviews with the participants: teaching experiences, National Board …

A Grounded Theory Study: Hispanic Adolescents' Experience Of Being Overweight, Wilma Powell Stuart Jan 2007

A Grounded Theory Study: Hispanic Adolescents' Experience Of Being Overweight, Wilma Powell Stuart

All ETDs from UAB

The number of overweight adolescents worldwide has continued to increase over the past several decades. Intervention studies for weight management with overweight adolescents are challenged by high rates of attrition and have failed to achieve sustained outcomes. Hispanic adolescents have a higher risk of being overweight than their African American and White peers do. However, Hispanic overweight adolescents have been poorly represented in intervention studies with overweight adolescents. The factors that influence the Hispanic overweight adolescents’ perceptions of weight and weight loss management are not known. This qualitative study used ground theory methodology to identify the factors that influence perceptions …
