Market Reaction To The Expiration Of Ipo Lockup Provisions, James C. Brau, David A. Carter, Stephen E. Christophe, Kimberly G. Key

Initial public offering (IPO) lockup agreements prevent insider sale of shares for specified periods of time (often 180 days). This study investigates share price reactions at and around the time the lockup agreements expire. Results indicate statistically significant negative abnormal returns in the event window surrounding the expiration date. The results are consistent with informational asymmetries and decreasing incentive alignment between insiders and general shareholders. In addition, multivariate analysis identifies several variables that help explain these abnormal returns.

This piece is intended to show Japanese law students how their own everyday experiences raise significant domestic and international legal questions. It shows that a seemingly technical matter need not be boring, but can provide an example of practical application of law internationally and of the benefits that knowledge of foreign law can bring in assisting in understanding and improving domestic law. It discusses standard terms in licenses of information and software.

A searched for narrow-band-noise (NBN) modulations of the infrared transmission in blue bronze has been performed. No modulations were observed, giving an upper limits for NBN changes in the absorption coefficient of )2000/(/3.0.andlt;.cmNBN. The implication of these results on proposed CDW properties and NBN mechanisms are discussed. An infrared microscope with a capability of doing both reflectance and transmission measurements has been integrated into the previous electro-transmission system with tunable diode lasers. Electro-optic experiments were done using the microscope for the studies of the CDW states of K0.3MoO3 (blue bronze) and orthorhombic TaS3. The electro-reflectance signal for blue bronze has …

1. Much of the debate surrounding the consequences of biodiversity loss centres around the issue of whether different species are functionally similar in their effects on ecological processes. In this study, we examined whether populations consisting of smaller, more abundant individuals are functionally similar to populations of the same species with larger, fewer individuals.
2. We manipulated the biomass and density of banded sunfish (Enneacanthus obesus) and measured their impact on populations of Southern leopard frog (Rana sphenocephala) larvae. We also evaluated the ability of models relating metabolic rate to body size to predict the relative …

Adult hispid cotton rats (Sigmodon hispidus) were collected from the field monthly for >2 years from populations near the northern edge of their range in Virginia and contemporaneously from south-central Georgia. Body measurements and weights were taken at capture, and after dissection embryos, corpora lutea, and placental scars were counted and measured; testes and seminal vesicles were dissected out, measured, and weighed. This allowed comparison of several life-history parameters between the populations and tests of several life-history hypotheses. The distribution of the Altamira oriole (Icterus gularis) in the United States is restricted to the Lower Rio Grande Valley of southernmost Texas. Our objective was to assess the current breeding status of this species at and near Santa Ana National Wildlife Refuge (SANWR), a principal nesting area in the region. During each breeding season from 1997 to 1999, we attempted to find and monitor all Altamira oriole nests in and within 0.5 km of SANWR to determine annual breeding-pair abundance, annual nest-site distribution, and nest distribution among tree species. English: Research was conducted to evaluate the spectral properties, illumination intensities and lighting patterns of four basic categories of bulbs and lamps which could conceivably serve as sole lighting sources for the acquisition of color infrared (CIR) imagery under glasshouse conditions. Bulbs and lamps in two major categories (fluorescent tubes and sodium- and mercury-vapor glasshouse lamps) were deemed unsuitable for this purpose either because they emitted little or no nearinfrared (NIR) radiation or because they imparted an overall bluish cast that seriously degraded the quality of CIR imagery. A High Precision Radial Velocity Survey Of K Giants, David S. Mitchell

Physics

Precise radial velocity measurements of stars can provide a powerful tool for both examining the intrinsic atmospheric activity of the star, and testing for the existence of substellar orbital companions. This method has been used to detect the vast majority of known extrasolar planets, as well as probing the asteroseismological characteristics of active stars. This dissertation presents the results of a precise radial velocity survey of 177 bright K giant stars. Six of the stars have data that indicate the presence of planetary or brown dwarf orbital companions. Many others have evidence of nonradial pulsations, and twenty binary stars are …

Motivated by the increasing prevalence of operational hedging in corporate-level risk management programs, this paper provides an extensive overview and synthesis of the existing literature on operational hedging. In particular, we focus on the treatment of operational hedging in the operations management literature. We then explore how the concept of operational hedging is studied in the fields of finance, strategy and international business. Finally, we discuss and critique the approaches adopted in the operations management literature in the context of the broader literature on the topic.

This article examines a piece of corporate theatre. Although theatre has entered organization studies through the dramatistic writing of Kenneth Burke and the dramaturgical writings of Erving Goffman, this article is concerned with an approach variously described as organizational, radical, situation or corporate theatre that treats theatre not primarily as a resource, an ontology or a metaphor but as a technology. This approach involves the deployment by an organization of dramatists, actors, directors, set designers, lighting specialists, and musicians to put on performances in front of audiences. Although corporate criminal liability has been recognized in the United States for nearly a century, contemporary academic commentators have questioned its legitimacy and argued that it is inferior to its alternatives: civil liability for the corporation and/or criminal liability for individual corporate agents. Other academic critics have attacked the present definitions of corporate criminal liability. In other words, although corporate criminal liability has also had its academic champions, it has been under attack in the United States. The situation in Europe poses a sharp contrast.

Innovation In Boilerplate Contracts: An Empirical Examination Of Soverign Bonds, Mitu Gulati, Stephen J. Choi

Network externalities may lead contracting parties to stay wiht a "standardized" term despite preferences for another term. Using a dataset of sovereign bond offerings from 1995 to early 2004, we test the importance of standardization for the modification provisions relating to payment terms. We provide evidence that (1) standardization may lead parties to adopt provisions not necessarily out of preference and (2) standards, nonetheless, may change. The process of change, however, is not necessarily quick or straightforward. In the sovereign bond context, change came by way of an "interpretive shock." With last fall marking the fiftieth anniversary of Earl Warren's appointment as Chief Justice, enough time has passed to place the criminal procedure revolution in proper historical perspective and rethink the Court's role there as countermajoritarian hero. In the discussion that follows, I aim to do that by examining five of the revolution's most celebrated decisions: Mapp v. Ohio, Gideon v. Wainwright, Miranda v. Arizona, Katz v. United States, and Terry v. Ohio. In none of these cases, I argue, did the Supreme Court act in a manner truly deserving of its countermajoritarian image. To be clear, I do not …

St. Mary's Honor Center v. Hicks eliminated the effect of the pretext test and the distinction between standard and pretext cases. Desert Palace interpreted the motivating-factor test in a way that eliminates the distinction between mixed-motives and non-mixed-motives cases. The point is not that the Court has decided the cases incorrectly or with an inappropriate bias. Rather, it is that eliminating the distinctions between the different types of cases suggests that all disparate treatment cases should be treated the same.
