Securities Supervision And Judicial Review [In China], Zhongle Zhan, Fengying Li, Inseon Paik Apr 2004

Securities Supervision And Judicial Review [In China], Zhongle Zhan, Fengying Li, Inseon Paik

Washington International Law Journal

Since its founding in 1992, the China Securities Regulatory Commission ("CSRC") has, by the design of the central government of China, become the primary regulator of the Chinese securities market. The CSRC has, however, made some controversial decisions in enforcing its securities regulations. In particular, this article addresses the legal implications of the CSRC's failure to comply with controlling securities regulations in rejecting the Hainan Kaili Central Construction Company's listing application and the ramifications of such selective regulatory enforcement. The article provides an analysis of the current relationship between Chinese administrative and securities law.

Specialization, Firms, And Markets: The Division Of Labor Within And Between Law Firms, Thomas N. Hubbard, Luis Garicano

Coase-Sandor Institute for Law & Economics Research Paper Series

What is the role of firms and markets in mediating the division of labor? This paper uses confidential microdata from the Census of Services to examine law firms' boundaries. We find that firms' field scope narrows as market size increases and individuals specialize, indicating that firms' boundaries reflect organizational trade-offs. Moreover, we find that whether the division of labor is mediated by firms differs systematically according to whether lawyers in a particular field are mainly involved in structuring transactions or in dispute resolution. We then analyze which types of specialists tend to work in the same firm and which tend …

A Look At The Inefficiencies Of The U.S. Tort System And Reforms To Correct Them, Ryan Koopmans Apr 2004

A Look At The Inefficiencies Of The U.S. Tort System And Reforms To Correct Them, Ryan Koopmans

Major Themes in Economics

The two goals of tort law are to compensate victims and to deter unsafe behavior. This paper judges whether changes are needed in the current system by looking at how well it meets these goals. The current system is inefficient and ineffective. Three reforms are analyzed and suggested: contingency-fee reform, the elimination of punitive damages for corporations and large business, and the creation of a no-fault system of compensation for the worst areas of tort law. By enacting these reforms billions of dollars could be saved, while leaving the goals of tort law intact.

Hierarchies, Specialization, And The Utilization Of Knowledge: Theory And Evidence From The Legal Services Industry, Thomas N. Hubbard, Luis Garicano Apr 2004

Hierarchies, Specialization, And The Utilization Of Knowledge: Theory And Evidence From The Legal Services Industry, Thomas N. Hubbard, Luis Garicano

Coase-Sandor Institute for Law & Economics Research Paper Series

What role do hierarchies play with respect to the organization of production and what determines their structure? We develop an equilibrium model of hierarchical organization, then provide empirical evidence using confidential data on thousands of law offices from the 1992 Census of Services. The driving force in the model is increasing returns in the utilization of acquired knowledge. We show how the equilibrium assignment of individuals to hierarchical positions varies with the degree to which their human capital is field-specialized, then show how this equilibrium changes with the extent of the market. We find empirical evidence consistent with a central …

Re-Examining Public Policy: A Case For Conditional Fees In Singapore?, Gary Chan Apr 2004

Re-Examining Public Policy: A Case For Conditional Fees In Singapore?, Gary Chan

Research Collection Yong Pung How School Of Law

Conditional fee agreements are currently prohibited in Singapore. The Singapore courts still adhere to the public policy considerations expressed in the English common law which proscribe maintenance and champerty. However, the United Kingdom as well as Ontario (Canada) and Australia have recently ‘departed’ from the old system prohibiting conditional fee agreements. It is thus timely for Singapore to re-examine the public policy arguments against conditional fee agreements and inquire whether a conditional fee based system ought to be introduced. Apart from the above jurisdictions, lessons will also be drawn from the problems and issues faced by the US and the …

Courts As Forums For Protest, Jules Lobel Mar 2004

Courts As Forums For Protest, Jules Lobel

ExpressO

For almost half a century, scholars, judges and politicians have debated two competing models of the judiciary’s role in a democratic society. The mainstream model views courts as arbiters of disputes between private individuals asserting particular rights. The public law or structural reform litigation emphasized the judiciary’s role in implementing social change and not simply ordering private relationships.

The ongoing debate between these two views of the judicial role has obscured a third model of the role of courts in a democratic society; a model that has been ignored by legal scholars and viewed as illegitimate by some courts. That …

Are You Experienced?: Examining The Need For Specialized Ethics Rules In Patent Litigation, Benjamin J. Sodey

ExpressO

Any attorney licensed to practice before a federal district court, regardless or his or her area of specialization, may file a patent infringement suit on behalf of a client in that court. The possibility exists, therefore, for an attorney having little or no intellectual property experience to represent clients in complex patent litigation matters. Due to this, infringement defendants and their counsel may find themselves on the receiving end of a dubious patent claim brought by attorneys lacking patent law experience. This article discusses whether the existing rules governing attorney conduct, such as professional responsibility, procedural, or statutory rules, are …

Going To War With Defense Contractors: A Case Study Analysis Of Battlefield Acquisition, Ryan M. Novak Mar 2004

Going To War With Defense Contractors: A Case Study Analysis Of Battlefield Acquisition, Ryan M. Novak

Theses and Dissertations

The escalating use of contractors on the battlefield in highly critical operational areas is a trend that is increasing across the DoD. Contractors have a vital role supporting CONUS missions, but they are also on the battlefield in defense of our nation, supporting the warfighter and their weapon systems. As the use of contractors on the battlefield continues to gain favor within the DoD, and as contractor s roles continue to expand and become more critical, it is imperative to improve the current way that the DoD, and specifically Air Force acquisition professionals, procure such services. This research analyzes inputs …

Making A List And Checking It Twice: Must Tax Attorneys Divulge Who's Naughty And Nice?, Richard Lavoie Mar 2004

Making A List And Checking It Twice: Must Tax Attorneys Divulge Who's Naughty And Nice?, Richard Lavoie

ExpressO

This article analyzes the ability of tax attorneys to shield a client’s identity from disclosure to the Internal Revenue Service under the attorney-client privilege. The article concludes that, on policy grounds, the attorney-client privilege should be limited in the context of tax planning. Consequently, client identity should not be privileged irrespective of whether a tax shelter is involved. The article also concludes that the privilege would not be available under the current judicial approach to client identity questions. As a result, recent regulations requiring tax attorneys to maintain lists of clients engaging in specified tax motivated transactions represent an appropriate …
