The Unfounded Fear Of Regulation S: Empirical Evidence On Offshore Securities Offerings , Stephen J. Choi
The Unfounded Fear Of Regulation S: Empirical Evidence On Offshore Securities Offerings , Stephen J. Choi
Duke Law Journal
Regulation S provides U. S. issuers with an exemption from the registration requirements of the Securities Act of 1933 to the extent that securities are offered and sold solely outside the United States. Through resales back into the United States, however, U. S. investors may become exposed to unregistered securities initially distributed abroad through Regulation S. This Article identifies two distinct risks from an offshore securities offering. First, issuers may conduct an offering under Regulation S as a means to sell securities indirectly into the United States through resales in situations where the U. S. secondary market overvalues the issuer's …

Teaching First-Year Civil Procedure And Other Introductory Courses By The Problem Method, Stephen J. Shapiro
Teaching First-Year Civil Procedure And Other Introductory Courses By The Problem Method, Stephen J. Shapiro
All Faculty Scholarship
I have been teaching the first-year course in Civil Procedure for twenty years, first for five years at Ohio Northern University, and for the last fifteen years at the University of Baltimore, where I also teach a required second-year course in Evidence. When I first started teaching Civil Procedure, I used a fairly typical case method. I was never very happy with this approach for teaching a course in which one of my major goals was getting the students to learn to read, interpret and apply the Federal Rules of Civil Procedure (“Federal Rules”). Gradually, I began to develop sets …
Modeling High-Frequency Seafloor Backscattering Of Gassy Sediments: The Eel River Margin Case, Luciano E. Fonseca, Larry A. Mayer
Modeling High-Frequency Seafloor Backscattering Of Gassy Sediments: The Eel River Margin Case, Luciano E. Fonseca, Larry A. Mayer
Center for Coastal and Ocean Mapping
Models of acoustic backscatter typically take into account two different processes: interface scattering and volume scattering. What happens to these two contributions when the sediment is charged with gas bubbles? For the interface backscatter contribution we adopted the model developed by Jackson et al. (1986), but added modifications to accommodate gas bubbles, which when present, even in very small quantities, can dominate the acoustic characteristics of the sediment. The model parameters that are affected by gas content are the density ratio, the sound speed ratio and the loss parameter. To a first approximation, the model roughness parameters are not influenced …

The Write Way: Past "Aall Call For Papers" Winners Advise The Hesitant Writer, Adeen Postar
All Faculty Scholarship
Each year, the American Association of Law Libraries sponsors a writing competition, funded by LEXIS Publishing. Officially known as the “Call for Papers,” the competition sparks scholarship, fosters creativity, and recognizes some of the finest writing produced by the members of our profession. Winning papers are presented at the Annual Meeting and often are published in Law Library Journal. Over time, the scholarship has added to and shaped the Association’s collective wisdom.
To get a handle on how to write a winning paper, this year’s judges queried four past winners: Deanna Barmakian, Jonathan Franklin, Michael A. Slinger, and Beatrice Tice. …

Coalition Formation: Governmental Practices To Resolve Social Issues, Delshanna Jones
Coalition Formation: Governmental Practices To Resolve Social Issues, Delshanna Jones
UNLV Theses, Dissertations, Professional Papers, and Capstones
Small groups have formed to resolve social issues since the beginning of time. It is the village concept where activists meet in the center of town to discuss a concern and together work toward a solution to a problem. This is represented in the town of Plato’s Republic and how they handled its dilemma with Socrates disrespect and disruptions to their way of ruling/ their culture. People met at a central location, discussed the issue, agreed on a solution and, together, enforced the resolution. Thus, first governments used groups to find solutions to community problems (Bell and Smith, p.1). Citizens …

Health Care Utilization During Terminal Child Illness In Squatter Settlements Of Karachi, I J. Hasan, A Khanum
Community Health Sciences
Objective: Information on health seeking behavior and health care utilization has important policy implications in health systems development. The paper presents some of the issues related to health care utilization and health seeking behavior in case of terminal child illness in seven squatter settlements of Karachi. Methods: From seven squatter settlements of Karachi, with a population of 100,000 approximately, we collected information, using pretested structured questionnaire, from the mothers on health care utilization during the final illness of under five children dying during 1995-1996. These deaths were identified from an earlier baseline health and demographic survey in these areas. Results: Interviews were …

"Like Liberty And Union": Stanton And Anthony As Friends, Ann D. Gordon
Documentary Editing: Journal of the Association for Documentary Editing (1979–2011)
While deciding upon an appropriate topic for this address, I realized that like athletes who head to Disneyland, I, after this big game, wanted most of all to take the next train back to the nineteenth century. So, to celebrate the end of my presidential term, I will start that return journey, speaking about the friendship between Elizabeth Cady Stanton and Susan B. Anthony, or more precisely, about the intersection of this friendship with documentary scholarship.

Improving The Simulation Of A Waterflooding Recovery Process Using Artificial Neural Networks, Edison Gil
Improving The Simulation Of A Waterflooding Recovery Process Using Artificial Neural Networks, Edison Gil
Graduate Theses, Dissertations, and Problem Reports (ETD)
The waterflood performance of the dual five-spot pilot project in the Stringtown oil field, situated in West Virginia, has been studied. A numerical simulator, called BOAST98, was used for the simulation purposes, after developing a reservoir description.;The producing horizon in the field is the Upper Devonian Gordon sandstone, which is characterized by severe heterogeneity due to the depositional environment. Using available core and log data and geological analysis, a reservoir characterization study was done. A preliminary reservoir description based on log porosity-core permeability correlation was improved by developing Artificial Neural Networks (A.N.N.), which incorporates geophysical well log information. These A.N.N.'s …

Improving Commercial Vehicle Crash Data Quality In West Virginia, Kris Sean Gillespie
Graduate Theses, Dissertations, and Problem Reports (ETD)
The purpose of this study was to identify methods to improve commercial carrier crash data in West Virginia including coal trucks. All organizations and agencies involved with commercial carrier safety need ready access to basic data describing the crash-involved operator, vehicle, and environment. Such data are necessary to any programmatic or engineering countermeasures. The basic approach used to accomplish the research objectives involved a series of regional meetings where law enforcement personnel expressed their opinions about ways to improve commercial vehicle crash data quality. These results were then weighted and prioritized. The top five solutions generated at these meetings were: …
Finite Element Modeling Of Dowel -Jointed Plain Concrete Pavement Response To Thermal And Moving Traffic Loads, Michel Ramsis Fahmy
Finite Element Modeling Of Dowel -Jointed Plain Concrete Pavement Response To Thermal And Moving Traffic Loads, Michel Ramsis Fahmy
Graduate Theses, Dissertations, and Problem Reports (ETD)
The objective of this study was to develop Three Dimensional Finite Element Models (3D-FEM) that can be used to investigate the separate or combined effect of moving axle loads and thermal gradient on the response of dowel Jointed Portland Cement Concrete Pavement (JPCCP) structures. The availability of a mechanistic tool that can be used for an accurate prediction of rigid pavement response to such loads would enable designing longer lasting pavements and understanding some of its modes of distress. In this respect, finite element modeling offers a powerful tool for the simulation of the structural behavior of pavements under the …

Luciano Berio's Music Theatre: Az/One Musicale, Claudine Canzonire Simonson
LSU Historical Dissertations and Theses
Luciano Berio refers to his large-scale works for music theatre not as operas, but as azioni musicali, or musical actions. Berio was able to develop the idea that a large-scale work for music theatre should follow an episodic narrative and allow the music to direct the action of the dramaturgy because of the following influences: his collaborations with Cathy Berberian, Edoardo Sanguineti, Umberto Eco, and Italo Calvino; Brecht's epic theatre; Wagner's music drama; and electronic music. Berio was able to successfully realize his musical action concept with Un re in ascolto, or The King Listens (1984), his first …

Vaccinia Virus-Mediated Glioma Gene Therapy Using P53, Il-2 And Il-12, Bing Chen
Loma Linda University Electronic Theses, Dissertations & Projects
Malignant brain tumors are generally lethal soon after their diagnosis, and the five-year survival rate for the patient is low in spite of neurosurgery, radiation therapy, and/or chemotherapy. Gene therapy has the potential to improve patient survival and quality of life by delivering specific combinations of therapeutic genes directly to the tumor for localized treatment.
We have based our cancer gene therapy for glioma on a highly attenuated variant of the Lister strain of vaccinia virus (VV) which has been proven to be a safe and effective vaccine vector. Other advantages include a wide host range, a strong promoter system, …
Chronic Hypoxia, Exercise Training, And Skeletal Muscle Capillarity: Angiogenic Regulation And Morphological Consequences, Ivan Mark Olfert
Chronic Hypoxia, Exercise Training, And Skeletal Muscle Capillarity: Angiogenic Regulation And Morphological Consequences, Ivan Mark Olfert
Loma Linda University Electronic Theses, Dissertations & Projects
Angiogenesis is important in health and disease. In particular, exercise training is known to increase skeletal muscle capillarity, providing there is sufficient training intensity. The stimulus for this may be intracellular hypoxia activating angiogenic growth factor gene expression. Acute hypoxia alone has been shown to increase the gene expression of several key angiogenic regulators, e.g. vascular endothelial growth factor (VEGF) and to a lesser degree transforming growth factor-β1 (TGF-β1), basic fibroblast growth factor (bFGF), and thrombospondin-1 (TSP-1), an endogenous negative angiogenic regulator. Paradoxically, however, chronic hypoxia is generally not found to increase mammalian skeletal muscle capillarity. Accordingly, we hypothesized that …
