Martinez V. Socoma Companies: Problems In Determining Contract Beneficiaries' Rights, Kay S. Bruce

UC Law Journal

For centuries courts have faced theoretical, doctrinal, and practical difficulties in determining whether a third person may enforce a contract made by others for his benefit. Attempts by courts and scholars to formulate tests for determining third party rights have in most instances created as many problems as they have solved. The decision of the California Supreme Court in Martinez v. Socoma Companies not only exemplifies the myriad problems encountered by courts in determining third party beneficiary rights but also pointedly demonstrates the need for more workable decisionmaking criteria in this area of contract law.

The Supreme Court of Canada’s decision in Canadian Aero Services v. O’Malley provided a vital signal to the judiciary on the regulation of corporate fiduciaries, and opened the gates to shareholder litigation. After introducing the doctrine of corporate opportunity, the expansion of this doctrine in the Delaware courts and its obscure definition in Canadian courts, this article discusses the implications of the O’Malley decision. It argues that the lack of definition in Canada is positive because it allows ample room to test the standard of fiduciary duty in each case, and the author foresees the judgment playing the same pivotal …

This report is conceived with the need (or lack thereof) for more uniform admission requirements and disciplinary processes in the federal courts. Basically, it surveys the background and literature and considers the issues and proposals relating to bar admissions and discipline in the federal courts. It also contains a Study Draft of Rules Governing Admissions and Discipline in Federal District Courts (Appendix A). The Study Draft proposals are designed to assure that there are rules explicitly governing the material issues considered in the report. This publication describes over 100 activity-oriented programs in which students learn through a combination of direct experience and associated instruction or reflection. Students are involved in cross-age tutoring, community services, on-the-job work experiences, foreign or domestic travel with an organized group, political campaigns, field trips, art show-productions, movie making, and still photography. Information was gathered in the spring of 1975 when the Student Community Involvement Project of the University of Minnesota and the Minnesota Association of Secondary School Principals sent out a questionnaire to all secondary schools in the state to determine how many of them had adopted action learning. …

The Process Of Vision: Lambert Strether And Henry James, Judy Karasik

The moral development of Strether in The Ambassadors is, as James says in the Preface, "a process of vision." From beginning to end, it is not what happens in the novel but how Strether sees it that provides James with a vehicle for the "development of extremes" which show the pitfalls of the moral and the aesthetic senses. Strether's "process of vision" restricts the point of view in the novel to his consciousness, and his return to America at the close of the book resolves the series of perceptions. James, while denying the possibility of moral action between people, creates …
