A Reconsideration Of The Stock Market Exception To The Dissenting Shareholder's Right Of Appraisal, Robert H. Jerry Ii

Legislation has attempted to balance fairly the interests of the dissenting shareholder against the corporation's need to reorganize in response to changing economic conditions. The bull market that lasted through 1972 persuaded many drafters of corporate statutes that a dissenting shareholder's interests were adequately protected if he could sell his shares on the market. Accordingly, they promulgated the stock market exception to limit the situations in which the appraisal remedy might inhibit needed corporate flexibility. Low stock prices during 1973 and 19741 have generated a need to reassess this balancing of interests and to reconsider the desirability of the stock …

Formulas are derived for the van der Waals Cn coefficients for the interaction of a diatomic molecule in a II electronic state with an S-state atom. Two triatomic states arise from the degenerate IIstate. The average of the two energies has the usual Legendre polynomial (PL) angular dependence, but the difference in energies of the two states is shown to have associated Legendre polynomial (PML with M=2) angular dependence. Procedures for including spin orbit coupling are included, and the extension to interactions of Delta- and Phi-state molecules is discussed. Pade approximant methods and experimental frequency dependent polarizabilities are used to calculate reliable van der Waals C6 coefficients for the interaction of CO with He, Ne, Ar, Kr, Xe, H, Li, Na, K, Rb, Cs, H2, N2, O2, CO2, and CO. Error bounds are given for the C6 coefficients and for the CO oscillator strength sums.

OVER THE NEXT FORTY YEARS, THE U.S. WILL EXPERIENCE PROBLEMS BECAUSE OF DWINDLING SUPPLIES OF FOSSIL FUELS AND AN INCREASING DEPENDENCE ON FOREIGN OIL. SEVERAL ALTERNATIVES ARE AVAILABLE, SUCH AS MORE STRINGENT CONSERVATION MEASURES OR ALTERNATIVE SOURCES OF ENERGY. HOWEVER, NO SINGLE ALTERNATIVE WILL BE SUFFICIENT. A STUDY WAS CONDUCTED TO DETERMINE THE MOST EFFICIENT ALLOCATION POSSIBLE OF RESOURCES. Effects Of Six Insecticides On Emergence Of Some Parasites And Predators From Southern Pine Beetle Infested Trees, Jack E. Coster, I. R. Ragenovich

Six insecticides (lindane, phosmet, diazinon, acephate, propoxur, and carbaryl) were tested to determine effects on predators and parasites associated with southern pine beetle, Dendroctonus frontalis Zimmerman, in eastern Texas. Eleven species of parasites and predators emerged from insecticide-treated pine bolts. The most prevalent species was Coeloides pissodis followed by Medetera lJistriata, Roptrocerus xylophagorum, Corticeus glaber, and Thanasimus dulJius. In terms of emergence from treated pines, only diazinon significantly reduced the total number of associated insects. They were 65% fewer in number following diazinon treatment. East Texas Ips species contained 4 specific internal nematodes; I. avulsus (Eichhoff) were infected with Parasitylenchus avulsi Massey, I. grandicollis (Eichhoff) with Contortylenchus grandicolli (Massey) Rlihm, and I. calligraphus (Germar) with Contortylenchus elongatus (Massey) Nickle and Parasitaphelenchus sp. In all 3 bark beetles, infection peaked in July and August when 50-58% of adults from naturally attacked pine trees contained nematodes. Infection levels declined to 20-30% during January and February. Infected I. grandicollis and I. avulsus adults appeared lighter in color than noninfected adults. Nematode infection apparently delayed emergence of both sexes of I. grandicollis and females of I. avulsus. In …

The purpose of this Article is to analyze, compare, and contrast New York’s law of intestacy with that of the Uniform Probate Code (Code). The Article may serve as a basis for estimating the impact on existing concepts of descent and distribution should New York adopt the Code. It addresses itself to the law of intestate succession, delves into present New York law on the subject, examines corresponding sections of the Code, analyzes the differences, and arrives at an evaluation of the benefits and detriments that adoption of the Code would bring. This article, however, goes beyond the argument that education is one of the most valuable benefits which government in this country provides. The thesis of the article is that education is not only very important to millions of Americans, but that students have constitutionally protected liberty and property interests in their public educations and the courts should therefore require notice and hearing prior to the deprivation of these interests, even when the deprivation is for strictly academic reasons.

Daily Spermatozoal Production, Epididymal Spermatozoal Reserves And Transit Time Of Spermatozoa Through The Epididymis Of The Rhesus Monkey, R. P. Amann, L. Johnson, D. L. Thompson, B. W. Pickett

One testis and epididymis from each of 8 sexually rested, rhesus monkeys >6 yr old was removed during fall (the natural breeding season) to establish the productivity of the testis and the spermatozoal storage capacity of the epididymis. The efficiency of spermatozoal production was quite uniform and averaged 23 ± 1 X 106 sperm per gram of testicular parenchyma per day, although testicular parenchymal weight ranged from 15 to 32 g. Daily spermatozoal production averaged 547 ± 69 X 106 sperm per testis. Thus, the typical rhesus monkey produces about 1.1 X 109 sperm daily during the breeding season. The …

Naturally Occurring Sendai Virus Infection Of Athymic Nude Mice, J. M. Ward, D. P. Houchens, M. J. Collins, D. M. Young, R. L. Reagan

Nude (nu/nu) mice, Balb/c derived, responded to a naturally occurring Sendai virus infection in a different manner than conventional mice. They developed a chronic debilitating disease and a persistent viral infection of the respiratory tract with intranuclear inclusion bodies in tracheal, bronchial and bronchiolar epithelial cells, laryngeal and tracheal glandular epithelium and in type I and II alveolar cells. The infection was identified by serologic and tissue culture studies, the mouse antibody production test and ultrastructural examination of pulmonary lesions. Phlebitis of pulmonary veins, suppurative rhinitis and otitis media accompanied the viral infection while some mice developed a secondary bronchopneumonia.

Some parallel results of Gross' paper (Potential theory on Hilbert space, J. Functional Analysis 1 (1967), 123-181) are obtained for Uhlenbeck-Ornstein process U(t) in an abstract Wiener space (H, B, i). Generalized number operator N is defined by Nf(x) = -lim∈←0{E[f(U(τ∈ξ))] - f(x)}/E[τ∈ξ, where τxε{lunate} is the first exit time of U(t) starting at x from the ball of radius ε{lunate} with center x.
