New digital platform companies are turning everything into an available resource: services, products, spaces, connections, and knowledge, all of which would otherwise be collecting dust. Unsurprisingly then, the platform economy defies conventional regulatory theory. Millions of people are becoming part-time entrepreneurs, disrupting established business models and entrenched market interests, challenging regulated industries, and turning ideas about consumption, work, risk, and ownership on their head. Paradoxically, as the digital platform economy becomes more established, we are also at an all-time high in regulatory permitting, licensing, and protection. The battle over law in the platform is therefore both conceptual and highly practical. …

Throughout history people have joined together to improve their individual lives. In the modern era, organizations often work cooperatively to enhance their efficiency and effectiveness. Collaborating organizations in the nonprofit sector are increasingly expected to produce system-level change as well. This collective impact approach is under-theorized and therefore not consistently actionable. A central puzzle is how formal nonprofit collaborations acquire resource inputs and transform them into outputs, outcomes, and impact while producing financial returns to sustain the backbone organization. Resource dependence theory is sometimes proposed as an explanatory framework, yet it does not explain the generation of a double bottom …

Delaware’S Familiarity, Brian J. Broughman, Darian M. Ibrahim
San Diego Law Review
This Article builds on our prior empirical research showing that, everything else equal, start-up firms financed by out-of-state investors are more likely to incorporate in Delaware. We argue that this finding is due to out-of-state investors’ familiarity with Delaware corporate law, and relative lack of familiarity with the corporate law of the start-up’s home state. In the current project, we extend our prior research by (i) developing an informal model distinguishing investor familiarity from related economic theories of network effects and learning effects, (ii) showing that our data are more consistent with familiarity than with these alternative explanations, and (iii) …

Deliberate Destitution As Deterrent: Withholding The Right To Work And Undermining Asylum Protection, Lori A. Nessel
San Diego Law Review
This Article critiques the United States’ bar on employment for asylum seekers on a number of fronts. Beginning with a historical perspective, I explore the more humane regime that existed in the United States until 1995. Under this prior system, asylum seekers with bona fide claims were permitted to work while their claims proceeded. This Article examine the underlying fears and policy goals that led Congress to dramatically curtail protection and the right to work for asylum seekers. By situating the prohibition on work for asylum seekers within the larger context of overall punitive immigration reforms and the increasing criminalization …

The Constitutional Jurisprudence Of Justice Kennedy On Speech, Charles D. Kelso, R. Randal Kelso

Justice Kennedy's basic principles in free speech cases are supporting political freedom, supporting individual autonomy, and protecting freedom to teach, learn, and innovate. Given these principles, his opinions in free speech cases protect free speech from government regulation unless the government can provide strong reasons for any restrictive action and show that the means it has chosen to carry out its purposes are closely tailored to its goals. At a minimum, judicial review is by strict scrutiny for content-based regulations and intermediate review for content-neutral time, place, and manner regulations. In some cases, Justice Kennedy has indicated a preference for …

A "Lawyer For All Seasons": The Lawyer As Conflict Manager, Michael T. Colatrella Jr.

This interdisciplinary Article explores why interpersonal conflict management principles and skills are essential to good lawyering and, thus, why law schools should teach these principles and skills to all their students. In demonstrating the immense practical value an understanding of interpersonal conflict management principles and skills have in the practice of law, this Article examines case studies involving organizations that have dramatically reduced legal costs, among other benefits, by abandoning a solely legalistic approach to conflict and embracing conflict management principles. The lessons learned from these studies and the interpersonal conflict management principles that underlie them support the idea that …

Community Engagement and Collaboration
Casa Cornelia and scores of other public and private agencies rely on interpreters and translators for communicating with immigrants and their communities. Volunteer support overcomes language barriers and ensures that all clients have access to support services in a culturally and linguistically appropriate manner. Unfortunately, there is often a lack of qualified volunteer interpreters and translators available, most acutely for its Somali clients, which comprise the largest percentage of its Asylum Program’s caseload.
This paper considers possible solutions to the insufficient number of volunteers that are currently available to Casa Cornelia.
