A Functional Role Approach To Analyzing Director Standards Of Conduct Under Federal Securities Law, Norman George May 1976

A Functional Role Approach To Analyzing Director Standards Of Conduct Under Federal Securities Law, Norman George

University of Dayton Law Review

Recently, Roger Blough, former Chairman of the Board of the United States Steel Corporation and now a practicing attorney with a large New York law firm, listed ten guiding principles for vitalizing the role of the corporate director.1 The profile of what he termed the "working director" included admonitions to avoid conflicting interests and to keep fully informed of corporate affairs.2 Many corporate counsel have also compiled guidelines for their firms' directors, usually expressed pointedly in terms of "do's" and "don'ts" specifically aimed at avoiding personal liability in the performance of their duties as directors. The impetus for these guidelines, …

Labor Law: The Duty Of An Employer To Negotiate In Good Faith, Barbara Pugliese Gorman May 1976

Labor Law: The Duty Of An Employer To Negotiate In Good Faith, Barbara Pugliese Gorman

University of Dayton Law Review

An obligation to bargain collectively is imposed on both employer and employee representatives by the National Labor Relations Act (NLRA), I §8(a)(5)1 and §8(b)(3), 3 respectively. These provisions make it an unfair labor practice for either party to refuse to participate in collective bargaining. Compliance with this duty to bargain cannot be achieved by simply conferring about the terms and conditions of employment.

Rather, the NLRA imposes a further obligation on the parties, for §8(d) defines collective bargaining as: “the performance of the mutual obligation of the employer and the representative of the employees to meet at reasonable times and …

Wetzel v. Liberty Mutual, 511 F.2d 199 (3d Cir.), cert. granted 95 S.Ct. 1989 (1975).*

Illness and disability are two of the major problems facing the over 86,000,000 men and women, sixteen years of age and older, who comprise today's total labor force in the United States. Due to the extreme probability that one of these misfortunes will strike at some point in their working careers, workers, in considering job positions with different organizations, are demanding some type of security to insulate them from the financial consequences of long-term illnesses and on-the-job injuries. In an effort to meet these demands, …

*Note: Due to an editorial error, the town's name is misspelled in the title and throughout this article. It should be "Mount Laurel."

South Burlington N.A.A.C.P. v. Mount Laural Township, 67 N.J. 151, 336 A.2d 713 (1975).

Mount Laural Township, New Jersey, is a relatively small suburban community located near the metropolitan area of Camden, New Jersey and just ten miles from Philadelphia. Despite this close proximity to these densely populated urban centers, Mount Laural has managed to avoid the crushing urban rush to this now mainly residential community. The somewhat sobering decision of South Burlington N.A.A.C.P. v. Township of …

Child Abuse: Exception To The Anti-Marital Facts Privilege, Dalma C. Grandjean

University of Dayton Law Review

United States v. Allery, 526 F.2d 1362 (8th Cir. 1975).

The United States Court of Appeals for the Eighth Circuit in a case of first impression among the federal courts, considered whether the federally recognized anti-marital facts privilege which bars the adverse testimony of one spouse against the other should be applied where the defendant is charged with a crime against the child of either spouse. By its holding in United States v. Allery, the court broadened the established exception to the anti-marital facts privilege, which federal courts had previously limited to offenses committed against the person or property of …

University of Dayton Law Review

Hollander v. Sears, Roebuck & Co., 392 F. Supp. 90 (D. Conn. 1975).

As the federal judiciary continues to play a major role in the development of race relations in the United States, an intriguing question that has emerged in recent decisions has been that of reverse discrimination and the application of 42 U.S.C. § 1981 to white plaintiffs. The concept of reverse discrimination may be defined as a preference for minorities over qualified whites in order to achieve racial balance and equal opportunities in employment' and education.' The validity of preferential policies has been called into question in instances …

Where The Law Ends: The Social Control Of Corporate Behavior (By Christopher D. Stone), Dale A. Normington May 1976

Where The Law Ends: The Social Control Of Corporate Behavior (By Christopher D. Stone), Dale A. Normington

University of Dayton Law Review

There has been a growing concern recently that many of society's ills are a result of a lack of social responsibility on the part of America's business corporations. The corporation is portrayed as acting without regard for the public welfare or the morality of its decision. Pollution, lack of product safety, bribery, political intrigue, financial frauds, energy abuses and even inflation are among the charges leveled against corporations. If the corporation is made more "socially responsible," it is argued, its impact on the "quality of life" will be positive and beneficial. The advocates of corporate responsibility have proposed many solutions …

Civil Commitment: Is There A Constitutionally Based Right To Treatment, Anthony J. Sposaro

University of Dayton Law Review

O'Connor v. Donaldson, 422 U.S. 563 (1975).

A constitutionally based right to treatment for the civilly confined mental patient is now in its formative stage. Dr. Birnbaum in his seminal article was the first to suggest that the right to treatment had constitutional bases. The first member of the judiciary to suggest that the right to treatment had roots in either the eighth amendment, the equal protection clause or the due process clause of the fourteenth amendment was Judge Bazelon' in Rouse v. Cameron. Bazelon's dicta touched off a wave of scholarly commentary' but received limited judicial recognition until recently. …
