Foreign Corporation Laws: Source And Support For Reform, William Laurens Walker

The original reason for foreign corporation laws is lost; their conceptual foundation is largely discredited, and, at most, the present utility of this expanding and complex scheme is minimal. In the face of these conditions the author turned to a search for alternatives and found in the "mutual exemption" statutes of Quebec and Ontario significant steps toward foreign corporation law reform. In the following article the author investigates, with the aid of information obtained through personal interviews and field study, the success which the two Canadian provinces have achieved with their unique arrangement.

Extrajudicial Consumer Pressure: An Effective Impediment To Unethical Business Practices

Although recent efforts in consumer protection have centered upon additional legislative assistance, several direct extrajudicial and non-official forms of self-help can be successfully employed by a dissatisfied consumer. This comment explores the legal limits on such forms of action conducted either by an individual consumer or by an organized group, with a view toward providing a standard which will enable protestors to remain within the law yet be effective in their actions.

"Providing equal justice for poor and rich, weak and powerful alike is an age-old problem. People have never ceased to hope and strive to move closer to that goal." Griffin v. Illinois, 351 U. S. 12, 16 (1956). The Duke Law Journal presents this report of its survey study of the legal problems of the rural poor. Consumer Class Actions Under The Uniform Deceptive Trade Practices Act, Richard F. Dole Jr.

The Uniform Deceptive Trade Practices Act, presently in force in eight states, makes a private injunctive remedy available to "persons likely to be damaged" by misleading advertising, false disparagement, trade symbol infringement and other deceptive trade practices. This article explores the utility of the Uniform Act to individual consumers, and to groups of consumers. The procedural prerequisites of class actions under both the new and old versions of Rule 23 are considered in detail, and it is concluded that consumer class actions under the Uniform Act can provide an effective remedy for widespread and systematic consumer protection.

Constitutional Law: Prison “No-Assistance” Regulations And The Jailhouse Lawyer

The increasing popularity of the writ of habeas corpus, coupled with the inability of many prison inmates to effectively draft their own habeas petitions, has resulted in the emergence of a group of knowledgeable inmate practitioners willing to assist their fellow inmates in the preparation of habeas petitions and other legal papers. To counter the administrative and disciplinary problems posed by these "jailhouse lawyers," several state prison systems have adopted regulations prohibiting all inter-inmate assistance. Focusing upon the recent case of Johnson v. Avery, wherein the Sixth Circuit Court of Appeals upheld the validity of the Tennessee no-assistance rule, this …

Insider Trading: The Issuer’S Disposition Of An Alleged 16 (B) Violation

When corporate officers are apprised of possible 16(b) liability on the part of a fellow insider, an appropriate reaction by them encompasses both practical and legal considerations. In this comment non-legal factors influencing managerial judgments are related to precepts applied by courts in resolution of 16(b) claims. A detailed investigation is made into the status of the common law Business Judgment Rule in the context of insider trading.

The Ohio Supreme Court enjoined a national bank from providing "estate analysis" reports to prospective customers on the ground that this program involved the giving of legal advice by a lay institution. The decision affords salutary protection to the relevant public and professional interests which underlie the prohibition against the unauthorized practice of law.

This is an article which all lawyers should read. Its immediate concern is with legal services for the poor, but its thrust goes far beyond the immediate problem; indeed, its true emphasis concerns a fundamental evaluation of the legal profession and its place in our society. To state that it is thought-provoking is to give it little credit. The author is a man whose experience in the field spans almost half a century. The reader may disagree with the conclusions reached, but he must pay deference to the sincerity and sagacity of the views which it expresses.
