United Kingdom Regulation Of Transnational Corporate Concentration, J. Denys Gribbin
Michigan Journal of International Law
This article begins by describing the United Kingdom's policy toward outward and inward direct investment and then sets out the essentials of the competition laws that are among the major, nondiscriminatory regulatory mechanisms that affect corporate behavior and planning. The article also analyzes the development of competition policy as a microeconomic instrument along with its application to monopoly, oligopoly, and cartels involving transnational corporations. Competition policy, except for cartels, is shown to be relatively benign toward mergers until recently, and with respect to monopoly and oligopoly has sought remedies in regulation of prices and behavior rather than through structural change. …

Submitted herein is the seventh annual report produced by the Administrative Office of State Courts.
I am proud to report that the state courts have reversed the pattern of growing backlogs and lengthening delays that had been troubling us in recent years. Despite the fact that the number of cases brought to the courts has continued to generally increase, both the number of cases awaiting final disposition and the average time taken to dispose of these cases have been reduced in 1978. Each court has developed new procedures and systems to increase its rate of dispositions, and this progress has …

The central notion of intergovernmental and inter-interest balancing suggested by the title of this paper reflects a distinctly American theme derived from our pluralistic, competing, compromissory and somewhat optimistic governmental values and experience. The Coastal Zone Management Act (hereafter CZMA or the Act) and the success of its implementation rests firmly on this balancing premise. The CZMA's assumptions, processes and implicit or stated objectives involve reliance on a governmental system that achieves effective and equitable intergovernmental balance.Yet, as I think this investigation will show, there are no ready-made answers as to how balance is to be achieved through the Act--let …

The United States Supreme Court recently upheld a New York law requiring that any changes in county government must be approved by a majority of city residents and a majority of noncity dwellers. The author discusses the case and concludes that its result is inconsistent with the "one person-one vote" concept.

During the survey period, the appellate courts of Georgia decided about 35 cases and the U.S. Supreme Court denied certiorari in one; the General Assembly passed three workmen's compensation bills in 1975 and none in 1976; and the State Board of Workmen's Compensation opened eight offices throughout the state and staffed each with an administrative law judge (a new name for directors and deputy directors).

The Trade Act of 19741 has changed markedly the powers and responsibilities of the United States International Trade Commission (Commission). The authority of the Commission, formerly known as the United States Tariff Commission (Tariff Commission), now extends well beyond the tariff area. This article will examine the growth of the Commission's authority and structure and, perhaps, provide some insight into its possible future development.

Federal Taxation Of Corporate Unifications: A Review Of Legislative Policy, Ulysses S. Crockett Jr.

Throughout most of the twentieth century, federal tax laws have permitted nonrecognition of gain in specified corporate reorganizations. This article traces the legislative history of the nonrecognition provisions and discusses some of their resulting economic effects. The author concludes that present tax treatment of mergers and other corporate unifications needs congressional reexamination.

Multinational Collective Bargaining--Myth Or Reality?

The expansion of the multinational corporation (MNC) has precipitated an international aspect of labor with important consequences for the relationship between employers and employees. Basically, there is an inherent conflict between the objectives of the MNC and the labor union. The MNC endeavors to organize its operations for production where costs are lowest and sales where prices are highest. Given good coordination, the MNC can manage its activities to take advantage of cost differences in labor, capital, tax rates, and market conditions. On the other hand, the labor union seeks to have the MNC return the greatest net benefit to …
