Registration And Exemption From Registration Of Employee Compensation Plans Under The Federal Securities Laws, Dean L. Overman
Registration And Exemption From Registration Of Employee Compensation Plans Under The Federal Securities Laws, Dean L. Overman
Vanderbilt Law Review
This article is a basic summary of the rather complex federal securities laws concerning the registration of employee compensation plans. It centers around certain provisions of the Securities Act of 1933, the Securities and Exchange Act of 1934 and the Investment Company Act of 1940. The article initially discusses the necessity of registering the following four types of employee compensation plans: (1) pension, profit-sharing, stock bonus and similar plans; (2) employee stock purchase plans; (3) stock option plans; and (4) phantom stock plans. It then considers certain exemptions for these plans and the means available to employees to effect a …

Fighting Conflicts Of Interest In Officialdom: Constitutional And Practical Guidelines For State Financial Disclosure Laws, Michigan Law Review
Fighting Conflicts Of Interest In Officialdom: Constitutional And Practical Guidelines For State Financial Disclosure Laws, Michigan Law Review
Michigan Law Review
This note will examine the individual interests in running for office and in personal financial privacy in order to determine what level of scrutiny should be applied to disclosure statutes. After concluding that only minimal scrutiny should apply--a standard certainly met by the state's strong interests--it will be argued that nonconstitutional considerations bearing on the practicality of disclosure statutes nevertheless require a careful balancing of the state interest in disclosure against the individual interests of each class of persons affected by the statutes. The discussion of the strength of the state's interest in disclosure with respect to each class will …

Teaching Professional Ethics, Tom C. Clark
Teaching Professional Ethics, Tom C. Clark
San Diego Law Review
Unless the bar is uniformly imbued with that spirit of honesty and decency and unless it is inspired to insist upon the exercise of the highest ideals in the day-to-day practice of law, then no disciplinary system can be effective and no code of professional conduct will be anything more than a hypocritical farce. How can such an ethical renaissance take place? That, to be sure, is the question and to my mind there is but one possible answer. It must begin in the law schools of this country and spread from there — through continuing legal education programs and …

The Law Of Libel--Constitutional Privilege And The Private Individual: Round Two--Gertz V. Robert Welch, Inc., Matthew Herron
San Diego Law Review
Gertz is an expansion of the first amendment generally in that private plaintiffs not involved in an area of public concern can no longer rely on the advantage of strict liability and presumed damages; it is a limitation of the privilege as applied by Times because private plaintiffs are relieved of the burden of proving constitutional malice. By overturning Rosenbloom and limiting the common law advantage that plaintiffs have in defamation actions, the Supreme Court has created a new type of constitutional privilege applicable to private plaintiffs. This comment will examine the cases leading up to Gertz and explore how …

Along with the dramatic rise of the welfare state, a concept of government generally accepted by most Canadians if not enthusiastically supported, has come a realization that the opportunities for individual grievances against government have multiplied. Each year ".... thousands of administrative decisions are made, many of them by minor officials, which affect the lives of every citizen. If some of these decisions are arbitrary or unjustified, there is no easy way for the ordinary citizen to gain redress" .' Rather belatedly, many governments have recognized that the existing machinery to protect the citizen against unfair administrative action is inadequate …
