Kennedy warned against the impending breakdown of constitutional and common law, the erosion of the doctrine of stare decisis, and the skepticism regarding legal principles. The Indiana legislature has in substance adopted the Uniform Conditional Sales Law. Where the conditional seller of goods subsequently affixed to a freehold fails to record his contract, he has virtually no rights whatsoever as against subsequent purchasers and mortgagees. It is inescapable that the conditional seller's reservation of title under an unrecorded contract would be invalid as against, a subsequent mortgagee, and that he in no way could replevy the furnace, even though its removal would occasion little or no injury to the freehold. From the very beginning of the use of the corporate structure as a device for carrying on the businesses and activities of man, it has been apparent that the nominal brain, the board of directors, could not feasibly run the affairs of the inanimate entity unless certain powers could be delegated to officers and agents. The early case of Hoyt v. Thompson's Executor illustrates the judicial recognition of delegated powers. The charter authorized all business of ordinary nature to be transacted by a board of directors of twenty-three.

At the close of the Civil War, the federal government was faced with the serious problem of protecting the newly freed negro from restrictions which the state governments might see fit to impose upon him. The War had been won and the negro freed, but there was no power in the federal government which could insure his civil liberties against state action. The Bill of Rights formed a bulwark against invasion of personal rights by the federal government, but it had no application to other jurisdictions. It was to remedy this situation that the Fourteenth Amendment was proposed and adopted. …
