[Excerpt]In the fall of 1982, a small group of labor, religious, and human rights activists began charting a new course for human rights and workers' rights in American trade policy. The principles of these labor rights advocates were straightforward: 1. No country should attract investment or gain an edge in international trade by violating workers' rights; 2. No company operating in global trade should gain a competitive edge by violating workers' rights; and, 3. [Excerpt] No country or company should gain a commercial edge in international trade by jailing or killing union organizers, crushing independent union movements, or banning strikes. Gaining an advantage in labor costs should not depend on exploiting child labor or forced labor, or discriminating against women or oppressed ethnic groups. Deliberately exposing workers to life-threatening safety and health hazards, or holding wages and benefits below livable levels should not be permissible corporate strategies. But these are exactly the abuses that happen all too often in a rapidly globalized world trading system based on "free trade."

[Excerpt] In this article, we briefly describe the different approaches to the regulation of international labor standards, and then argue for a new role for national governments based on soft rather than hard regulation approaches. We argue that this new role shows potential for significantly enhancing progress in international labor standards, since it enables governments to articulate a position without having to deal with the enforcement issues that hard regulation mandates. We justify this new role for governments based on the increasing use of soft regulation in the international arena. Of course, this approach is not without its own problems, …

It is critical for boards of directors to address properly conflicts of interest in business combinations. Many boards have appointed special committees of independent directors to ensure that stockholders’ interests are protected in mergers and acquisitions and, in certain circumstances, to shift the burden from directors, who must establish the "entire fairness" of the transaction, to the stockholder-plaintiffs, who must establish unfairness. This paper addresses the fiduciary framework governing mergers and acquisitions and the requirements to appoint and conduct the activities of a special committee under Delaware law.

The settlement of space and the expansion of the habitat of humanity beyond Earth will benefit all mankind but will be astronomically expensive. Private enterprise would do it if there were a sufficient profit potential, something only Lunar and Martian real estate is valuable enough to provide. Do R&D Programs Of Different Government Levels Overlap In The European Union?, Andrea Fernandez-Ribas, Isabel Busom

Andrea Fernandez-Ribas

Multiple levels of government currently design and implement research and innovation programs both in the US and in Europe. Empirical analysis of interdependencies among programs has not been fully explored, however. Our contribution is a first step in understanding potential complementarities across R&D programs. Using a sample of Spanish manufacturing firms, we study the determinants of firms’ participation in national and in European level research programs and test for differences across programs. Our results suggest that firms’ participation in European and national R&D programs is largely driven by different factors. We interpret these results as suggesting that, ex-post, there is …
