Liquor Price Affirmation Statutes And The Dormant Commerce Clause, Ward A. Greenberg
Michigan Law Review
Part I of this Note examines the current state of the law in the liquor affirmation area. Part II argues that the twenty-first amendment may not be invoked to justify the extraterritorial impact of these statutes. The amendment does not preempt the commerce clause in the liquor area. While it gives the states free rein over liquor internally, it provides no basis for any extraterritorial projection of liquor price regulation. Part III considers the commerce clause analysis of Brown-Forman and argues that any interstate effects of these statutes will cause them to violate the commerce clause. This section argues that …

Preserving Purchase Money Security Interests And Allocating Payments, Lynda Kay Chandler
University of Michigan Journal of Law Reform
This Note explores the rationale underlying the courts' conflicting decisions in light of the purposes of the UCC. It concludes that the language of the UCC and its goals of uniformity and simplification require that a PMSI should not be entirely destroyed because a creditor also has a security interest in items the debtor acquired after the purchase money transaction or because a creditor extends additional credit. The best solution is to permit the creditor to retain a PMSI, to the extent of the purchase money loan, in those goods that the creditor's loan helped to purchase.

Syracuse Journal of International Law and Commerce
As national securities markets rapidly become international markets, the idealized precept that federal securities laws are to create "a system providing equal access" to information for all investors, appears to falter. One cause of this breakdown is "insider trading." Traditionally prosecuted under the Securities Exchange Act of 1934,• illegal activities conducted through secret bank accounts outside U.S. borders and jurisdiction have posed a sobering challenge to prosecution of the inside trader.

Extending Extraterritorial Accomodations In Foreign Insolvency Proceedings, Joseph J. Wielebinski
Syracuse Journal of International Law and Commerce
The Bankruptcy Reform Act of 1978 (Bankruptcy Code)2 provided a flexible means to achieve an economic and efficient administration of creditors' claims and debtors' assets in foreign insolvency proceedings, while recognizing well-established principles of international law. Moreover, if implemented properly, the Bankruptcy Code provisions can effectively address the increasingly complex issues arising in foreign bankruptcy proceedings.
